UPDATE: We are OVERSUBSCRIBED and Need Help from Accredited Investors


THANK YOU! Nearly four weeks ago we launched our WeFunder campaign and the response has blown us away. COVID has denied us of our signature matchdays at Keyworth this year, but it has obviously not dampened the love and support for our club. Since the campaign launched, you all have validated our work over the past nine years of the club while showing a resounding commitment to its future. The support has been so phenomenal, we actually reached the U.S. federal limit of $1,070,000 for our Regulation Crowdfunding (Reg CF) financing campaign in just five days and we are now in an oversubscribed mode.

What does that mean to you?

Our goal was always to raise more than the federal limit for a Reg CF campaign to ensure the long-term viability of the club, as well as to accommodate as many potential owners as possible. As such, we have launched a Regulation D (Reg D) offering also on WeFunder that is now available to accredited investors, some of whom are in the current Reg CF. Now that the Reg D offering is available, we need accredited investors to move over to it to make room for all of the interest from non-accredited investors who are currently on the wait list.

If you are an accredited investor, we would like for you to move from the Reg CF to the Reg D. This will allow us to meet our goal and raise funds for Keyworth improvements as well as have the cash reserves to continue to weather the uncertainty the COVID pandemic presents our industry.

Accredited Investor qualification criteria can be any one of the three circumstances:

  • Income over $200,000 per year for the last two years and expecting to remain the same
  • Income over $300,000 per year for the last two years if joint with a spouse
  • Net worth over $1 million excluding the primary residence

Accepted documents required by the US government to prove accreditation is one of the the following:

  • Letter from lawyer, accountant, dealer-broker, or investment advisor indicating that they have seen the investor’s financials and can confirm that you meet the accreditation requirements
  • Tax forms like W-2s, 1099s, K-1s, etc.
  • Certificates of deposit, tax assessment, or appraisals.
  • If you are a foreign investor, and you upload foreign documents, you can convert the currency into USD to determine if you meet the threshold.

Accredited Investors: You can GUARANTEE that your investment will get off the waitlist by transitioning your investment to our concurrent Reg D round. To do that, make sure that you’ve signed the new contract and uploaded your verification proof. The steps are below. Again, this REALLY helps out!

Step 1: If you’re logged into your WeFunder account, you can sign the new Reg D contract here. https://wefunder.com/DCFC/transition

Step 2: WeFunder will then need you to upload a screenshot or document to verify your accreditation status. WeFunder should have contacted you in an email labeled “Please verify your status as an accredited investor”. The email includes a link where you can take the final step.

For all of our non-accredited investors waiting to be confirmed on our Reg CF round: Thank you for your patience! As soon as we know how much was moved over to the Reg D round, WeFunder will be able to get you off the waitlist. In the event that we remain oversubscribed in the Reg CF, and your investment needs to be cancelled, you will receive a full refund (including fees).
