Hello I’m excited about this investment coming to fruition! Always good to see a black owned wine business! I wanted to ask about the future equity aspect of the deal ; would investors be entitled to any Annual Dividends produce by the company besides the revenue share agreement?

Hello and thank you! Investors will be entitled to annual dividends in addition to the revenue share. There will be an agreement entered into at the closing of the investment. Let me know if you have any additional questions.

What are the mechanisms for the Future Equity ? ; what events need take place for investors to acquire equity in Urban Wine ?

Future Equity will be available upon closing and based on the pricing for the round. At this time we are estimating Equity + 1.5x revenue share at a $5 million valuation. This is all subject to change based on investors etc. You will be given final terms at closing out the round. Hope this answers your questions!

Hello - Yes there will still be a revenue share for Investors. With the SAFE, investors would gain equity via any liquidity event (Acquisition or IPO included).
