Suncerray Capital Inc. holds 45% equity across a portfolio of seven operating companies spanning technology, cybersecurity, entertainment, healthcare, publishing, fashion, and real estate. The portfolio is building toward full infrastructure sovereignty — owning the hardware, owning the models, owning every layer of the stack. When the portfolio owns the stack, no one can price it out, shut it down, or change the terms. Revenue flows to growth, not rent.

Young's Digital Atelier — Technology
34 software products serving developers, businesses, publishers, attorneys, educators, and underrepresented communities. Products include RAELA (the partner you can depend on at the price you can afford — unlimited chat, knowledge base, and developer API at flat monthly rates), YDAbase (managed database for developers), MythosCodex (Forge produces production-ready entertainment packages), NarrativHQ (Jade handles manuscript development and editorial workflow), Novlyn (business intelligence), NOVA-X (executive assistant), Gelliebean (synthetic data platform), 15 vertical applications serving legal, education, compliance, property management, trades, and more, and Wavlynq — a 10-app connection ecosystem built for underrepresented communities including LGBTQIA+, Black, Neurodivergent, Indigenous, Pan-Asian, Deaf/HoH, Disabled, Plus Size, ENM/Poly, and Hispanic/Latino communities. Three Wavlynq apps are live with seven in development.
Medusyx — Cybersecurity
18 security and intelligence products. ATLAS provides 13 integrated applications for threat posture management, compliance automation, vulnerability intelligence, dark web monitoring, attack surface management, and active defense. KEYSTONE delivers 5 specialized intelligence products for classified and regulated environments. Healthcare cybersecurity is the primary vertical.
Nightgleam Studios — Entertainment
Multimedia production company with 2,500+ screen-ready intellectual properties across every major genre. 64 completed feature screenplays. 3 franchise-level properties. MythosAxiom IP marketplace is live. Nightgleam Prime streaming platform is in development. Proprietary production technology enables content at scale. Producer/actor partnership model available for external talent.
Embliss Wellness — Healthcare
AURLISS provides clinical screening across 8 domains and 803 conditions with a blind evaluation system and bias detection, designed for integration with major healthcare systems. Embliss Wellness is a consumer mental health and telehealth platform.
Summit Prime Publishing Group — Publishing
13 published authors under management. 1,400+ titles in catalog. Revenue from book sales, royalties, and author services.
Prestanor Fashion Holdings — Fashion
Premium fashion brand with inclusive sizing from XS to 10XL. Direct-to-consumer e-commerce with in-house printing capability planned. EliteCrown urban wear operates as a DBA under Prestanor.
Mystic Titan Real Estate Group — Real Estate
Real estate acquisition and development. Future studio and distribution infrastructure supporting portfolio operations.
SECTION 3: WHY NOW
The tools to build sovereign infrastructure just became affordable. GPU hardware that cost millions five years ago is now accessible at scale. Open-weight models eliminated the dependency on closed providers. Flat-rate pricing is technically feasible where per-token billing was the only option before.
The portfolio already has 34 live software products, 2,500+ entertainment properties, clinical screening across 803 conditions, and 1,400+ published titles. The products exist. The IP exists. What this raise does is accelerate the infrastructure behind it — moving from leased hardware to owned hardware, from rented compute to sovereign compute.
Two Medusyx contracts and a handful of RAELA and YDAbase subscriptions make the portfolio profitable on infrastructure costs alone. The path to revenue is short. The path to sovereignty is what this raise funds.
SECTION 4: THE TERMS
Security: Class A Common Stock
Valuation: $100M pre-money
Price per share: $10.00
Minimum investment: $100
Early investor bonus: 20% discount ($8/share) for the first $100,000 invested
Dividends: None — all profits reinvest into the portfolio
Buyback: Available after 12-month hold at up to 2x original investment. Once a buyback request is filed, the investor forfeits all rights to future appreciation. This decision is final and irrevocable.
Voting: Class A carries 1 vote per share. The founder retains Class B super-voting shares (10 votes per share) to maintain operational control.
International investors: Welcome. This offering is open to investors from 150+ countries through Regulation CF. Same shares, same terms, same buyback rights as domestic investors.
SECTION 5: USE OF FUNDS
30% — Infrastructure: GPU hardware acquisition, server buildout, and domestic hosting for regulated markets.
30% — Hiring: Engineering talent to manage backend operations and optimize model performance.
30% — Customer acquisition and marketing: Developer community building, product positioning, and outreach across all portfolio companies.
10% — Working capital: Legal, compliance, operational overhead, and filing costs.
SECTION 6: THE RAISE STRATEGY
Year 1: Deploy infrastructure, hire core engineering, acquire first customers, and begin generating revenue.
Year 2: Reinforce sovereignty with additional hardware, expand the team, and scale customer acquisition. Full infrastructure sovereignty by end of Year 2.
The goal is to max out the $5M Reg CF cap over approximately two years. This first raise gets the portfolio to revenue. The second raise reinforces everything.
SECTION 7: RISK FACTORS
This is a pre-revenue portfolio. There is no guarantee of future revenue. Startup investments are high-risk and total loss of your investment is possible. Shares are illiquid for a minimum of 12 months and may be difficult to sell after that period. Future fundraising rounds may dilute your ownership percentage. The discretionary buyback program is subject to available capital — SCI may not have funds to repurchase immediately upon request. Technology markets change rapidly and products may face unexpected competition. The portfolio depends on key personnel. International investors may face additional tax obligations in their home country. Currency exchange fluctuations may affect the value of returns for non-USD investors.
