From a Profitable Gardening Brand to the "Cloud Network" of Biology

At Rooted Intellect Inc., we didn't start in an ivory tower burning millions of venture dollars on theoretical science. We started on the ground, bootstrapping a profitable agricultural nutrient and hardware division alongside our Phraistus.com gardening app and social media community of 27,000+ followers. Over the past year, our execution speaks for itself: $125,000 YTD (240% YoY revenue growth, a 250% surge in customer orders) and a 5.7% organic conversion rate inside the Phraistus app.

While building profitable tools for home and commercial growers, we engineered and filed patent protection (U.S. Patent Application No. 64/185,054) on a breakthrough that solves the single biggest bottleneck in the $150 Billion+ global biomanufacturing, single-cell protein (SCP), and agricultural biostimulant markets.

TL;DR — The 60-Second Investment Thesis

1. Profitable Today, Not a Pre-Revenue Science Project: We already operate a profitable, fast-growing D2C gardening hardware, nutrient, and software ecosystem: $125K YTD, 240% YoY revenue growth, 250% order surge, 27,000+ community, and a 5.7% app conversion rate on Phraistus.com that pays our core overhead and founder salary.
2. The "Server Rack" of Biomanufacturing (U.S. Patent App. No. 64/185,054): Legacy biotech relies on massive, vulnerable 100,000L steel batch tanks. We engineered a modular, continuous-flow micro-reactor platform that links yeast, microalgae, and bacteria in closed-loop "trophic chains"—turning waste CO2, heat, and water from one organism into free feedstock for the next.
3. 4 Stacked Revenue Engines: (1) DTC & Commercial CO2 Biostimulant Generators ($500 retail 1L home units) + $2,500/mo B2B Hardware-as-a-Service 5x 30L commercial pods delivering $30K/yr ARR per pod, (2) Academic R&D Benchtop Reactors for U.S. universities, (3) High-Margin Single-Cell Protein & Biostimulants ($0.35–$1.35/kg production cost competing in $5–$40+/kg aquaculture, livestock, and fertilizer markets), and (4) "Bio-Compute" Array Tolling where biotech firms lease cycle time on our in-house racks.
4. 8.5-Month Hardware Payback & Real-Asset Backing: A 45-vessel Refinery Cluster costs ~$24,000 to build in-house and generates ~$34,500/year in baseline biomass value (Theoretical Yield discounted by 50% ~8.5-month payback at 80%+ gross margin). This $2M raise acquires our flagship turn-key Colorado Agro-Campus, locks in two years of technical payroll, and builds our first commercial arrays.
5. Relentless Capital Discipline on the Road to IPO: Zero investor dollars go to founder salary (capped at $100K from retail profits), and executive compensation is strictly capped while we scale from 1 model site ($20M/yr capacity) to 100 regional farm sites ($2B/yr IPO milestone).

How solving for CO2 Generation led to patentable technology

Our community has clearly indicated a desire for an elegant persistent CO2 generator for indoor and greenhouse gardening. Research from Oklahoma State University demonstrates clear growth rate benefits to CO2 supplementation. Existing solutions are clunky (CO2 bottles), ineffective (mushroom bags), or produce waste byproducts (Chemical). While working through a solution to address this problem I discovered a means to hold cells in specific states and adjust them dynamically which has much larger applications beyond simple CO2 generation. My academic experience working with yeasts, algae, and methylobacterium allowed me to design the trophic chains within the reactor array and build the intellectual property filing.

The Problem: Legacy Bioprocessing is Broken

For the last 80 years, industrial biotechnology has relied on the equivalent of monolithic mainframe computers - giant, 100,000-liter stainless steel batch fermenters that suffer from five fatal flaws:

1. Catastrophic Contamination Risk: Mixing sugars and nitrogen in a single massive tank means one rogue microbe ruins a million-dollar batch.
2. Cellular Shear Stress: Spinning massive central impellers fast enough to distribute oxygen physically shreds delicate cells, capping growth speeds.
3. Massive Turnaround Downtime: Legacy tanks spend days offline between batches for draining, cleaning, and steam sterilization.
4. Uncoupled Waste: Upstream waste gases and heat are vented away rather than captured to drive downstream organisms.
5. Crushing CapEx & DSP Costs: Extracting purified chemicals or spray-drying massive dilute batches requires tens of millions of dollars in specialized machinery.

The Solution: The Rooted Intellect Universal Chemostatic and Auxostatic Bioprocessing Platform (U.S. Patent App. No. 64/185,054)

In Plain English: A novel cell reactor that allows us to produce CO2 on demand for home and commercial greenhouses, produce Algae and other organisms for feedstocks, and run advanced cell lines for Biofuels, Bioplastics, and Pharmacology production. These reactors are dynamically controlled to eliminate waste production and can be chained together into arrays for dynamic cell production.

Our benchtop design and scaled up greenhouse reactors for CO2 generation utilize the same principles, their role is to transform sugar into CO2, water, and residual heat. The spent cells are deactivated with hydrogen peroxide, diluted, and then usable for fertigation of the same crops being fed the CO2.

This has several applications:

1. At Home DTC scale units (1L) sub $200 BOM, $500 retail targets with downstream consumables
2. Commercial scale (30L) sub $500 BOM, $2500 retail targets with downstream consumables

Switching from combustion based CO2 generation to our bioreactor design has critical benefits:

1. Elimination of Ethylene gas - a byproduct of inefficient combustion which causes crop losses up to 89% (American Society Of Horticultural Science) or total commercial greenhouse crop loss (Ohio State University Extension)
2. Elimination of NOx volatiles - also a byproduct of inefficient combustion that directly disrupts carbon fixation and Rubisco activity during photosynthesis, impacting efficiency by up to 25%
3. Biostimulants produced on site - the yeast sent to the output container are inactivated with hydrogen peroxide and then diluted, these are immediately usable in fertigation of the same crops receiving the CO2

Our Research Academic Reactor utilizes the exact same design but adds real-time telemetry, an extended sensor suite, and the ability to modify the growth curves of the microbes being studied allowing for a multitude of experiments to be run in parallel in academic and our R&D environments.

The Bioreactor chemical refinery combines reactors into arrays to produce targeted cell outputs. Instead of one giant, vulnerable tank, we network dozens and eventually thousands of compact 10L to 30L micro-reactors in parallel racks connected to a universal, AI-governed fluid and gas bus:

What Sets our Bioreactor Array design apart is the way we handle cells, move gases and fluids, and create trophic chains to capture outputs traditionally considered waste as primary feed stocks

1. Dual-Lobed Figure-8 Flow Topology: Internal vertical sparging and extraction tubes act as physical baffles, folding fluid radially and vertically. Top-mounted nozzles spray nutrients directly into stagnation zones maximizing gas transfer and light penetration while keeping cells dividing at their theoretical limits without shear damage or holding them in respiratory, fermentation, or chemical production modes.
2. Osmotically Isolated Feedstocks (Minimizing Autoclave Requirements): We separate carbon into a hyperosmotic syrup reservoir (water activity aw < 0.90) where contaminating microbes cannot survive, while keeping nitrogen in a carbon-free second reservoir and where needed, pure water in a third.
3. 4-State Physiological Locking & Seal-Less Purging: Our controller locks cultures into targeted states on command: Respiratory Hold, Fermentative Hold, Log-Growth Hold, or Auxostatic Standby. A top-mounted peristaltic tube hovers 1–2 mm above a conical floor, evacuating concentrated cell slurries across an air gap with zero submerged mechanical seals to leak or fail.
4. Agentic Trophic Cascading: Our software bus links different species in series. High-flux Crabtree-negative and Crabtree-positive yeast modules generate biogenic CO2, metabolic water, and vapor-condensed alcohols. A pneumatic gas buffer throttles yeast sugar feeding in real time based on the exact photosynthetic CO2 demand of downstream microalgae and Methylobacterium lines minimizing input material waste.

Primary outputs of this version of the Bioreactor Array create feedstocks and biostimulants

1. Array modularity allows outputs to balance to specific nutritional requirements of land animals including cattle, chickens, pigs, etc.
2. Aquaculture feed using algae and methylobacterium suitable for shrimp, fish, shellfish cultivation
3. Amino acid and biostimulants for fertigation

Commercialization Targets:

Because our modular vessels use accessible domestic components and pre-engineered patent specifications rather than custom pressure-rated steel hulls, we can quickly build out the benchtop (1L) and Greenhouse (30L) yeast reactors to standardize reactor geometry and then construct the first manufacturing arrays.

Tier 1: CO2 Generators for home and commercial gardens

At-Home DTC Scale (1L Appliance — Hardware + Consumables): Engineered with a sub-$200 BOM and a $500 retail price point for indoor grow tents and home greenhouses, generating high-margin upfront cash flow plus recurring revenue from pre-measured sugar, yeast, and nutrient refill packs.

Commercial B2B Scale (5x 30L Unified Pod — $2,500/mo All-Inclusive Subscription): Instead of selling standalone commercial boxes outright, we deploy a manifolded 5x 30L reactor skid (~$1,800 internal build cost) on a $2,500/month ($30,000/year ARR) Hardware-as-a-Service subscription that includes automated delivery of our farm-produced sugar syrup (10 kg/day consumption), nitrogen/mineral stocks, and hydrogen peroxide H202 inactivation packs.

Why Commercial Cultivators Gladly Pay $2,500/Month (6x–8x Customer ROI): A single 5x 30L pod servicing a 2,000 sq ft commercial canopy delivers $7,200 to $21,000+/month in combined facility value:

1. 10%–25% Yield Recovery ($3,000–$13,200+/mo value): Eliminates chronic sub-ppm ethylene flower stunting and NOx photosynthetic suppression caused by hydrocarbon burners.
2. 240 Gallons/Month of Bioactive Fertigation ($3,600–$7,200/mo value): Daily H2O2 inactivation and dilution of the spent yeast yields 30L/day of pre-formed L-amino acids, B-vitamins, and root-eliciting beta-glucans—replacing expensive bottled biostimulants while allowing plants to bypass the metabolic energy tax of synthesizing amino acids from raw nitrates.
3. Zero Burner HVAC Penalty & Zero Tank Permitting ($600–$1,000/mo value): Eliminates the 128,000 BTU/day cooling load of propane combustion and removes cryogenic $\text{CO}_2$ supply-chain blackouts and Fire Marshal gas permitting.

Strategic Value to Rooted Intellect: Our ~$1,800 hardware build cost is recouped in Month 1, locking in 85%–92% gross margins as our on-farm sugar loop comes online. Deploying just 500 commercial pods across regional indoor grows and specialty greenhouses generates $15M/year in contracted ARR while acting as a captive, high-margin off-taker for 1,800 metric tons/year of our own farm's sugar and nutrient output—with 100% IP security since the skids remain our property.

Tier 2: Benchtop Academic R&D Units (The NSF connection)

We are commercializing fully tunable, multi-sensor benchtop versions of our reactor for university laboratories and National Science Foundation (NSF) research initiatives (NSF grant submitted). By training academic researchers and novel cell lines on our figure-8 fluid dynamics and state-holding protocols, any breakthrough organism developed in academia is structurally locked into our platform architecture when they scale up.

Tier 3: Regional Distributed Biostimulant, Fertigation, and Feedstock production

We are locating the manufacturing arrays producing generally recognized as safe microbes proximal to existing ranch farms with demand. We are competing against premium fish meal at $5/kg with margin to spare and premium value $15-40+/kg for amino-fortified (L-methionine), probiotic, and live/paste aquaculture concentrates and biostimulants. Sequestration of Nitrogen allows us to produce organic fertigation products for outdoor agriculture from the same array system.

Tier 4: In-House "Bio-Compute" Array Tolling & Near-Zero OpEx Agro-Campus

We never sell our commercial multi-reactor arrays; we keep the grid strictly in-house. When we set up our bio campus models we will begin to work with esoteric materials and synthetic biology cell lines. Third-party biotech companies lease "Array Cycle Time" on our infrastructure to manufacture their organisms allowing Rooted Intellect to collect a high-margin toll on global biotech innovation while our AI captures parallel kinetic training data across thousands of runs.

Use of Funds: What the Capital Funds on the Road to a $1B Valuation ($2,000,000 Raise)

We operate with relentless, bootstrapped capital efficiency. The founder’s salary is capped at $100,000 and paid strictly out of existing retail division profits not a single cent of investor capital goes to founder salary. Our first three technical employees are benchmarked at the exact same $100,000 base rate alongside milestone-restricted Class A stock awards. We only take raises together as corporate profits scale. As an additional incentive the initial team will be housed at the farm location. Both an SBA loan application and an NSF SBIR grant proposal have been submitted to provide non-dilutive leverage alongside this raise.

1. $600,000 (30.0%) — 24-Month Technical Team Payroll ($300K Year 1 + $300K Year 2 Reserve) - Funds our core three-person execution team at $100K/year each:
2. 1x PhD Microbiologist (strain optimization and blending assays),
3. 1x Biosystems/Mechanical Engineer (array assembly and fluidics), and
4. 1x AI/Software Specialist (working alongside the founder to build the agentic telemetry bus).
5. Keeping Year 2 payroll in strict reserve guarantees a full two-year technical runway.
6. $550,000 (27.5%) — First Array Fabrication, Drying & Bottling Hardware-Covers the 4-to-8-week buildout of our initial parallel 10L–30L micro-reactor racks, CNC top-cap manifolds, inline Peltier condensers, and optical/gas sensor buses utilizing pre-engineered patent pending specifications. Includes fluid-bed/spray-drying, sachet packing, and bottling equipment to immediately convert harvested cells into shelf-stable retail biostimulants, aquarium foods, and yeast refill packets.
7. $500,000 (25.0%) — Turn-Key Colorado Farm Acquisition & Agro-Campus Setup - Instead of throwing money away on urban warehouse rent, spending up to $200,000 (20% down) acquires a ~$1M turn-key agricultural property near Westminster, CO with 20,000+ sq ft of standing commercial greenhouses, warehouse/lab space, and on-site residential housing for our engineer and microbiologist. (Benchmarked at ~1M based on regional acreage and facility comparables, with flexibility on the final location and purchase price). The remaining $300,000 covers two years of low-interest mortgage carrying costs plus three-phase power upgrades, RO water filtration, initial aquaculture tanks, and greenhouse CO2/fertigation plumbing.
8. $350,000 (17.5%) — Consumer CO2 Go-To-Market, Feedstock Priming & Utility Patent Stack - Funds injection molding, locked microcontroller assembly, and launch inventory for the Consumer CO2 Appliance across our Phraistus and retail channels. Two contract shops on deck to produce design schematics and direct testing of the initial prototypes while engineering focuses on the agro campus setup. Covers initial bulk sugar/nitrogen totes to prime the first 60 days of reactor runs, plus USPTO Small Entity filing fees to convert U.S. Patent Application No. 64/185,054 into an offensive stack of Non-Provisional Utility and PCT Patents over the next 12 months.

How We Generate Revenue: Bottom-Up Unit Economics

While our existing retail hardware, nutrient kits, and Phraistus.com subscriptions provide immediate cash flow, our biomanufacturing platform scales through predictable, modular unit economics. Rather than relying on a single monolithic fermenter, we scale rack-by-rack using a standardized 45-Vessel "Refinery Cluster" (3 upstream yeast respiration reactors, 2 upstream yeast fermentation reactors, feeding 20 downstream algae and 20 downstream methylobacterium reactors)

1. The Single-Vessel & Cluster Baseline (Conservative Output)

1. Low Raw Input Cost: Before our closed-loop farm feedstocks even come online, bulk hyperosmotic sugar syrup and mineral salts cost roughly $1.35 to produce 1 kg of dry biomass (dropping below $0.35/kg once our greenhouse sugar crops, nitrogen fixation reactors, and mineral biochelation reactors are active)
2. Conservative Daily Yield: Discounting theoretical maximums by nearly 50% for real-world maintenance and turnaround, a single 45-vessel cluster (30L modules occupying just ~145 sq ft of floor space) conservatively produces 3.0 to 3.5 kg of dry-weight single-cell biomass per day (~1,150 kg/year across 350 operating days).
3. 8.5-Month Hardware Payback: A 45-vessel cluster costs roughly $24,000 to fabricate in-house. At a conservative blended wholesale/retail valuation of $30/kg, a single cluster generates ~$34,500/year in baseline biomass value at an 80%+ gross margin—paying off its own hardware CapEx in ~8.5 months before factoring in retail bottling or aquaculture multipliers.

2. Four Stacked Revenue Stream options From Every Cluster

1. Stream 1 — D2C Hardware, App & Retail Consumables ($45–$250+/kg equivalent): The first slice of harvested yeast, microalgae, and M. extorquens is bottled and packed on-site into high-margin Consumer refill sachets, organic plant biostimulants, and reef/aquarium feeds sold directly to our 27,000+ community and retail channels
2. Stream 2 — Trophic Agro-Campus Transformation ($16–$24x Input Multiplier): Wet whole-cell protein purees and excess CO2 are piped directly into our on-site aquaculture tanks (shrimp and filter-feeding bivalves) and 20,000+ sq ft of greenhouses. Roughly 1.3kg of internal microbe biomass converts into 1kg of fresh regional seafood ($22–$32/kg wholesale) while returning ammonia nitrogen to the reactors for free.
3. Stream 3 — B2B Overflow Biomass ($15–$40/kg bulk): Once our internal farm loop is saturated, every additional rack produces pure "overflow biomass" sold in bulk totes and pallets to regional agriculture, specialty feed, and biochemical buyers.
4. Stream 4 — Academic Benchtop Units & "Bio-Compute" Array Tolling (85%+ Margin): We sell turnkey benchtop R&D units to universities and lease monthly "Array Cycle Time" on our in-house commercial racks to third-party biotech firms—collecting recurring infrastructure revenue while capturing proprietary AI kinetic training data.

3. Scaling on the first property (With Disciplined Payroll)

1. Phase 1 (First 12 Clusters / ~500 Vessels): Funded by this raise, our initial 12 clusters plus our existing consumer/app division and initial farm harvests are projected to generate ~$1.4M–$1.8M in Year 1 revenue, bringing the company to strong positive EBITDA within 12 months.
2. Phase 2 (1 Horizontal Layer Across 20,000 sq ft = 85 Clusters / ~3,825 Vessels): Utilizing 60% of a 20,000 sq ft building (leaving wide maintenance aisles) fits 85 clusters on a single flat floor. Even at conservative yields (~280 kg/day of dry biomass), one horizontal layer generates ~$3.0M/year in base biomass value alone—and $5.0M to $7.5M+/year when blended with retail bottling, aquaculture, and Bio-Compute tolling.
3. Phase 3 (Full Local Site Expansion = 400 Clusters / 18,000 Vessels): Vertical 3-tier racking and adjacent outbuilding space allow a single farm location to scale to 400 clusters (~460,000 kg/year of dry biomass) up to local feedstock limits. This generates ~$13.8M/year in baseline bulk biomass ($30/kg) and ~$20M+/year when blended across B2B agricultural/aquaculture feedstocks, on-site seafood conversion, and retail biostimulants.
4. Phase 4 (Site Optimization & Closed-Loop Trophic Chaining): Rather than delaying initial production, Phases 1–3 launch immediately on purchased bulk inputs while we cultivate our first greenhouse sugar crops and install on-site pressing and aquaculture processing equipment. Once this internal loop comes online, dedicated microbial pathways and nutrient recycling drive production costs down from ~$1.35/kg to under $0.35/kg—eliminating external feedstock purchases and leaving labor and real estate as our primary operating expenses.
5. Locked Operating Leverage: All four core leaders (Founder + PhD Microbiologist, Biosystems Engineer, and AI/Software Lead) start at a strict $100,000 base salary, with performance bonuses tied strictly to actual quarterly revenue growth and hard-capped salaries at $250,000/year per executive through phase 2. Every dollar of gross profit above our lean operating ceiling compounds directly into building additional reactor racks.

The path to IPO:

1. Establish the model site with reduced OpEx trophic chaining completed, biomass production at $20M annually sold to local farms
2. Expand to 10 sites with equivalent infrastructure - $200M yearly, biomass sold throughout the Colorado region
