Convertible notes are frequently used in early stage startups, where setting a valuation can be complicated due to lack of data to do so. So notes act as a “bridge loan” (i.e debt) that later on is converted into equity once the company does a priced round. This way valuation discussions are “postponed” until the company has enough track record. Hey James! We have partnered with a co-packer with enough capacity to face the coming two to three years at least. So far we have adjusted production output according to projected demand and availability of working capital. We have run 3 productions with a total of 40 k bottles.

Please explain to me why i would want a "downer" in a sports drink where an "upper" is usually preferred?
