Memo

AI has a trust problem.

Every AI company asks you to trust them with your data. Your conversations leave your computer. They travel to servers you don't own, through models you can't audit, and generate decisions you can't verify.

Apple pays Google $1 billion a year to handle the hard questions. Samsung routes complex requests to the cloud. OpenAI runs entirely in someone else's data center.

The bet is always the same: convenience over control.

But something is shifting. 80% of AI inference now runs on local hardware. Governments are passing sovereignty requirements. The market is ready for a different approach.

We built NGARi

Not another API. Not another cloud subscription. A sovereign AI platform you can hold in your hands.

At its center is NGARi ONE — a $499 device that puts 67 trillion operations per second of edge AI on your desk. It runs entirely on your network. Your data never leaves.

Autonomous agents operate 24/7. A CEO agent monitors revenue. An engineer agent maintains system health. A communications agent talks to your customers. They collaborate. They reason. And they never phone home.

The experience is fast, beautiful, responsive. A chat interface that feels like magic, powered by models that run locally. Voice input and output through your own private pipeline. Enterprise audit trails that regulators can verify.

We don't ask you to trust us. We show you — live — that zero bytes are leaving your system.

It ships today.

Eight agents live. A chat frontend with Liquid Glass UI. Local voice pipeline with speech-to-text and text-to-speech. Full enterprise sovereignty suite with hash-chained audit trails, role-based access control, and compliance reporting. All running on NVIDIA Jetson hardware.

We've been accepted into NVIDIA Inception. We completed NSF I-Corps Princeton Propelus — the most rigorous commercialization training in the country. We have 9 products configured for sale, live payment processing, and a pre-order launch.

Massive market opportunity.

The on-device AI market reaches $33 billion this year, growing to $156 billion by 2033. AI agent software spending hits $206 billion with 82% year-over-year growth.

Apple, Google, and Samsung all launched on-device AI in 2026. Hark raised $700 million before shipping a product. Stripe shipped 288 products for the agentic economy at a single conference.

The market is real. The timing is right. We are shipping.

The founders.

Garry Johnson III and B Bass completed NSF I-Corps Princeton Propelus — a program that validates whether a startup is committed to rigorous customer discovery. We built Bison Venture Partners as Howard University MBA candidates.

The team has built this with our own hands, on our own hardware. And we're just getting started.

What this round funds.

The raise accelerates three things:

Engineering: Complete the agent platform — enterprise dispatch, multi-agent orchestration, tool calling

Manufacturing: Scale NGARi ONE production from prototype to shipment (Christmas 2026)

Go-to-Market: One-click deployment experience, cloud sandbox demo, targeted enterprise sales

Deal terms.

This is a $10 million post-money SAFE on Y Combinator standard terms.

Structure: Post-money SAFE, valuation cap only (no discount)

Valuation Cap: $10 million

Minimum Raise: $50,000

Maximum Target: $1.5 million (flexible)

Minimum Investment: $1,000

Pro-Rata Rights: Available for investments of $100,000 and above (via side letter, capped at original SAFE percentage)

We're raising from those who believe that AI should belong to the person using it, not the company that built it.

Sovereign AI is inevitable.

The only question is: Who builds it?

And we already have.
