An Investment Structure Built Around Alignment

SAFE + Revenue Share

The contemplated offering combines two components.

A SAFE

The SAFE provides investors with the right to receive equity upon a future qualifying event under the terms established in the final offering documents.

This gives investors exposure to the potential long-term value created if Nedaj grows substantially.

PLUS

Revenue Share

Participating investors would collectively receive an agreed percentage of qualifying Nedaj revenue, distributed pro rata according to their investment, until the agreed revenue-share cap is reached.

That means investors aren't relying exclusively on a future acquisition or other liquidity event for the economics of the investment.

As Nedaj generates qualifying revenue, investors can participate according to the terms of the offering.

Revenue participation as we grow.

Equity participation if we build something much bigger.
