Fluid Equity: Turn Rent Into Real Fractional Ownership

The traditional rental model is broken. Tenants build zero wealth. Landlords fight high turnover and maintenance costs. Investors deal with volatile, debt-heavy returns.

We fix it with one simple idea:

Every month, part of the resident’s payment automatically buys them real fractional ownership in the building. That equity is fluid — it moves with them if they relocate.

The Model: 40-Unit Miami Example

We acquire stabilized multifamily assets using a 100% equity capital structure ($15M total capitalization). Residents pay a consolidated monthly amount split into two distinct streams:

  1. Stream A (Operations): Covers taxes, insurance, management, and heavy reserves to support target distributions for investors.
  2. Stream B (Equity Allocation): Funds a pre-determined monthly buyback of investor shares—priced at a 3.5% annualized appreciation rate—which are then reassigned to the resident.

Note: All returns and appreciation rates are based on the internal business model; actual performance may vary based on market conditions.

Our Skin in the Game

Management is deeply committed to aligning our interests with our investors. We accept our 2% acquisition fee entirely in the form of equity and invest our own capital alongside our investors from Day 1. Our success is directly tied to the performance of the assets and the long-term growth of the platform.

Use of Proceeds: The Seed Phase

The $250,000 seed investment is dedicated to establishing the core infrastructure required to scale our model. Capital will be allocated toward the following operational objectives:

  1. Corporate & Legal Foundation: Finalizing the Delaware LLC structure and ensuring full compliance readiness for future Regulation Crowdfunding (Reg CF) and Regulation A+ offerings.
  2. Technology Integration: Licensing and integrating our digital asset management systems, specifically the DigiShares platform and REX (RealEstate.Exchange) liquidity infrastructure.
  3. Operational Infrastructure: Developing a professional, scalable financial modeling system with integrated liquidity reserves.
  4. Acquisition Pipeline: Building a dedicated sourcing engine to identify stabilized multifamily assets in the Miami market that meet our specific investment criteria.
