CUBE Collective

One Company. Six Products. One Shared Technology Stack.

CUBE Collective is building a family of software businesses on a common infrastructure for identity, artificial intelligence, workflows, communications, payments, and operational evidence.

Instead of rebuilding the same underlying technology every time we enter a new market, we build the core rails once and reuse them across focused products with separate customers, economics, contracts, data boundaries, and operating goals.

Today

  1. Five CUBE products are materially implemented.
  2. Two first-pilot implementations are underway: CUBE OneCare and simpleTap.
  3. CUBE OneCare has public patient, provider, and admin applications, an interactive demo, and a public API.
  4. CUBE has a signed Stedi agreement, with eligibility and EDI functionality implemented in OneCare.
  5. Stripe Connect has approved CUBE for live connected accounts and charges.
  6. An Android payment terminal application has been implemented for OneCare checkout.
  7. CUBE Atlas, HARDWON, and Kadolia are moving through commercialization and market-facing completion.
  8. CUBE Assembly + Home is the next platform layer and remains pre-build.

The purpose of this round is straightforward:

Convert Built Technology Into Measurable Commercial Proof

We are not raising capital to determine whether we can build software.

We are raising to complete implementations, activate pilots, establish referenceable commercial use, measure real economics, and prove that a shared infrastructure can support multiple focused businesses more efficiently than building every product from zero.

The CUBE Thesis

Modern businesses repeatedly buy separate systems for identity, AI, workflow, communications, payments, documentation, reconciliation, and reporting.

Every additional system introduces another integration, another source of data, another security boundary, another vendor relationship, and another place where operational evidence can become fragmented.

CUBE is building a different model.

Build the Infrastructure Once. Apply It Many Times.

Across the CUBE ecosystem, the underlying technology can be reused:

  1. Identity and access
  2. Roles and permissions
  3. AI routing and orchestration
  4. Workflow and automation
  5. Communications
  6. Payments
  7. Operational evidence
  8. Auditability
  9. APIs
  10. Shared design and engineering systems

Each product then adds the specialized workflows required by its market.

The result is not six unrelated startups.

It is one technology company developing specialized products on top of a common operating foundation.

At the same time, we do not assume that success in one market automatically proves success in another.

Each product maintains its own:

  1. Commercial milestones
  2. Customers
  3. Contracts
  4. Data boundaries
  5. Regulatory requirements
  6. Economics
  7. Evidence
  8. Product maturity
  9. P&L

We do not stack unrelated TAM figures to create an artificial market-size story.

Each business has to earn its own market.

The CUBE Ecosystem

CUBE is organized into three strategic clusters.

1. Healthcare + Human Performance

CUBE OneCare

Healthcare operating platform

HARDWON

Fitness, wellness, member, coach, location, commerce, and operations platform

2. Money Movement + Financial Infrastructure

simpleTap

Contactless payments and merchant operations

CUBE Atlas

Unified financial infrastructure and orchestration layer

3. Creation + Commerce + Distribution

Kadolia

Personalized commerce and merchant infrastructure

CUBE Assembly + Home

Software creation, governance, cross-product interaction, and unified account infrastructure

CUBE OneCare

Healthcare Operations on One Connected Path

CUBE OneCare is our healthcare operating platform and one of the two products currently moving through first-pilot implementation.

Our initial focus is outpatient healthcare: private clinics, medical centers, and independent physicians.

The objective is to connect workflows that are traditionally fragmented across multiple systems.

A patient journey can move through one governed path:

Schedule → Eligibility → Encounter → Patient Payment → Claim → Remittance → Reconciliation

The product already includes public-facing applications for patients, providers, and administrators, an interactive demo, and public developer documentation.

Patient Application:

Provider Application:

Administration:

https://admin.cubeonecare.com

Developer / API Platform:

https://dev.cubeonecare.com

The public API uses OpenAPI 3.1, OAuth 2.0, and FHIR R4 foundations.

CUBE has a signed agreement with Stedi, and automated eligibility/EDI functionality has been implemented within OneCare.

Stripe Connect and the CUBE Android terminal application provide the foundation for patient-payment workflows.

Initial OneCare Revenue Opportunities

  1. Institutional software subscriptions
  2. Practice and organization licensing
  3. Implementation and configuration
  4. AI usage
  5. Communications
  6. API usage
  7. Payment economics where contractually applicable
  8. Future governed ecosystem modules

The near-term objective is not to claim hospital-wide replacement of incumbent enterprise systems.

It is to prove a complete outpatient operating path with measurable use, reliability, reconciliation, and economics.

Hospital, emergency department, oncology, and other complex institutional workflows remain future expansion gates.

CUBE OneCare OS, a longer-term Linux-based clinical edge initiative, remains multi-year R&D. A dedicated operating-system image is not included in current revenue, ARR, TAM, or valuation assumptions.

simpleTap

Make the Payment Simple. Make Everything Around It Accountable.

simpleTap is our second first-pilot implementation.

The product begins with a simple payment interaction — contactless or QR — but the larger objective is merchant operations around that transaction.

The workflow includes:

  1. Merchant activation
  2. Tap and QR payment experiences
  3. Digital receipts
  4. Messaging-style interactions
  5. Exceptions
  6. Transaction visibility
  7. Reconciliation
  8. Operational evidence

Website

https://simpletap.me

Stripe Connect approved CUBE for live connected accounts and charges through Dashboard and API.

CUBE has also implemented an Android payment-terminal application that is being used as part of the OneCare checkout architecture.

The immediate proof point is not transaction volume alone.

It is proving that we can activate a real merchant workflow, process the transaction through eligible providers, reconcile it, and understand the net economics.

Any Stripe startup credits or provider credits are treated as cost offsets — not revenue, TPV, or investment.

CUBE Atlas

One Control Plane for Financial Infrastructure

CUBE Atlas is being developed as a unified financial infrastructure layer for fintechs, platforms, credit unions, financial institutions, and enterprises that otherwise have to integrate multiple providers independently.

The objective is to normalize access to capabilities such as:

  1. Payments
  2. Banking infrastructure
  3. Treasury
  4. Issuing
  5. FX
  6. Compliance workflows
  7. Money movement
  8. Reconciliation
  9. Provider orchestration

CUBE itself does not need to become the regulated provider for every financial service.

Atlas is designed to orchestrate eligible licensed providers behind a normalized control plane and API.

Current Commercial Gate

The underlying product requires commercialization closure:

  1. Frontend and public-site completion
  2. Documentation
  3. Sandbox
  4. End-to-end QA
  5. Provider-backed live-route validation

The existing development catalog represents technical inventory and architecture.

It is not a claim that every scaffolded provider route is contracted, activated, or live.

The commercial milestone that matters is the first fully provider-backed route producing real operational evidence.

HARDWON

Operating Infrastructure for Fitness and Wellness

HARDWON connects the operating layers of a modern fitness or wellness business:

  1. Locations
  2. Coaches
  3. Members
  4. Scheduling
  5. Operations
  6. Commerce
  7. Payments
  8. Communications
  9. Business workflows

The product is materially implemented and moving through a market-facing refactor and launch-readiness process.

The next evidence gate is straightforward:

Public Completion → Launch QA → First-Location Use → Measurable Retention and Economics

HARDWON also gives CUBE another environment in which shared infrastructure — identity, commerce, communications, AI, workflows, and payments — can be reused outside healthcare.

Kadolia

Personalized Commerce With Infrastructure Behind the Checkout

Kadolia is CUBE's personalized commerce platform.

Its objective is to make a complex fulfillment transaction feel like one simple purchase.

A single checkout can support workflows such as:

  1. Multiple recipients
  2. Multiple shipping addresses
  3. Personalized products
  4. Bulk gifting
  5. Print-on-demand
  6. Proprietary catalogs
  7. Merchant workflows
  8. Fulfillment orchestration

The product is materially implemented and moving through its market-facing refactor.

The commercialization path is:

Public Refactor → Direct-to-Consumer Pilot → Merchant SaaS

The long-term opportunity is not limited to selling individual gifts.

The infrastructure can also become merchant software for organizations that need to manage personalized, distributed, or multi-recipient commerce.

CUBE Assembly + Home

The Next Layer of the CUBE Architecture

CUBE Assembly + Home is the one product group in the current CUBE portfolio that remains pre-build.

It represents the next stage of the shared infrastructure thesis.

CUBE Assembly

Assembly is being designed as a governed development and release system that can move from business intent to:

Product Specification → Implementation → Tests → Approval → Release → Evidence → Rollback

The objective is to improve how CUBE itself builds, validates, and ships software before expanding the system externally.

CUBE Home

Home is intended to provide one authorized account and interaction layer across CUBE products.

Instead of requiring a separate mobile application and a disconnected assistant for every CUBE product, eligible users could interact with authorized functionality across multiple products through one account and conversational layer.

Examples may eventually include:

  1. A patient interacting with OneCare
  2. A provider managing healthcare workflows
  3. A merchant interacting with simpleTap
  4. A financial institution using Atlas
  5. A member interacting with HARDWON
  6. A customer purchasing through Kadolia

Authorization remains governed by identity, role, policy, product boundaries, and explicit permissions.

Conversation history alone does not authorize an action.

Trust Fabric

The underlying concept is:

Identity → Policy → Action → Evidence

The first internal proof target is one reproducible CUBE release through Assembly and a Home experience operating across two authorized CUBE products.

Any future creator marketplace remains gated by:

  1. Security
  2. Intellectual-property controls
  3. Payouts
  4. Moderation
  5. Commercial proof

It is not live today.

Commercial Intent

CUBE has letters of intent relating to an outpatient OneCare path and an Atlas cooperative path.

These documents represent early commercial intent.

They are not booked revenue, guaranteed purchase orders, completed institutional deployments, or proof of retention.

The next stage is converting intent and implementation into paid, referenceable use.

What This Round Is Designed to Prove

The key question for CUBE is no longer simply:

Can We Build the Software?

The more important questions are now:

  1. Will customers activate?
  2. Will they pay?
  3. Will they continue using the products?
  4. Can we reconcile the economics?
  5. Can implementation become repeatable?
  6. Can shared infrastructure materially reduce the cost and time required to commercialize additional products?
  7. Can one customer relationship expand into additional CUBE capabilities?
  8. Can the platform generate referenceable evidence?

This round is designed to move CUBE across those gates.

Business Model

CUBE can monetize through five primary layers.

1. Recurring Software

  1. Product subscriptions
  2. Institutional licenses
  3. Organization licenses
  4. Location-based pricing
  5. Multi-seat pricing

2. Implementation

  1. Configuration
  2. Migration
  3. Integration
  4. Deployment
  5. Managed operations
  6. Professional services

3. Metered Usage

  1. Artificial intelligence
  2. Communications
  3. APIs
  4. Compute
  5. Workflow infrastructure

4. Transaction Economics

Where contractually and legally applicable:

  1. Payments
  2. FX
  3. Financial-provider economics
  4. Partner revenue share

These are reported on the appropriate net basis.

5. Future Distribution and Marketplace Economics

Potential future governed ecosystems may support:

  1. Modules
  2. Creators
  3. Services
  4. Distribution
  5. Marketplace revenue share

Those economics remain future and gated.

Our Reporting Rule

We do not treat gross transaction volume as revenue.

GMV ≠ Revenue

TPV ≠ Revenue

Gross AI Usage ≠ Revenue

Provider Credits ≠ Revenue

Revenue must be contractual, earned, and reportable.

Why Shared Infrastructure Matters

Building six products independently would require repeatedly rebuilding many of the same systems.

CUBE instead reuses common infrastructure wherever technically, legally, and operationally appropriate.

Examples include:

  1. Identity
  2. Authentication
  3. Permissions
  4. AI orchestration
  5. Communications
  6. Workflows
  7. Payments
  8. Audit systems
  9. APIs
  10. Deployment infrastructure
  11. Design systems
  12. Internal engineering tooling

This does not eliminate the specialized work required by each industry.

Healthcare remains healthcare.

Financial services remain financial services.

Commerce remains commerce.

But the horizontal systems beneath those vertical workflows do not need to be reinvented every time.

If proven commercially, that reuse can create two important advantages.

1. Lower Marginal Development Cost

A new CUBE product can inherit infrastructure instead of beginning from an empty repository.

2. Faster Commercial Iteration

Improvements to shared systems can benefit multiple products while each product preserves appropriate boundaries.

That is the compounding thesis behind CUBE.

It becomes meaningful only when commercial evidence demonstrates that the reuse produces better economics and faster execution.

That is what this round is intended to prove.

The Round

CUBE is raising through a post-money SAFE.

Target

$1,000,000

Maximum Capacity

$1,250,000

Post-Money SAFE Valuation Cap

$18,000,000

At the valuation cap:

  1. $1.0M represents approximately 5.56% of the post-money capitalization.
  2. $1.25M represents approximately 6.94% of the post-money capitalization.

The SAFE cap is not the same thing as a priced-round valuation.

A separate internal management reference range is not the investment instrument and should not be interpreted as one.

Investors should review the complete offering documents and SAFE terms provided through Wefunder.

Why Raise Now?

CUBE has reached a stage where additional engineering alone is not the primary objective.

The Priority Is Commercial Proof.

Capital from this round is intended to move CUBE from:

Implemented → Activated → Paid → Measured → Repeatable

The round funds the milestones that can make CUBE's underlying thesis measurable:

  1. Complete the first OneCare implementation
  2. Complete the first simpleTap implementation
  3. Generate real operating evidence
  4. Move customers toward paid use
  5. Bring Atlas to provider-backed route readiness
  6. Bring HARDWON and Kadolia to market-facing readiness
  7. Build the first Assembly + Home internal alpha
  8. Strengthen contractual, compliance, and operational foundations

Investors in this round are investing before those commercial milestones are fully demonstrated.

That creates potential upside if CUBE executes, but it also creates real execution risk.

What We Are Not Claiming

CUBE believes credibility matters more than inflated metrics.

For clarity:

  1. We are not claiming booked ARR from the current pilots.
  2. We are not claiming hospital-wide OneCare deployment.
  3. We are not claiming replacement or parity with Epic.
  4. We are not claiming that every Atlas integration shown in development is contracted or live.
  5. We are not claiming a live creator marketplace.
  6. We are not treating TPV as revenue.
  7. We are not treating GMV as revenue.
  8. We are not treating gross AI usage as revenue.
  9. We are not treating provider credits as revenue.
  10. Assembly + Home remains pre-build.
  11. Letters of intent represent commercial interest, not guaranteed revenue.
  12. Future financial-services functionality remains dependent on eligible licensed providers and applicable requirements.

Security, Healthcare, and Compliance

CUBE operates in markets where security, privacy, authorization, evidence, and regulatory boundaries matter.

OneCare is designed around HIPAA-aligned controls and healthcare interoperability standards.

Card-data scope is handled through eligible payment-provider infrastructure including Stripe.

Where external certification, audit, licensing, BAA, provider agreement, payer enrollment, bank relationship, PSP relationship, or jurisdictional approval is required, we treat it as a real gate.

We do not consider a logo, badge, UI element, pre-audit exercise, or internal control to be equivalent to an issued third-party certification.

Principal Execution Risks

Startup investing is inherently risky, and CUBE has additional execution risks associated with the breadth of its strategy.

Portfolio Focus

CUBE has six products.

This round does not attempt to launch all six equally.

Capital is prioritized toward:

  1. Two first-pilot implementations
  2. Three commercialization / market-readiness programs
  3. One internal platform alpha

Commercial Conversion

Implemented software does not guarantee paying customers.

Pilot activation, paid conversion, retention, gross profit, references, and repeatability remain milestones that must be proven.

External Dependencies

Execution can depend on third parties including:

  1. Healthcare partners
  2. Financial-service providers
  3. Banks
  4. Payment processors
  5. Clearinghouses
  6. Enterprise procurement
  7. Regulators
  8. Compliance vendors
  9. Infrastructure vendors

These dependencies can affect timing and economics.

Platform Execution

The shared-infrastructure thesis is valuable only if reuse produces measurable reductions in development cost, deployment time, or operating complexity.

That remains to be demonstrated commercially.

Capital

A larger ecosystem requires disciplined capital allocation.

Products must continue to pass milestone gates rather than receiving capital simply because they exist within CUBE.

Why We Believe This Moment Matters

There are companies that build one application.

There are companies that build a platform.

CUBE is attempting to build something different:

A Shared Technological Foundation Capable of Producing and Operating Multiple Specialized Businesses

The infrastructure is increasingly in place.

The products are increasingly visible.

The integrations are becoming real.

The next step is the one that matters most:

Proving Commercial Use

This round gives investors the opportunity to participate before that proof is fully established.

The risk is real.

So is the work still ahead.

Our objective with this capital is to replace projections with evidence:

  1. Activation
  2. Usage
  3. Payments
  4. Contracts
  5. Retention
  6. Reconciliation
  7. Unit economics
  8. Referenceable customers

That Is the Next Chapter of CUBE.

One qualifying personal account

OR

One qualifying business owned or controlled by the investor.

CUBE may require reasonable documentation of ownership or control.

Benefits cannot ordinarily be distributed across multiple unrelated businesses.

Not every CUBE product, plan, module, service, geography, or regulated capability will necessarily qualify for every software-related perk.

  6. Provider availability
  7. Security requirements

CUBE may designate eligible products and plans in good faith consistent with the economic intent of the applicable perk.

Meaning of “Lifetime”

For purposes of the CUBE Founding Investor Program, “lifetime” means for as long as:

  1. The qualifying investor remains eligible for the applicable perk;
  2. The applicable CUBE product or a substantially equivalent qualifying service continues to be commercially offered by CUBE; and
  3. Providing the benefit remains legally, commercially, and technically permissible.

“Lifetime” does not require CUBE to operate a discontinued product indefinitely or continue a product, plan, feature, geography, regulated capability, or service that CUBE otherwise retires.

Investor perks:

  1. Have no cash value
  2. Cannot be redeemed for cash
  3. Cannot reduce or offset the investor's investment amount
  4. Are generally non-transferable

  6. Are separate from the securities purchased

No Additional Securities Rights

Investor perks do not themselves provide:

  5. Management rights
  6. Governance rights
  7. Intellectual-property ownership
  8. Guaranteed pro rata rights

  12. Guaranteed reseller rights
  13. Guaranteed customer contracts

Any such right exists only if expressly included in the applicable securities or contractual documents.

Future Investment Opportunities

Where a tier includes priority notice of future CUBE investment opportunities, the benefit means that CUBE may provide qualifying investors with advance or priority communication regarding eligible opportunities.

It does not guarantee:

  1. That a future financing will occur
  2. That an investor will qualify
  3. That securities will remain available
  4. That an allocation will be reserved
  5. That investment terms will remain the same
  6. That a particular investment structure will be available

All future offerings remain subject to applicable securities laws, investor eligibility, availability, and the governing documents of that offering.

  5. Operations
  6. Security
  7. Compliance
  8. Intellectual property
  9. Hiring
  10. Capital allocation

Program Administration

CUBE may establish reasonable administrative procedures to:

  1. Verify investor eligibility
