Valuation & Conversion Terms

1. Valuation Cap: $6,000,000 (Post-Money)

Your investment will convert into equity in a future priced round at the lower of:

1. The valuation cap of $6,000,000, or
2. A 20% discount to the price paid by future investors

Ownership Estimate

If the full $1,000,000 is raised at the $6,000,000 valuation cap:
