The beauty of a convertible note option is that it allows for growth, without needing to have a proper valuation at the time of investment. So for $1000, it will be earning interest over the next 2 years, so for simplicity sake we can call that $70/year interest. After 2 years its worth $1140, and the idea from there is that it will be converted to actual stock at that point. That is where the discount comes in.
