Building the Future of Outdoor Access

AnglerPass launched on July 1, 2026 with the Rocky Mountain Angling Club already running on it. RMAC is a 34-year-old institution and one of the most respected angling organizations in the country — and it moved its entire operation onto our platform: 1,200 members, 44 private properties, and every booking, waiver, and payment that goes with them. Its President and VP of Member Services sit on our founding team with executed equity grants.

That is not a pilot. It is an established organization betting its whole operation on a platform that had not yet launched — and it is the clearest signal we could ask for that the outdoors has an infrastructure problem worth solving. Before we spent a single dollar on marketing, more than 750 RMAC anglers activated their new AnglerPass accounts and started booking fishing days, 44 properties went live on the platform, 6 guides came on board, 4 fishing clubs opened discussions about partnerships, and AnglerPass started generating revenue. Why We Started

Some of the largest opportunities emerge from industries that modern technology has overlooked. For decades, much of the outdoor recreation industry has run on spreadsheets, phone calls, paper forms, PDFs, and disconnected software to manage memberships, bookings, access, and communication.

And yet outdoor recreation remains one of America's largest and most passionate communities. Millions of people actively seek meaningful experiences on private land, private water, and unique outdoor destinations. Clubs, landowners, guides, outfitters, and recreation organizations serving them often lack the tools to manage and grow those experiences efficiently.

I've watched this problem up close for more than three decades. After founding a technology consulting company in Denver in 1992, I began working with the Rocky Mountain Angling Club — one of the most respected fly-fishing organizations in the country. Even as a highly successful organization, it struggled with fragmented systems and outdated processes. So did nearly every other club, guide service, and outfitter I encountered.

The more I studied it, the clearer it became: this wasn't a demand problem. It was an infrastructure problem — an access problem.

That realization became the foundation for Territory Holdings.

Territory Holdings: The Company Behind the Vision

Territory Holdings is the company investors are investing in. Our mission is to build the technology infrastructure that powers outdoor access — a portfolio of platforms connecting outdoor enthusiasts with private land, private water, trusted local partners, clubs, guides, outfitters, and extraordinary experiences.

A scalable vision. Every new platform in the Territory Holdings ecosystem benefits from the infrastructure, operational knowledge, and network effects the last one built.

Use of Funds

Capital raised through this offering will go directly toward the priorities above:

  1. Product & platform development — continuing to build out AnglerPass's booking, membership, and access-management tools, and the shared infrastructure Territory Holdings will reuse in future categories.
  2. Network growth — expanding our base of anglers, clubs, guides, and landowners beyond the traction we've already built following the July 1 launch.
  3. Team & operations — key hires in engineering, partnerships, and customer support needed to run the platform reliably as usage grows.
  4. Working capital & reserve — general operating expenses and runway to keep iterating based on real customer feedback rather than a fixed roadmap.

A Note on Liquidity for SAFE Investors

This raise is structured as a SAFE (Simple Agreement for Future Equity). A SAFE isn't equity today — it's the right to receive equity when a future triggering event occurs, typically a priced financing round, an acquisition, or an IPO.

Our long-term thesis is that Territory Holdings becomes the platform company for outdoor recreation access, with AnglerPass as its first proof point. If we execute well, we believe the most likely path to a liquidity event is a strategic acquisition — Territory Holdings becoming an attractive target for larger companies in outdoor recreation, marketplace or fintech infrastructure, or private equity roll-ups that would rather acquire proven technology, an engaged network, and category expertise than build it themselves.
