## Story
Heres our Pitchdeck Our founder & CEO, Patrick Kim had a moment of clarity while eating at a restaurant. So just like the other startups he built he called Aditya in India to build a team of hustlers. Our talent includes (1) CTO from IIT Bombay and (3) solid developers with startup experience. We onboarded some seasoned advisors who have been part of the biggest venture funded tech companies in recent times. The Big Problem. Brands spend an immense amount of time and money creating ads with their marketing team and advertising agencies. In many cases consumers just hate ads and they just want to see what their friends are up to. That’s when we realized that it's all about the customer’s opinion of a brand not what the ads say. We realized there was a huge opportunity to “DISRUPT” the $140B digital advertising industry. The IDEAWorth has built software that empowers consumer businesses to identify & convert their customers into marketers. We've built a Proprietary Search engine on social media platforms that can identify thousands of customers. Customers post IG stories about the favorite Brands for rewards and in turn recommend the brand to their Family & Friends. This is a really powerful recommendation that helps the business drive revenue. It’s all in the scale Worth has developed a scalable way to get thousands of stories a month for your brand and we do it with the help of our technology so brands can just sit back and see the growth. With the help of our search engine, customer success team, and app we are able to onboard a brand within 48 hours and generate stories at scale. Our average brand does around 600 stories from customers that creates a personal recommendation to about 12,0000-18,000 local friends and family. Our app makes it so easy for customers to promoteWe’ve been growing really fastWe decided to start with restaurants being the hardest industry to overcome and validate our idea and we’ve been growing like crazy since our launch in late July. Since our launch we have technology brands, agencies, CPG brands all starting to use Worth. We've also developed meaningful partnerships with industry leaders like.......And the numbers and revenue are growingSince we started in July 2 we’ve seen consistent growth in clients. We made $15,000 in Q3 and grossed $78,000 in Q4 2020. That's 500% quarterly growth! We’re really excited for the future and expect to sign on many more clients in 2021 as we expand our service offerings to other industries. - Q: Love what you're doing -- how do you see your strategy working across industries outside of restaurants?
 - A: That’s a great question - Leah Worth is currently working with multiple clients outside the restaurant industry. We have clients in the CPG, Health and wellness and CBD products; our product is industry agnostic. As long as your brand has a latent customer base that is talking about your brand on social media we can tap into that community and convert them into marketers.
- Q: Congratulation on the impressive growth. I have few questions 1. Can you share more info about how the 2 founders met, their educational background, course studied/major, and their previous work experience? 2. How much was invested by the founders? 3. Where is the team located? Seem like you are a remote team? 4. Do you build this software/web in-house or do you outsource the development to another team? 5.How did you get 800+ creators and Clients/partners to join WORTH? It is through ads or through word of mouth alone? 6. How do you validate if these creators are the real customers of your clients or do you have to be a real customer to promote these ads? 7. It says your lead investor invested $100k in this round but total funding to date in this campaign page show only $78k. Can u pls clarify on that? Thank you.
 - A: 1. Can you share more info about how the 2 founders met, their educational background, course studied/major, and their previous work experience? Patrick Kim - MIT/RISD Background in Product Management (5+ years experience) Previous Work Ex: Wax - Product Manager (Jan 2018 - Dec 2019) Aditya Mitra - BBA Finance NMIMS, Mumbai Background in Angel Investments and Venture Capital Previous Work Ex: Lead Angels Network - Analyst (Feb 2018 - Dec 2019) 2. How much was invested by the founders? The founders have invested personal capital into the business but it was not a significant amount. 3. Where is the team located? Seem like you are a remote team? We are a remote first company. Our team is located in the US and India. Patrick and Eric are located in Los Angeles, California Aditya, Yash, Vivek, Rehan and the other developers and user growth team are working from India. 4. Do you build this software/web in-house or do you outsource the development to another team? We have an in-house team of 3 developers who are working on Worth. Yash our CTO, Vivek our front-end lead and Dalon who takes care of backend development. 5.How did you get 800+ creators and Clients/partners to join WORTH? It is through ads or through word of mouth alone? We have not used any ads to acquire creators and clients. The client growth has been through cold sales and introductions. We actually have 8000+ creators that are using worth. Users/creators have been onboarded through the different brands we work with. Thus when we onboard new clients we also onboard new users. 6. How do you validate if these creators are the real customers of your clients or do you have to be a real customer to promote these ads? You have to be a real customer to promote for brands on Worth. Worth has built a search engine that uses geotags, tagged photos and hashtags to find customers from a brand. This helps us collect a large database of users from the brand. 7. It says your lead investor invested $100k in this round but total funding to date in this campaign page show only $78k. Can u pls clarify on that? Ethan (lead investor) has already made the deposit for $100,000. There is a glitch in the system and it is not showing the deposits made by some of our investors. We are currently working to get this issue resolved.
- Q: Would it work well for smaller companies with smaller social media base like Boutique gyms? I own a TITLE Boxing Club in Allen TX and interested in anything that improves my ad spend and helps members or former members engage. I am interested as an investor too but I know my market and the potential for the thousands of small gyms like mine that are currently fighting in the same space on Facebook. The marketing companies in that space now take same margin and use cookie cutter ads across all gyms from the same chain, rinse and repeat.
 - A: Hi James! That's a great question! Worth can help tap into your latent customer base to convert them into marketers. This allows you to create more organic recommendations around your boutique gym. If you think that your brand has hit a saturation point on Facebook ads, we think Worth would offer something different. As long as there is a loyal group of customers that are talking about your gym/s on social media, we can tap into that community and make them promote your gym!
- Q: Hi Worth Network Team, Congrats on the success so far. I like that you connected with RAD (one of my portfolio companies, read my analysis here at www.muhanzhang.com/rad) and articulated the difference between your products. One of my readers passed along your deal to me and asked for my thoughts. I’ve written a first pass of a deal memo (https://muhanzhang.com/worth-network-inc/) and had the outstanding questions below: 1. Business Model: I'm really surprised you've been able to charge 50% of spend as your revenue. How did you develop your business model and can you tell me more about why your customers are willing to pay this much? 2. Ideal Customer: What types of businesses have you found most willing to pay for this type of service? I see that you've got revenue and pulled in some strong connections for early enterprise sales. That said, when you scale, I assume you'll focus on a certain segment and dive in to serving those needs. 3. Vision: I saw you mention that, in some sense, this company is more of a NPS promoting company than an influencer company. Can you talk about what you see Worth becoming by year 3-5 in terms of being a customer empowerment platform? (If I'm understanding this correctly.) Thanks in advance for your responses. Bests, Muhan https://muhanzhang.com/worth-network-inc/
 - A: Hi Muhan! Thanks for taking the time to write a deal memo for us! I have answered your questions below. Business Model: Worth makes 50% of all ad spend. Users receive 50% in rewards and Worth takes 50% for providing this service. Since we target regular social media users the rewards are not high. Our clients can get 1000’s of stories for just $5 each, which they are willing to pay. We developed this model because we recognized that the average customer, who is not an influencer, has a big sway over their network. Our ideal customer would be a brand that already has a loyal customer base with some size. Brands with marketing teams that are investing in social media campaigns are ideal because they see the value in user generated content. We launched in the mid market restaurant industry because of the consumer behavior around food, however we have since expanded to CBD, CPG, tech platforms, and other brands that have a latent customer base. Worth wants to empower businesses by converting their customers into their marketers. We want to help the average social media user to earn rewards by sharing brands they love. People are far more likely to be convinced by their friends than ads they see on social media. In 3-5 years, We see Worth being used by users on all social media platforms as a tool to promote businesses they love and earning rewards. Thanks!
- Q: Hi Patrick, An interesting product, my question is how this is similar/different from Rad Intelligence, who also did a raise on Wefunder earlier in 2020. (https://wefunder.com/rad). Curious to hear your thoughts, if they're a competitor, what makes you/them different, etc... Thanks in advance for your answer.
 - A: Hi Amit! I actually know Jeremy (CEO of Rad Intelligence) really well. I’ve spoken about Worth on the Rad Intelligence podcast too. Worth and Rad are not competitors. Worth helps brands convert their best customers into their marketers. Unlike Rad, we target regular social media users not influencers.
- Q: Hi Patrick, impressive product! What's the effort involved to implement Worth on the client side?
 - A: It’s really simple for our clients to get started with Worth. Step 1: Sign up on the business dashboard Step 2: Select their budget Step 3: Upload content for their campaign Once we have this information we start getting stories within 24 hours.
- Q: Hi Patrick, would love an update to hear how things have gone in the past year since close of the CF campaign. ❤️
- Q: https://www.worthnetwork.io/ doesn't work. Can we at least get an update?
- Q: Website is down. Email sent to CEO is bouncing :( Does anyone in investor community know anything about this?
- Q: Do you intend to pay a dividend (post-SAFE conversion)?
 - A: We will be reinvesting profits into the company to grow and scale so that your equity will go up in value.
- Q: Hello how or where can we download your app?
 - A: Hi Larry! Thanks for reaching out! We currently onboard users from specific restaurant locations once they share content for them. We are keeping app downloads restricted to those users to ensure content quality standards are maintained on the app. We share the download link with the users once they share content for a specific restaurant. If you would like to bypass our location requirements and Instagram login requirements feel free to schedule a demo with me and I’ll help demo the app to you.
- Q: Hi Patrick, how are you evaluating API risk to the business? More specifically, seems like the company is taking a slice of the native ad budget from platforms (Facebook and IG) and you are depending on the same platforms for API-access to identify mini-influencers and post Stories. How do minimize the risk of getting cutting off from having sustained API access?
 - A: Hi Aksh! Worth is working with Instagram as a partner. We are not a substitute product to Facebook & IG Ads, in many cases our clients use both Worth and Facebook Ads. However to reduce platform dependence and mitigate risk by creating partnerships with other social platforms (TikTok, Snapchat, YouTube). Historically Instagram has been integrating influencer products, we think this partnership is something beneficial for Instagram
- Q: Hi, Patrick, you appear to have an interesting product and story; however, I'm having a hard time understanding the value to me of your investor perks, if I'm not a potential client or user of the Worth product. So my question is: If I invest $1,000 what is the value to me of the perk: "a free month of Worth including 100 free stories", and can this perk be gifted to a potential client? I'm also a little confused about the definition of the terms "Unit" and "Investment" as described in the Form C when it describes the SAFE as based on a price of $1 per unit with each investment convertible to 1 share of stock. Please refer to the 2/5/21 Form C in the "Price (or Method of Determining Price) section, which leads me to the question: If an investor puts in $1,000 based on the Form C, does this person receive 1,000 shares of stock (per the part that says: $1 per unit) once the future value is worth more than $5.5M; or does he/she only receive 1 share of stock (per the part that says: each investment is convertible to 1 share of stock). In advance, thank you for providing me with more clarification, Bruce in St. Petersburg, FL
 - A: Thanks for reaching out Bruce! In case someone decides to invest $1000, they can transfer the investor perks to potential clients! This perk actually helps us show our stakeholders how our product works. In relation to your question about the SAFE: That simply means every $1 invested is worth $1 of SAFEs. The actual number of shares you receive and the share price are contingent on what we're valued at when we sell stock later on. Item 13 of the Form C goes into the math a bit more, but you can also read the link added below to see how SAFEs work in general. https://help.wefunder.com/contracts/304785-safe-simple-agreement-for-future-equity
- Q: When do you anticipate being profitable?
 - A: Hi Kevin, That’s a good question We can be profitable starting next quarter but we are using the proceeds to help grow the company faster so that we can maximise the equity value of your investment.
