To finance the film we’re going out to the very people that made William Shatner what he is today – THE FANS – and giving them the opportunity to become “micro-financiers” by investing as little as $100 in exchange for a financial stake in the film. As a fan-owned company, Legion M is providing FANS-FIRST-FINANCING with terms designed to be easy to understand so you know exactly what you are getting into. These are not shares of stock in a company (like you get when you invest in Legion M) -- instead each Shatner Share represents an investment contract with Legion M that entitles you to a percentage of the Net Picture Revenue generated by the film.WHAT IS THE MONEY FROM INVESTORS USED FOR?Money raised from investors will be used to pay the people making the film (e.g. director, camera people, editors, etc), along with other costs of making a movie (licensing, insurance, set rental, etc). RELEASE PLANOnce the film is complete, we plan to sell distribution rights to one or more partners around the world. Our goal is to secure a traditional festival premier model, but the entertainment industry is very dynamic, and there are many different release models that may be utilized. Based on William Shatner’s worldwide appeal and Exhibit A’s track record as filmmakers, we hope there will be significant distribution opportunities available around the world. Our hope is that the film will be available for wide release in 2023, though the final release plan and date(s) won’t be known until we’ve secured distribution.PRODUCTION STATUSThe bulk of the film was shot at a soundstage in Studio City where director Alexandre O. Philippe performed 3 days of intensive interviews to capture Bill’s wisdom, insights, and stories. Additional footage has been captured at other locations, including Bill’s visit to San Diego Comic Con in July of 2022. The film is currently in production, with a goal of having final cut of the film available in time to premier in Q1 of 2023. HOW DOES THE FILM MAKE MONEY?Films like this have potential to earn revenue from one or more means of distribution, including festivals, theater tickets, DVD/Blu-Ray, Video On Demand, streaming, and more. The means of distribution can vary – some films employ a traditional release strategy that includes theaters/DVDs/VOD/streaming, whereas another may go directly to a streaming service like Netflix, AppleTV, or Roku. Some films don’t get distribution at all. Our goal for the project will be to license the film to one or more distributors who will be responsible for distributing the film in one or more regions (e.g. a country like the USA or a territory like South America) over a specified period of time (e.g. 10 years). The distributor’s job is to make as much money from the film as possible. In return they keep a cut of any revenue they earn (and recoup any out of pocket expenses they incur in promoting it) before paying the remainder to us.HOW IS REVENUE DISTRIBUTED?All revenue earned by Legion M from the distribution of the film (Gross Picture Revenue) will flow into a single, dedicated bank account. From there, Legion M will deduct any money required to pay third-party expenses (e.g. accounting, auditing, legal, etc) related to the film. Whatever is left over is split amongst the four primary stakeholders:Fan-Investors (i.e. the people investing in this offering).Legion MWilliam ShatnerExhibit A PicturesThe details of this arrangement can found in the subscription agreement, but the terms can be summarized as follows:Payment of any 3rd party sales commission and costs for accounting, legal, marketing, and administrative fees (including anticipated future costs) will be deducted prior to any distributions to stakeholders. 100% of any revenue remaining (Net Picture Revenue) after step (1) will be distributed proportionally to owners of Shatner Shares until those investors have recouped 100% of their initial investment.Any remaining Net Picture Revenue after step (2) will be split, with 33% distributed to owners of Shatner Shares and 67% distributed to the producers of the film (Legion M, William Shatner, and Exhibit A Pictures).This distribution of revenue is specifically designed to align the interests of all parties. Everyone involved is incentivized to maximize revenue and keep administrative/overhead costs to a minimum. And while there’s no guarantee the film will earn a profit, Legion M and William Shatner have put you in first position – they don’t earn any revenue from the film until your investment is in the black. WHEN WILL I SEE A RETURN?The amount and timing of Net Picture Revenue is heavily dependent upon the release strategy employed and the distribution partners involved. Until our partners are determined (which we don’t expect to happen until after the film is completed), it’s impossible to predict exactly when and how much revenue it will generate.For example, it's possible that the film sells to a partner who buys out the entire project, resulting in a single, lump sum payment. Or it's possible that we end up with multiple prong release that provides revenue in perpetuity.That said, generally speaking, we'd expect to start receiving revenue within 6 - 12 months after the film's release, with the largest chunks of revenue often coming within the first couple years after release. Every film is different, and we don’t expect to know what the economics of this one will be until after it has been sold.Net Picture Revenue owed to Investors (if/when it is due) will be paid at least twice a year. Payment will be made from Legion M to Wefunder, who will deposit each investor's share into the investor's Wefunder account. From there, the investor is free to use it for another Wefunder investment, or to make a withdrawal via ACH or Wire Transfer. At this time, Wefunder does not charge any fees for withdrawals, making this a very efficient way to distribute funds to investors. 2. **Do "Contributing Producer" and "Co-Executive Producer" level investors receive Producer level revenue split or do all investment levels get the same 33%? Also, in the contract, "customary" is misspelled as "custimary".**
   - Thanks for the question (and for pointing out the typo!). The answer is no -- even if you get a title with the word "Producer" in it, you are still defined as an Investor in the contract. The Producers are defined as William Shatner, Legion M, and Exhibit A. Sorry if this caused any confusion, and thank you for pointing it out.
3. **Am I able to use another person's name in the credits? Or can I only use my own name?**
   - That should be fine if you want to use the name of a loved one -- the only exception would be the named credits (i.e. Co-executive producer, etc). But in the Financier sections, that would be fine.
4. **When I told my brother about this fun thing, he asked if he has to be an investor in Legion M before he can invest in the Shatner doc, or if he can just go straight to the doc and invest. I've invested in both but couldn't answer his question.**
   - You don't need to be an investor in Legion M to invest in the documentary. Or vice versa. They are completely independent of each other.

- Q: For future projects would the legion consider capping the max investment amount per person to allow more people to get on board for these projects?
  - A: This is a great idea, Andrew, and in the future we'll definitely consider it. This first project was a test, and it sold out very rapidly. Ultimately, our goal is to make this as accessible to as many people as possible.
- Q: As predicted, the film didn't find distribution. Jeff and Paul will attempt to self-distribute. There's a reason nobody does that. It isn't just convincing theatre owners to show the movie. No theatre owner with a brain will take this film in exchange for a share of box office, even with 100% of concession sales. Because the audience is miniscule. They may permit Legion to rent a theatre, which is called "four-walling". Except Legion is effectively out of money so they won't be able to muster the coin needed for a rental. If they do, then they have to market locally to get people into the theatre, which also costs money that they don't have, all on the night that the Ghostbusters sequel premieres, the 3rd weekend of Kung Fu Panda 4, and 3rd weekend of Angel Studios' next release. But hey, maybe we finally get to see how much of the "Legion" actually shows up to support the film! After all, that's the whole point of Legion M, isn't it? And when they can't book more than a dozen tiny theatres, and they sell 600 tickets, they'll spin it and say "We sold out!" But the proof will be in the money investors never see. Congratulations. You all have just lost 99-100% of your investment. I hope it was worth it. Oh yeah, didn't Jeff say something about how they weren't pushing risk on to the investors? I don't know what else to call it when Legion M loses nothing and investors lose everything.

Basically, if you look at the pot of net revenue, the first 100% goes back to investors (based on the % of your investment compared to the entire 750K raised), and 33% of every dollar after that. Returns don't come in the form of profit sharing or dividends from our projects, so any ROI is tied to the long-term value of your stock and if we are successful and able to IPO (or have some other listing/exit) in the future. - Q: With box office GROSS of $444,000, across 285 theatres, there were between 8 and 11 people at each show. Jeff, what happened to the Legion "standing behind everything we make?" How many of the Legion actually purchased tickets? Oh, right, you don't collect that data, do you? Funny thing -- you've intentionally created a model that has no way to prove if the Legion actually shows up. Are you the first start-up in history that has "forgotten" about proof of concept? Well, in this case, the box office tells us they didn't show up. And investors beware, "net revenue" means AFTER the theaters either take their revenue cut (usually 30-50% of box office) or Legion pays rental fees PLUS marketing expenses PLUS fees paid along the way PLUS festival expenses. You will be lucky if you see 5% of your money back. Most likely, you'll see nothing. But Jeff and Paul continue to use your money to pay themselves for delivering negative value. Now you see how they pushed all the financial risk for this misguided fanboy project onto investors while taking on none themselves.
