## Story
After a successful exit with a startup Internet media company that grew to over 100 million&nbsp;monthly&nbsp;Internet visitors, our founder, Jerry, looked to emerging technologies for his next company. With his love for building things and the potential of 3D printing for changing lives, it was a perfect fit. He thought it would be an easy process to get started and to hire the expertise needed. He and the other co-founders were wrong.&nbsp;It took a few years to match quality 3D printing with existing technology and equipment, build up expertise, and&nbsp;identify the correct markets. &nbsp;Now that the startup years have passed, we are ready to scale for the masses. Our projection for 2017 is $9M, but this is dependent on a number of deals closing based on potential customers making an investment in their product lines. - Q: When white cloud goes public, will my shares as an investor or ownership position in the company be converted to stock or what happens. Will I be a part of the IPO?
  - A: Unfortunately, it is not an easy answer because of all of the unknowns and variables that could take place down the road. That is one of the advantages of a SAFE, the valuation price is determined at the next priced financing or exit event, when professional investors, typically venture capitalists – set the price for the preferred stock, but typically at a lower price because of the earlier investment. Let’s explain a few things and then get to the answer. A SAFE converts into shares at a pre-agreed price and pre-agreed trigger events. These trigger events are: A “qualifying round” (where the company raises a round of equity investment through the issue of shares to investors – This could be a formal series A round with a venture capital firm or investment firm); --- OR --- an “exit event”, where WhiteClouds sells its shares. This could be in the form of an IPO (going public), a SPAC-Special Purpose Acquisition Company (going public), or an acquisition (another company buys/acquires WhiteClouds). At the time of a “qualifying round” or “exit event”, your shares of stock are calculated by using the valuation cap of the SAFE. It puts a maximum price on the price of the stock - the lower the price of the SAFE, the more shares you will get. For example, if you invested at a $20M valuation cap and the triggered event is based off of a $100M valuation cap, the amount of stock you'll get will be priced off the $20M number. In answer to your specific question, if an IPO is occurring, the SAFE would convert into stock (assuming it hasn’t already been converted with a “qualifying round” beforehand) at the pre-agreed stock price/discount rate. At that point, there could be a number of options: leave your stock as is, the company goes public and then your stock would be like any other public stock and you could see the value on the stock charts. Sometimes during an IPO, there will be restrictions of what initial shareholders can sell – there may be a waiting period. All of these are negotiated as part of the IPO process. Sell your stock at the time of the IPO. Sometimes during an IPO, shareholders can sell at a pre-determined/pre-negotiated opening stock price. This too, is all negotiable as part of the IPO process. If there is an acquisition exit event instead of an IPO or SPAC, the SAFE is converted into stock (assuming it hasn’t already been converted with a “qualifying round” beforehand), and then the shareholder receives proceeds (typically cash) of the acquisition based on the number of shares the shareholder owns. If the acquiring company is public, sometimes the exit proceeds are in a combination of public stock and/or cash. As you can see, there are a lot of variables that come into play. Hence, why SAFE’s can be a very effective tool for early stage investors.
