## Story
We solve a huge fitness motivation problem for consumers in a way that's never been solved before. We've harnessed the immersive power of VR to create a lasting solution for thousands of consumers today, and millions once VR becomes commonplace. Only VirZOOM lets you move through virtual worlds under your own power much like in the real world. Our thousands of customers use body motion to travel the globe alone or with friends—using 10 million miles of Google Street View to travel to some of the most breathtaking places on Earth. They explore, fly, battle, and play in VR and as they do they get the exercise they need that they've never gotten before. Not the latest exercise gimmick. The future of fitness."A sun-kissed mountain peak beckons me ... I glance to both sides, taking in views of serene waters mingling with grassy fields. What are those white dots in the distance? Ahh, sheep! But I’ve had enough of Westfjords, Iceland, today, so I opt for a change of scenery — and settings. Within a few seconds, I’m tooling along a leafy section on Capitol Hill in the District, whizzing past red-brick rowhouses and every car in sight.Al least [with VirZOOM] that’s what it feels like."A new category of gaming ... Users pedal in order to move around the games’ different settings, which include traditional cycling terrain, racing an Formula 1 car and even riding on the mythical Greek flying horse Pegasus." "Looks like VirZOOM 'broke the cycle' of stationary biking boredom 🔥"In 2021 we launched on the highly curated Meta Quest store. VZfit for Meta Quest is a revolutionary fitness solution that combines dynamic body movements with the power of Google Street View in VR. Our goal is to use groundbreaking technology to allow our users to enjoy a wide variety of fun and challenging activities in VR while getting fit.VZfit, our VRfitness app, quickly became a leader in Facebook's VRfitness offering after we launched it for millions of Oculus users. Our ground-breaking technology transports you into VR worlds where you engage in activities you could previously only dream of. You react to AI and real people in the world around you and they react to you. You are excited and active. Exercise is a bi-product.COVID-19 accelerated demand for in-home fitness solutions, and thousands of consumers have discovered VZfit. It brings the outdoors indoors. Play alone or with friends and family. Eventually, the pandemic will end, but the need for ways to stay fit and connected with others will remain."The onset of COVID-19 rapidly accelerated the workout-from-home trend, which had been building slowly for years... Americans have been forced to figure out how to exercise differently as gyms closed and remote and virtual work set in. Virtual fitness accelerated a decade in a matter of weeks." "So I saddled up ... adjusted my headphones, and suddenly found myself astride a white, winged stallion... you really did need to see for yourself. I could never have imagined this would be a pleasant way to work out. But here I was, pumping away without even realizing I was moving my legs. My thoughts were exclusively about preventing my sweet Pegasus from plummeting to his death... If VR fitness can do anything, it can make you stop counting down the minutes of a workout. In 2018, we launched VirZOOM on WeFunder.Since then, over 160,000 customers have used VZfit to improve their health and we’ve received countless rave reviews on our Facebook User Group. Our patented VRfitness technology gives our customers the unique ability to move through the world under their own power to deliver a groundbreaking experience that has made us a leader in the VRfitness marketplace.Today, we’re back for another round of funding to support our growth. We’ve grabbed hold of the market, secured high-profile partnerships, and are well on our way to defining the post COVID-19 "New Normal." Join us for the ride! “[With VZfit] 20 minutes have flown by and I haven’t even noticed”"Last night I flew on a winged horse in a magical land, piloted a helicopter through a peril-filled river canyon, rode a horse in an old West stampede, and blasted tanks in a desert landscape. Oh, and I burned a few hundred calories too, all from a stationary bike in my bedroom. The best part?I barely noticed I was working out.The game is VZfit by Virzoom, and you play it on Oculus Quest."There’s a surging need for home fitness solutions right now, as consumers are eager to avoid highly trafficked gym environments. However, working out at home presents unique challenges—in particular, it can be difficult to self-motivate and stay interested. It's hard to stay motivated during home workouts.VZfit by VirZOOM changes that by combining the addictive fun of VR gameplay with an immersive, full-body workout experience. The result? People work out for longer, more days per week. Our patented VZfit technology answers an untapped market need, Our unique approach to gamifying fitness changes people's lives, andOur Facebook's Oculus Quest store arrival gives us a significant competitive advantage. By thinking differently we cracked the code to VRfitness to become a market leader."Strapping a VR headset to my face and taking a seat on an exercise bike isn’t my idea of fun, but fun was exactly what was served up when I tried out VirZOOM’s platform. A cycling game was obvious, given the input mechanism, but a flying pegasus and a tank game were not. The games were both eye-openers in terms of exercise and VR, making it more than the sum of its parts.""VirZoom is VR's first exercise bike... exercise bike, meet race cars, Pegasus, and battle-tanks. Virtual reality and spinning come together ... I broke a sweat over half an hour pedaling a tank, a puppy race car, and flying my horse around the mountains. I liked the distractions and challenges of bike gaming, too.""Saying that I enjoy riding with VZFit is an understatement. I am getting close to 70. Diagnosed with type 2 diabetes, heart disease and all the other stuff thst comes with eating horribly and not taking care of yourself. Since starting with VZFit I have dropped 40 pounds and reversed my type 2 diabetes.” - Gary Smith, customer since 1/6/19, 36,745 VZCals burned, 717 miles traveled inside VZfit. "Most VR motion controllers are trying to translate real-life hand movements directly to in-game characters .... Even worse, without a large carpeted space free of sharp objects, it’s not advisable to free roam with a VR headset on. The VirZoom manages to get us moving in VR in a way that feels more useful than bumbling around your living room."“[With VZfit] I ended up tracking down bandits for a solid 20 minutes longer than I intended to, which is, I suppose, exactly the point.” "I think that VirZOOM is the best thing to happen to indoor bike training!" - Donna Christiansen, customer since 1/29/19, 76,868 VZCals burned, 1,552 miles traveled inside VZfit. We will continuously expand our unique VRfitness apps offering to increase the variety of activities available to users to improve both customer acquisition and retention."Not an hour goes by that I don't think about when I'm going to play this again. ## FAQ
1. **Do you have patents or patents pending on the VR product?**
 - The company's pending patent "Virtual Reality Exercise Games" claims are primarily related to VR motion techniques that permit VirZOOM VR Fitness Program designers to engage the user in exciting activities in large virtual worlds with minimal locomotion discomfort. Validation of the effectiveness of these motion techniques is evidenced in interviews with thousands of test players since 2015 and Amazon reviews of the company's 1st generation product, the VirZOOM VR Bike; reviewers do not compl...
2. **Among the risks is the following: "The Company may never receive a future equity financing or elect to convert the Securities upon such future financing." Why might the Company elect not to convert the Securities upon a future equity financing?**
 - As is the case for any company that is seeking a future qualified equity financing round, VirZOOM may not succeed at finding the needed source of funding. VirZOOM is seeking to raise a Series A equity round. As will be announced shortly, the company has retained Shiboomi Capital, a Boston-based boutique investment bank to lead the Series A raise process to help minimize that risk. As is the case for any company raising a Series A round, it is possible that the new investor(s) funding a future...
3. **Peloton's success seems to indicate that people prefer to exercise in the convenience of their own home rather than going to a gym. Why are you focusing on the commercial market at this point, rather than improving the consumer model and marketing it more widely?**
 - Great question, Ken. I address it in this post I just made: https://wefunder.com/updates/9...
4. **"As is the case for any company raising a Series A round, it is possible that the new investor(s) funding a future round of equity financing will negotiate changes to the terms of existing securities, possibly including the conversion of outstanding convertible notes. These ar...**
 - Yes, using this formula you can roughly calculate the potential uptick on an investment in VirZOOM via the SAFE with an $8M cap and 20% discount IF the proposed $7M investment at $18M closes and IF at the $18M pre-money valuation proposed is achieved. However, the mechanics of the conversion of preexisting convertible Notes are such that the conversion of the SAFE at these terms will result in a lower uptick than would result if the SAFE converted in the absence of these preexisting Notes, an...
5. **VirZoom Team, 18 days an no answer to my question regarding the difference between this round on WeFunder and the previous Reg CF round on NetCapital... the silence is deafening.**
 - Hey Andrew. Missed this one. Our NetCapital raise was a Common Shares offering while WeFunder is a SAFE raise, the former is an equity security and the latter a debt security that converts into equity in a future qualified financing.

## Q&A
- Q: Plz reduce min investment amount. $500 is too much for non US ppl.🙏
 - A: Hi Rakesh, If lowering the minimum will help to include more of our friends we're certainly open to it. Please like Rakesh's question if you'd like the minimum lowered to $250. -> Sept. 27 Follow-up: Your request is quite reasonable and we were hoping to be able to accommodate it. With apologies, the Wefunder team informed us today that for SEC compliance reasons the minimum raise amount for a campaign cannot be changed following campaign launch. We wish we could but the rules are the rules. It is set at the $500 level based on the advice that the minimum for a new campaign should be 50% of the average investment of the previous campaign. For VirZOOM that is 50% of $992. Thank you for asking and for your understanding.
- Q: What's the price per share?
 - A: Hi Peter. Looks like we missed this one back in 2019. At the time the company was offering a SAFE with a Conversion Cap of $8M. That SAFE is converting into the current $30M pre-money Series A preferred priced shares round at a ratio of the Pre-Money Valuation $30M/Conversion Cap of $8M = 3.75. Each $1 of SAFE purchased then converts into $3.75 worth of Series A preferred shares. A conversion table is provided in the Sept. 2021 Update: https://wefunder.com/updates/148844-business-update-and-wefunder-campaign-announcement. The PPS of the current Series A round is $0.49 and discounted 20% to $0.39 for investors who participate in the first $250,000 raised.
- Q: Hi Eric, The 1st campaign on Netcapital was at $0.94/share and this round is at $0.39/share or $0.49/share ? Please clarify why the share price is less ?? Is it a down round ?? Or Netcapital share owners get more stocks ??
 - A: Hi Sagar. I have posted a detailed reply to this question on the Netcapital site: https://netcapital.com/companies/virzoom/ask-a-question Long story short, we were forced to take a down round in 2018 back when the VR industry was widely considered to be "dead" and investment in VR companies was nil. According to one VC source, 95% of VR companies failed during that period. There were other factors explained in the reply at the link above. As Common shareholders, Netcapital investors took the same hit that the VirZOOM team did. That inside round and subsequent rounds got VirZOOM to the place we're in today. VR and the Metaverse are growing fast and VirZOOM with it. Metaverse investment interest is strong. The environment today is the polar opposite of early 2018. Since the Netcapital round in 2017, VirZOOM has only offered SAFE and Convertible Note securities to investors, and now Preferred shares. We have not since then offered Common shares to investors and don't intend to going forward. We have concluded from that experience that offering Common shares to investors exposes them to too much risk.
- Q: 1. On the SEC website I see that your net loss was over $3 million in 2017. When do you expect net income to be positive? 2. You have over $6 million in convertible notes outstanding which is a lot of debt. Are you planning to issue more such debt going forward? Isn't issuing equity simpler and more fiscally responsible? 3. What is the expected revenue for 2018? 2019? 2020 and beyond? 4. What is the $ value (size) of your market (VR stationary bike market)?
- Q: Hi - I invested in this raise and have not had a single update from the company for years (and they do not reply to emails). Is there any information you can provide?
- Q: Hello, I've gone through your fairly informative FAQ, but I'm not sure I'm understanding things exactly; if you could clarify please:. It seems you started out with vzfit and vzplay using stationary bikes. And it seems from your overview page that user experience with this was extremely positive, and that this really set you apart from the competition. The only problem there was that CAC was high. After that you migrated to Oculus (quest store), which helped reduce your cac. Only problem there was that you're not allowed to use third party devices like stationary bikes. To which you've evolved, and now have vzfit modules that don't require stationary bike use. So two questions here: 1) if going forward you're going to focus on Oculus quest, then what happens to your development of products or modules for your stationary bike customers from before? Are you leaving them out in the cold; are they left with just the same gameplay experiences as before, with nothing new? 2) what now sets you apart from other fitness apps in Oculus quest? Yes I understand you have 6dof, etc, but what I'm asking really is about inspiration (v technical expertise) in a way -- you come from a background as an avid cyclist, and using that experience/drive drew inspiration to create a cycling experience in VR -- a thing that meant something to you. This set you apart from your competitors who were bringing things to market possibly based on perceived functionality or "product-market fit" or ideas. Can it/will it be the same when there's no longer a saddle involved?
 - A: Our focus will always be on VR exercise games that employ fitness equipment (bike, elliptical, rower, etc.) to enable the user to move through large virtual worlds freely with 6DoF. These VR apps deliver a far higher quality user experience and wider variety of experiences than can be achieved by VRfitness apps that constrain the user to arms and legs movement within the VR headset "safe" area and do not permit the user to move continuously through VR worlds in a natural way under their own power and control. There are only so many things you can do if movement is physically constrained to a small space in the real world and movement through VR worlds is limited to teleporting from one place to another. The range of possibilities that the bike and 6DoF VR motion controls opens up is nearly limitless... pedal a bike, tank, F1 race car; fly a helicopter or Pegasus, you name it. That said, we will also continue to design our VR exercise games to operate in modes that do not require fitness equipment. VZfit for Oculus Quest is the first of these. VZfit can be used in Standing Mode without a bike (head tracking and hand controllers only) or in Biking Mode with a stationary bike. While this mode does not employ our patented VR motion controls, "device-less" modes of use give our customers the option to engage in upper body exercises in addition to leg-based cardio, and allows Quest users who don't yet own fitness equipment to try the VZfit concept.
- Q: Why is now the right time for VR? This industry has been heavily discussed since 2012, receiving large investments along the way. Please tell me why it’s different this time.
 - A: Thank you for your question. The VR industry is been evolving rapidly since the first expensive and complex PC-based VR systems appeared in early 2016. A mere 4 years later, the cost has declined from $2,500 to $300 with the recent introduction of the Oculus Quest2 stand-alone headset. Ease-of-use and a wide range of high quality VR applications is now driving rapid adoption. We are pleased to be part of this next phase of the VR industry growth as we develop an application for the Quest that was curated by the Oculus Store team. Details on the Quest2 are available here: https://wefunder.com/updates/1...
- Q: how much time this round has till it closes
 - A: Hi Joseph. This campaign is scheduled to close on July 6.
- Q: With the recent meltdown of Peloton, what will be the impact on VirZoom? Can VirZoom target a small percent of the 6.2 Milliom Peloton Digital Only customers to convert to VirZoom?
 - A: Peloton's challenges are complicated. Yes "mistakes were made." The thing to keep in mind is that Peloton has disrupted the fitness equipment industry much the way that Tesla disrupted the auto industry. Under the hood, so to speak, Tesla is a high tech company that makes automobiles. Tesla's philosophy to deploy technology to solve the consumer transportation problem is completely different than the approach that auto makers take. Similarly, Peloton is a high tech company like Tesla and is also an on-demand content business like Netflix. Innovative and not just a fitness gimmick. Despite the recent rout in the stock market PTON is still trading close to its IPO price, which tells me the bankers got it right and those speculating on the stock after that got over a bit their skis. Peloton has the right idea and talented and motivated management. Extending the Peloton brand into the Metaverse could help both Peloton and VirZOOM. VirZoom's shareholders are better served by VirZOOM cooperating with Peloton rather than by competing.
- Q: Hi, if I invest 1000 USD What will I get? Lifetime membership and what else? Some kind of payment if project will be successfull? Thanks!
 - A: Hi Lubomir, A $1k investment purchases 2,040 Series A preferred shares @ $0.49/share. For more information on preferred stock, please see Wefunder FAQ on the topic: https://wefunder.com/faq/securities#preferred-stock Any investment of $1k or more qualifies you for a free lifetime VZfit membership, equivalent to a $99.99 annual membership for ten years.

 - A: Hi Brian. We've been plugging away, and achieved a major milestone recently as summarized here: https://wefunder.com/updates/162323-virzoom-receives-major-content-development-grant
- Q: hows things going and will i be seeing this lovely company that i invested go ipo or market soon im looking for to seeing it
 - A: Hi Joseph. While I'm not at liberty to speculate here on the company's near term prospects for a liquidity event, I can say that the amount of acquisition activity in the AR/VR industry is encouraging. The major platform players are expand their product lines and battling for dominance. The recent Apple announcement is significant. Tim Cook is betting the company on visual computing, stating at the Apple Visual Pro is the leading edge of an ambitious plan to replace the 16-year-old iPhone with a visual computing platform. This comes after Zuckerberg bet Facebook's future on the Metaverse in late 2022, even changing the company's name from Facebook to Meta Platforms. It will be interesting to see how Google and Microsoft respond in the coming months.
