There are three components at play here: 1. The asset completion and resulting CASH-FLOW heading to investors during that 4th year; Distribution projections: Years 1-3 = $0 Year 4 = 12% Years 5 = 20% Years 6+ = 22%-23% (each) 2. Principal pay-down or EQUITY-BUILD; and Let's skip to year 10 if ok = just about exactly the amount of the original investment amount or 100% 3. DEPRECIATION pass through to investors ( I am leaving this out of calculations because there could be some recapture down the road for anyone that sells their position) The kicker is figuring in the 20% early bird discount advantage. You can roughly add on 5% to the overall ROI to the Cash Flow + Equity Build vs your investment amount. I invested in the last round, and honestly, I'm investing in this round primarily because I really appreciate your frequent and thorough updates. I learn a fair amount from you, and that alone has value. You are by far the most prompt and transparent founder I've seen on Wefunder. My question relates to valuation. I'd be interested in investing quite a bit more money, but I'm just curious how you arrived at $100,000,000. What makes the equity multiple change so high if the plan and investment returns are unchanged. How does the interval change in assets/cash flows justify such a high equity multiple relative to the past round? Also, are you running Reg D as well?","author_name":"Casey Melcher","votes":2,"created_at":"2022-01-02T18:55:52Z","canonical_url":"https://wefunder.com/viro#question-185893","answers":[{"id":186006,"entity_id":"wefunder:comment:186006","answer":"Casey, the valuation was extremely conservatively based in the very first round. In fact, we based it upon only two projects rather than the full eight projects. What also came into play was the carbon credits into a clearer view. We are not running a Reg D now and the end of the fundraising will end here shortly as we have some sales of future value contracts mentioned in previous updates that appears close to cashing in. I wish I could provide more details on it in this response, but I would like to wait until we close the deal to comment. Even at that, it will be general comments as some of what we are doing on the selling contracts side is unique and innovative. I know this is not exactly answering your question, but I will share this: There are three revenue sources from these projects: 1. Lease rents 2. Fertilizer sales of dry powder 3. Carbon Credits When we are talking about selling a contract, we are looking at something in the $8M range for each of the 8 projects now (noticed this number increased for those following super close) for a total of $64M. There is a cost to build facilities of that almost amount although slightly less. So, let's say that cancels out that entire line item for 15 years of rental income. What we have leftover is the Fertilizer and Carbon Credits revenues without any offsetting facility operational costs because it's addressed in the lease rent category. What I can tell you is that the numbers for the 2nd and 3rd categories are significantly larger than the first line. The figures used in the projections you have read are extremely conservative as they were made early on. Now we have the benefit of knowing what we know today to better understand the projections are conservative on valuation. I don't mean to dance around your question too much but hopefully that provides you a gauge. I will leave you with this comment we have made in the past. Each facility produces over 60,000 carbon credits. At $10 each for the voluntary market and around $40 for the 45Q in 2022 for a total of $50 each...multiple by 8 facilities over 10 years. then we sell all ten years up front to these purchasers....you get where this is going real fast I am sure.","author_name":"Paul Koenig","votes":2,"created_at":"2022-01-03T21:22:58Z"}]},{"id":185631,"entity_id":"wefunder:comment:185631","question":"Hi Paul, Merry Christmas and Happy New Year to you and your family!! ... I am very interested in investing in your company, but would just like a quick clarification if you would please? Just as a simple example: If an investor invested $10,000 at this point into Viroment, the \"early bird\" discount is still in play, so that would be 2,500 shares at $4.00/share. If you are projecting a 20% annual return when distributions are implemented, would that mean this particular investor would get $2,000 per year in distributions (80 cents per share)? Similarly, if your were projecting a 50% annual return, would that mean this particular investor would get $5,000 per year in distributions (2 dollars per share)? Or are the distribution calculations done differently? Here is an overview of the income streams: 1. The facility lease. 2 Dry power Manure sales 3. Carbon Credits marketed to third parties All the profits are rolled into funding the balance of the 8 unfinished projects. Now that the first one is complete all those profits are rolled into accelerating the original 4-year completion for all eight. It has not tightened up to be complete in mid-2022 for all 8 facilities. Then the Manure sales that were projected have since doubled in value for the targeted sales contract. Finally, those carbon credits have several facets to them and we are marketing the first of those uses with a wall street trader top 50 Fortune 500 (company). What is the ROI? I can tell you that before all the above it was projected to be 20+% ROI per annum average over the first 10 years. It is now projected far in excess of that figure. In the coming weeks, we will go over each of these categories in detail laying out the income streams. We are planning on pre-selling most if not all of those future contracted revenues upfront so we can enjoy the profits now rather than wait the 10 or 15 years these contracts will run.","author_name":"Paul Koenig","votes":2,"created_at":"2021-09-11T17:39:11Z"}]},{"id":134800,"entity_id":"wefunder:comment:134800","question":"Hello Paul. We have two long term massive projects and both revolve around sewage sludge as the application; the city of Houston (which is part of the Texas water hub for the five largest municipalities in TX) and China. We were part of the US trade mission to China and cut a deal directly with a 100% state owned entity. Now before we go to far I’m gonna be very clear, each and every person I’ve met in China is 100% serious about the environment and has been nothing but kind to us. As part of this high profile Trade Mission we were the only environmental deal out of all the US companies. In fact, we were the sixth largest deal overall for trade event. States such as Alaska in West Virginia As well as big companies like Thermo Fisher Boeing and Dow Chemical were all there to name a few.We were probably the only name that was not recognizable to the average person involved in the event. That being said it was a massive deal, and as such, there’s quite a bit of validation that needs to be done on the part of the Chinese. The last year has essentially stopped all travel to China and basically put a pause on the project validation phase. We are in communications with them and have become good friends as well. Both sides are excited to move forward as fast as possible once travel restrictions are lifted. We still have our Houston project in process and are nearing the end of that validation face as well. In Houston we have Rice university finishing up their data dump in the next several months. As is always the case with government no matter where you are in the world it runs on their time schedule and not yours it can be very frustrating it very well rewarding as well if one can stick it out. In the meantime, Russ and Chris were very persistent in pushing Nebraska hog barns. The first time I met them was when they came down for the showcase in Houston to the Chinese delegation traveling to the United States for validation phase of American projects. One thing led to another with Russ and chris and fast forward about two years later and here we are building a massive amount of facilities for some of the largest protein producers on the planet. We are excited to get back to China as one out of every four people on the planet lives in that country and that’s a lot of sewage that can be addressed. The Chinese government will find all of it and we will bring American parts and components with us to China making incredible improvements to the environment. They also want us to help them with landfill leachate, river water and so many other things. The goal is to create many American jobs through the parts and components and Chinese jobs through assembly and installation inside of China. The shortest answer is that big deals take a long time. Viroment is up for the task, it will be worth it.","author_name":"Paul Koenig","votes":0,"created_at":"2021-03-14T12:27:21Z"}]},{"id":132776,"entity_id":"wefunder:comment:132776","question":"Hi, what is the patent that is used for this process (\"Our unique and patented real-time processing equipment\") and who owns it?","author_name":"G. K.","votes":2,"created_at":"2021-02-27T21:20:46Z","canonical_url":"https://wefunder.com/viro#question-132776","answers":[{"id":133076,"entity_id":"wefunder:comment:133076","answer":"Viroment granted a lifetime license for Viroment Equity (this offering entity) to use on all 8 facilities being built. While the Patent has been issued for the core technology there is another complete and separate layer of patenting specific to this agricultural manure vertical which in the first 18-month window of the process (design/process inclusion of \"EC\" which we touched on in an update on this site you can learn more about and some unique sensors and meters). Here are a few touchpoints: SHORT HISTORY ON THE CORE The core filtration system has been around for well over 100 years. Coke, Pepsi, the wine industry, and many other \"low-content-solids\" sludges at industrial speed volumes use this very type of system. The only problem is that as soon as the solids are a little too rich (high) the entire process no longer works properly...or at all. The top of the sludge tanks where sludge is drawn from process well but the bottom (where the solids are higher) did not work at all! Why? Well...What if we simply added water to the higher solids mucky sludge? It worked like a charm. So we patented it (along with some other aspects) and surprisingly no one else had ever done this (or even attempted to apply this technology on any serious level successfully to the higher volume industries. PATENT ISSUED We recirculate our own filtered water to the front of the treatment train to perfectly goal seak an optimum solids level for filtration. Imagine if you had to use freshwater? Talk about going compounding the problem! As simple as it was, we had a winner! Pretty odd to think that one needs to add water to make the extracted solids drier! PATENT PENDING/IN PROCESS We cannot talk much about this category for obvious reasons, however, we can tell you it has to do with: 1. The process design of the facility as it related to real-time manure processing and recirculation of the disinfected and filtered water. 2. Coupling of the EC technology (You can find out more about this technology in one of our updates) with our filtration process. GENERAL STATEMENT While we are proud of this game-changing technology and design the main winning equation for investors is really the high credit lease for 15-years and the massive principal pay down. The special equipment we install creates an additional revenue stream that is amazing for the bottom line. INVESTOR VIEW From an investor's point of view concentrates on the lease and 40-yr barn asset principal paydown as well as the revenue from the equipment creating. Over 22% ROI ave first 10 years! FROM A SUSTAINABILITY VIEW 1. We conserve loads of water eliminating the need to haul off-site; a $150k/yr savings (WIN)! 2. The dry solids converted to pellets are worth over $250k / yr (Another Win). Adding $400k to the bottom line increase per year is pretty big. The facility cost is $5.2M we are looking at massive wins over a 15-year guaranteed contract term with the high credit tenant. Is the equipment and patent important - Of course, but as someone once told us early in the process to deflate our accomplishment: \"The technology is really only 5% of the equation at best....it is the everything else part that matters.\" We know this is more info than you likely wanted to know, however, we just wanted to take the opportunity to let you know why Viroment is a great investment and didn't want you to make any decisions based upon 5% of what makes us the best investment on the platform!","author_name":"Paul Koenig","votes":1,"created_at":"2021-03-01T17:27:46Z"}]},{"id":310649,"entity_id":"wefunder:comment:310649","question":"no update for few months now?","author_name":"Arvind Shinde","votes":1,"created_at":"2025-07-01T14:45:57Z","canonical_url":"https://wefunder.com/viro#question-310649","answers":[]},{"id":308849,"entity_id":"wefunder:comment:308849","question":"We have not heard from leadership for the last 3 years.
