Urvin Finance is on a mission to empower individual investors by democratizing access to professional-quality data and tools.Our team has deep and unique experience in the space. Our CEO -Dave- and CTO -Zak- have been building high-performance software and quantitative analysis platforms in finance for decades - they know what the pros are used to, and know how to build software. Our COO -Alex- is an award-winning startup founder with deep experience in community building and strategic operations. Communities can be gated to users who hold shares verified by connectivity to their broker or based on whether they hold a particular NFT. All community functionality can be web3-powered as well, from issuing community NFTs to using NFTs as gating mechanisms.In our first attempt at building out what we call "Mintable Moments" we created a community-generated NFT with various pictures and stories submitted by our community.Urvin Finance is a mission-driven organization dedicated to empowering individual investors. This includes helping individual investors represent and advocate for themselves on critical market structure reforms. We founded and have led We The Investors, a grassroots advocacy campaign for market structure reform, and our first letter to the SEC was signed by 71,574 individual investors. We issued NFTs to them, with over 13k NFTs claimed. We also issued NFTs to the investors in our pre-seed round, which will entitle them to a badge on the platform.Our pre-seed round created the foundation for a successful company - sharing equity in the company with our community, and raising $1.25M from over 1,350 individuals. The Terminal will have the highest quality data available to individual investors, with community collaboration and integrated education throughout the platform.We released the first version of our alpha product in late May and the most recent version on June 29. We expect to open the platform to our beta waitlist (current just under 10k) in early August, and to fully launch our platform to the public in the fall.There are several ways that The Terminal will be a sustainable, profitable business.    - My apologies - I didn't see this question until today. From what we have seen, the quality of that data is very low. It has led to a lot of misunderstandings on Reddit when analysts examine the data. We want to provide professional-quality data and data visualization tools. We also plan on building a collaboration platform for communities to research and collaborate on developing investment ideas together.

- Q: Why should I place capital at risk in this project when (as far as I can tell) none of its founders have?
  - A: Hi Jake - your decision to invest is entirely your own. Our structure and cap table is very standard for a startup at our stage. I would argue that as founders, we are dedicating our lives and careers for many years into the future into this venture, and that is a material and substantial investment. I'd hope that our investors would agree and feel similarly.
- Q: How are you gaining a competitive advantage over other firms like "atom.finance" that provide a very similar terminal style app and has the fremium model where you pay to gain more insight into research and tools for scrubbing financials at a higher volume? It would seem that they are one of your biggest direct competitors in this untapped space and already have a head start with their platform launch. Also, how are you handling real time pricing feeds with vendors and passing the benefit on to the subscribers? Is this behind your paywall and managed by you or can individuals subscribe ad-hoc? What about options and other non US market pricing if applicable? I feel this would make for a very advantageous product offering if you are able to open the door to these areas or is that out of scope of your product in general?
  - A: Market data and data visualization is one part of our product, but not the entire product. Community collaboration, education and advocacy will also form the core of our offering. Our intention is to provide access to global data sets as well. Atom looks like they have good data, and so will we, but our intention is to provide far more than just data. We also intend on providing everything we can for free, and only charging for what we have to charge for. We hope to provide a lot of free resources, in addition to the paid functionality.
- Q: Dear Dave, Could you clarify as to the legal entity we are going to invest in, using the SAFE. The main title says "Invest in urvin.finance", then the entire peach discusses "Terminal". You mentioned earlier that "Urvin AI" was granted/will be granted 20% of Terminal in exchange for lending/selling/licensing the IP. It will be very difficult for me to make an investment decision while the entities and their relations are not well-explained. Few questions with respect to current uncertainty: (1) urvin.finance / AI(?) has only 20% in Terminal, therefor the valuation of Terminal should be $75M (for a product under development?) (2) What are the EXIT scenario you foresee? IPO for Terminal? for urvin.finance? M&amp;A of one/both of them? (3) Who owns the rest of 80% of Terminal (4) Does urvin.finance has IP/Technology other than this (Terminal) that could be serve in other products or the current valuation represent the Terminal only.   - A: Hi David, Yes, the legal entity is Urvin Finance, Inc. That is the company that will be producing the product that we call The Terminal. To answer your questions: 1) The valuation cap on the SAFE is $15M, which is for the entire company, not just the stake that investors will be receiving upon conversion. We base that on the substantial IP that we're bringing into this, and the size of the community that already supports our efforts. 2) In terms of an exit, I'm mainly focused on building a successful, sustainable/profitable company with a service that our community loves. Once we do that, I imagine we will have many options in terms of realizing liquidity for investors and founders. I think it's pretty early to think about at the moment, but to clarify there's only one entity here that would be involved in such an exit - Urvin Finance, Inc. - which is what you'd be invested in. 3) The rest of the 80% is owned by the founding team, with some set aside for early employees, advisors and another C-level partner. The cap table has been uploaded within the Wefunder system. 4) We currently use the IP for other services related to financial services, primarily for running analytics on large data sets, measuring metrics around Transaction Cost Analysis and some pattern recognition algorithms for market manipulation such as layering and spoofing.   - A: Hey Ben! I appreciate your support. Investing $1,000 will first buy you shares in Urvin Finance. In terms of the application - yes, we will have all the standard metrics and indicators, advanced charting, and a wealth of fundamental data that I haven't seen available anywhere else for retail. - Q: Will this platform be able to provide historical data on the price of options that can be exported to a CSV or equivalent? If so, how detailed can that data be, could someone access a log of the price for every transaction of an option for a given company, strike price, and expiration, for example?
  - A: Hi John, Thank you for the questions. The highly granular options data is indeed on our data rollout plan, but it's tentatively scheduled closer to the end of year one and likely won't be available at launch. The options data set is bigger than all of our other current data sets combined, so there's a lot of math to work out with our providers. Further, in order to achieve the prices we're targeting, all of the data has to be accessed from within the terminal and can't be pulled offline in CSVs. This is why we're working hard to offer a variety of ways of viewing, plotting, and transforming the data — and eventually we'll add some more customizable options for people to write their own analysis scripts. When buying highly granular options data in a CSV-like format, it's typically packaged in month chunks covering all symbols which runs $5k-12k per month. Sometimes you can get smaller blocks of symbol-months for less. One possibility we're exploring with our providers is to enable people to purchase a single symbol in a narrower time frame from within the platform that they can then download offline.
- Q: Do the amounts of the 2.5m goal and the raised 1.4m include the non WeFunder direct investors? If no, can you disclose if you have significant investors besides the crowdfunding on WeFunder?
  - A: No, this does not include non-Wefunder direct investments. At the current time, we do not have any investors that have invested more than 10% of the $2.5m goal or 10% of what we have raised. If that were to change for this round, we would disclose it to our current investor base. We are thoughtful about who we accept investment from, and are dedicated to ensuring that they are aligned with our mission.
- Q: What is the current state of Urvin Finance? There was a rush to get our investment, but I have heard very little from the team and "The Terminal" is no where near finished. Maybe I am missing something, but what exactly were we investing into if there is no useful service or product? Maybe I am being impatient? EDIT: I was responded to and all is well. I feel comfortable at this time with where Urvin.Finance is and where it is going. I hope we see some updates and fully working platform soon, but I understand that the markets are a very expensive and hostile environment towards anyone attempting to make it fair for everyone.
- Q: It's my understanding that to keep costs low, we won't be able to download and work with any of the data. Since that's the case, has Urvin considered including a data validation tool in their offering? There are a number of "retail" datasets that I would love to test against a "reference." Specifically, timeseries / volume data, company financial statements, and historical implied volatility datasets. It's not something I see being done a lot but would hopefully be possible without interfering with any of the licensing restrictions. Just seeing that X time series dataset is consistently lacking volume compared to the Reference or whether the financial statements offered by newer startups are being parsed correctly as well as adjusted for proper accounting standards, would be immensely helpful (and not something most retail traders are capable of doing for themselves).
  - A: Hi Nicholas! Thank you for the great question; it covers a few areas we've made some progress in as well as items on the roadmap. The first is that we've negotiated with some vendors to allow downloading of certain data sets and we're going to try to make sure that the Urvin community can obtain as much as our licenses will allow. On top of that, we've been building data redundancies into the platform for many of the major sets so that what we provide has validation or explanations for differences in methodologies. A couple of planned features are also relevant to your goals: in the nearer term, we're going to enable users to upload/link their own or external data sets so that they can operate on them with the regular platform tools; and in the longer term, we're looking at ways of providing in-cloud compute for more custom analyses on all data, including sets that cannot be downloaded. The charts, tables, and analysis results from all of the above will be able to be shared with other community members.

- Q: Hi Dave/Team, Following up on my question from May 22, regarding the SAFE note converting to equity. I asked because at the time my investment had not converted to equity and after your response I reached out to Wefunder support. At this time my SAFE note has still not been converted to equity and the last response I received from Wefunder yesterday stated "We are currently in communication with the Urvin Finance team over an issue with the amount of shares we received." Can you shed any light on the situation for me? That was a bit of a concerning response to get about my investment. Thank you.
  - A: Hi Brian - Thanks for the question. Your investment did indeed convert which is reflected in Carta's - Urvin's transfer agent's - records and documentation. WeFunder failed to accept the certificates via email confirmation from Carta - hence them being out of the loop - but I shared this morning with them the stock certificates and documents (that they would have had access to if they had accepted the Certs from Carta prior). Their inactivity however does not compromise the fact that your SAFE investment did indeed convert as follows: WeFunder SAFE $$ Raised = $901,653 Price per share at conversion = $1.0477 (USD) Total Shares in Wefunder SPV as a result of conversion = 866,327 I hope this helps, and I hope WeFunder is able to clear up any confusion on their end, but rest assured - the SAFE debt was converted and the shares are there. best - and thanks again for reaching out.
