## Story
Ten years ago, Sabrina and I realized the world was about to change. The computing landscape as we knew it would forever be transformed, enabling humans to walk around wearing fashionable smart glasses that would allow them to essentially replace most if not all of the core functionality we currently have in our smartphones. However, even though it was clear to us how impactful and life changing this technology could be, one thing remained an unsolved puzzle:How were we supposed to interact with these new wearable screens? We started thinking about all the different known input methods, from voice, to buttons, to air gestures, EMG, brain wave analysis, and taps.We tried to imagine people carrying around small keyboards, joy sticks, controllers, mice, mini air gesture sensors or using external devices. What started as a thought experiment very quickly became an obsession. It kept us up at night for many weeks, we looked through studies, watched science fiction movies, and imagined new devices - some more theoretical than others. Finally, we invented Tap - a solution so simple and so powerful that it is amazing that it was overlooked by the major companies. After thoroughly testing Tap against all other options, we knew it would be the most practical, reliable, viable, and affordable to not only develop, but mass produce, educate, and onboard people. Now, ten years later, Tap is being used for everything; controlling music and media to typing in over 20 languages, and helping artists and gamers instantly trigger custom commands. But the best is yet to come. While tap is still raising money on early stage terms, it has achieved many milestones far beyond other comparable companies:We have already sold over 50,000 unitsWe already have 8 patents in the USA and 1 in EuropeWe are already in discussions with all of the major tech companiesOur founders have already each successfully exited their previous companies, providing their shareholders with great returns. We already have over 6,500 investors in Tap!Our technology has been proven to function with a wide range of applications across many industries and with hundreds of devices. We are in a unique moment in time, literally the final moments before the dawn of a new era of computing breaks through. One which we believe will be heavily reliant on our technology.Sabrina and I are both accomplished electrical engineers who have spent most of our careers as entrepreneurs. In our previous companies, Sabrina co-invented the CMOS imaging sensor, which is the underlying technology for all digital cameras as we know them. Thanks to her contribution to science, (for which she won an Emmy), we are all able to take photos and videos from our smartphones, webcams, digital cameras, and more. When word got out about Sabrina’s invention, I was so excited, I immediately contacted her and was actually the first person to license her new chip. I needed it for my previous company where I invented the digital X-Ray that was used in dentistry. After we both successfully commercialized our technologies, Sabrina sold her company to Micron, and I took my company public on the NASDAQ, and then sold it to one of the world’s largest medical devices companies, Sirona. Our shared history in inventing, commercializing and exiting companies made our decision to join forces for Tap an obvious one.The system we developed is fundamentally very simple. Our patented technology is able to identify finger taps, swipes and pinches and transmit a command to any Bluetooth device based on that tiny motion. This means that you can tap any finger (or combination of fingers) on any surface, and transmit anything from a simple letter, number, or symbol to advanced macros and keybinds to any device that is capable of receiving this information. In other words, you can tap your finger on your wrist to play and pause songs, increase the volume, trigger an AI command, take a photo, answer a call, scroll through notifications, and respond to a text message, all without having to say anything out loud, or hardly move your hands.Tap enables you to have a complete, discreet, fatigue-free input ability, wherever you go and whatever you are doing. In 2018 we started selling our first generation of our system - the Tap Strap. While we only planned on selling 1,000 units to validate the technology and get actual user feedback, we've now sold over 50,000 units of our products which gave us a unique, crystal clear view of the future. People all over the world were adopting our devices, using them in extreme scenarios and use cases wilder than any imagination could come up with. This rate of learning is 10X faster than the time it takes the average person to learn how to type with a QWERTY keyboard.Myth: Tapping is inaccurate, slow and unreliable Reality: Tapping is very accurate, fast responding and very reliable.Professional digital artists, musicians, and even gamers have customized the inputs to best suit their needs, and are able to bypass complex input situations simply by tapping a finger. For example - tablet artists have been able to cut the time they spend on switching between tools, layers, and triggering redundant actions like ‘copy, paste, redo and undo’ by more than 60%.Even if you have not been closely following the latest developments in technology, you've probably heard of:ChatGPT and the rise of Generative AI modelsApple’s Vision Pro headsetRay Ban Meta Smartglasses - a collaboration between Facebook parent company - Meta and the manufactures of the Ray Ban brand - EssilorLuxotticaWe’re seeing an increasing trend of adoption of AR & VR devices for both consumers and enterprises. Projections not guaranteed.Projections not guaranteed.Projections not guaranteed. When Meta introduced their second generation Smartglasses that included their AI agent their sales started skyrocketed, over 1 million units sold in 2024.Meta’s ability to sell out their Smartglasses in most Ray Ban’s stores, caused a major FOMO across all of their competitors who have been scrambling to come out with their own version of the smart glasses.Projections not guaranteed. Some analysts predict that the AR and VR industry will account for 1.5 trillion dollars of the global GDP by 2030 (in only 5 years!).Over the past 10 years we have solidified our position, publishing 8 patents in the USA and 1 in Europe, all while fine tuning our detection models and optimizing our onboarding flow. Most importantly we have been able to reduce our technology into a quarter-sized wearable that can clip only any watch band or fitness tracker. We've also expanded our library of gestures and can now offer any manufacturer the ability to include Vision Pro styled pinches and swipes and immediately ship it to their customers.Simply put - our solution enables the major technology companies to easily bundle Tap with their offering, thus increasing the capabilities without incurring additional costs to support the input abilities people want. Our business model is simple and straightforward. We will either license the technology to them so that they can integrate it directly into their products, or bundle our device with theirs allowing both companies to grow together. The road to an exit is also clear with 2 options:Sell the company to be integrated into one of the major technology companiesIPO the company We invite you to not pass on this opportunity and invest in what could very well become the new standard of user interface.

## Q&A
- Q: [Please correct me if any of this is incorrect.] Anyone considering an investment in TapSystems should be aware that the CEO, David Schick has had SEC injunctions against him for accounting fraud and cover up. Schick and codefendant Fred Levine have been bared from serving as officers or directors of any issuer of public securities. The final judgment also required that Schick pay a civil penalty of $330,000 without admitting or denying the allegations of the complaint. The complaint alleged that Schick and Levine knew of or recklessly disregarded the fraudulent practices and deception of Schick's independent auditors, and were responsible for Schick Technologies, Inc’s improper recording and reporting of the inflated revenue. David Schick notes that he took his pervious company Schick Technologies, Inc’s (“STI”) public on the NASDAQ in less than five years. STI IPOed on the NASDAQ in July 1997, however, on Sept 15, 1999 the stock was delisted from the NASDAQ. PricewaterhouseCoopers, resigned as the company’s independent accountants on Aug. 25 1999. The company was re-listed in Dec 2005 under another CEO. SEC announcement of final judgments: sec.gov/litigation/litreleases/lr19279.htm SEC announcement of the filing of an enforcement action: sec.gov/litigation/litreleases/lr18464.htm And here is the complaint in full: sec.gov/litigation/c…aints/comp18464.htm News of delisting: diagnosticimaging.co…ick-delisted-nasdaq Since TapSystems didn't disclose these issues, I thought I’d do it here and give the company an opportunity to respond.
 - A: This matter is disclosed in our form C. It involves a settlement over 20 years ago with the SEC. There are a number of misstatements in this summary, including that the Company was re-listed under a different CEO - this is not true, I was the CEO who got the company re-listed. I would also note that none of this has any relevance to Tap Systems business.
- Q: This is cool product but with $13M in funding and only $2M revenue in lifetime and $2M in loss for 2020 and only 800K of revenue for the same year, You lose $7 for every dollar invested, this project is already dead, don't burn another cash on it there is no demand
 - A: The value of this technology rests with how it can be used with emerging technologies such as AR and VR, not with present computing platforms. I think that the fact that we have achieved the revenues that we have is a strong indicator that the technology works, that customers like it, and that it does what we say that it does.
- Q: Am a proud investor of Tap Systems Inc.
 - A: Thank you for your support!
- Q: Follow up question, I did further DD, and found that your social media, specifically areas that can generate insane user demand (Instagram) are not active with last post dating back to fall 2020. Also, there is no Tiktok account, although this product is the kind that is perfect for tiktok videos. Any reason for this?
 - A: Hi Calvin, We actually do not get much demand from social media at this point, so we use our resources in other areas.
- Q: Dovid , what are the companies you are planning to colaborate with? And what are the companies that provides VR and Hologramic Screen solution and is ready to adopt your technology? And what is the protections have you taken to stop big tech giants to copy your tehnology? And what is your revenue till date and sales to profit magin. And at last do you have any plan to make your company public? And as have alredy applied to invest in your company. How long does it take to complete the legal framework?
 - A: Hi Arghya, We have patents that protect our technology - here is a link to the Justia page with the issued patents https://patents.justia.com/assignee/tap-systems-inc. You can get our financial statements from our last annual report, filed with the SEC at https://sec.report/Document/0001062993-21-003977/. I expect that the legal work for this offering will be filed within the next two weeks.
- Q: WIll you share your financial statements and projections for the future? Thank you
 - A: Yes, financial statements will all be shown on our page when we file our Form C, (which we are now finalizing).
- Q: I saw some news coverage recently about PISON (https://pisontechnology.com/control.html) and some of their wearable input devices. At first glance, some of their devices seem rather similar to what Tap's appears to be targeting. Are you able to comment on how the Tap wrist wearable's capabilities may compare to other competitors like PISON?
 - A: Hi Landon, Psion is developing a gesture recognition system based on 'electroneurography', which is more commonly called 'electromyograpy', or EMG. In short, I do not believe that this technology works well enough to be used commercially, and has many fundamental limitations, such as having to be trained individually for each user.
- Q: Hello! I was the early investor in the previous raise and received my tap strap however I dind find it beneficial and hardly ever used it. What happened to that product...please elaborate and why now, the wrist?
 - A: Hi! Thanks for your investment! The Tap Strap is still selling! However, the wrist wearable is easier to wear, and is also better integrated with AR and VR systems - where it has it's primary use.
- Q: Have you received interest for a straight up acquisition from any of the major players in the AR/VR space (e.g. Oculus with Facebook)?
 - A: Hi! Sorry, but we are not able to comment.
- Q: Im back with another investment thanks for the opportunity.. that new design looks amazing. you got a pretty unique peace of technology
 - A: Thank you for your support.
- Q: Hi, I would love to hear about how the company is doing so far and updates about our investment in the company. Is there an app to trace our investment? I would appreciate it if this information were provided. Thank you.
- Q: Maybe Tap Systems Inc cam do a partnership with or a collaboration with Naqi Logix
- Q: In answering questions on electromyograpy you’ve said that you don’t believe facebook or any other company will be able improve this tech enough to be used commercially. You’ve mentioned limited accuracy and requirement for individual calibration as limitations. If accuracy can be improved, I don’t see the need for individual calibration as a fundamental limitation. After all the tap wearables require a period of learning as well. Can you please offer more detail as to why you’re certain that EMG based input tech will not ever succeed? What are all of its fundamental limitations? What can I read to convince myself that you’re right about EMG tech? I don’t mind reading difficult material.
 - A: I don't believe that surface EMG accuracy can be improved enough in real life situations to detect a complex set of subtle gestures. Each time a muscle moves, it provides an EMG signal. However, the electrodes that provide that signal also move slightly, which changes the impedance with the users skin, thus causing a strong noise signal. In addition, if the user is moving in any way, the EMG signal will also contain information from that motion, not just from the gesture. In addition, users are not consistent on how the perform a specific gesture and any given time, in any posture, and in any context, so the training task is not as trivial as it may seem. There is a lot in the literature about this. A good starting point is this paper: https://www.ncbi.nlm.nih.gov/pmc/articles/PMC8038633/
- Q: I see there is a possibility of creating a new Ecosystem, that can replace a smart phone when you pair TAP wrist with a compact mode of display like Smart Glasses. Please expand the scope with plans like these to integrate more daily smart wear like smart watch or Smart band into the TAP Wrist.
 - A: That is exactly the roadmap that we are executing. We already integrate with all of the popular headsets - Apple Vision Pro, Meta Quest, Microsoft Hololens, Magic Leap, Vuzix, XReal, etc... We currently also integrate with the Apple Watch and Galaxy, and have an attachment that allows users to wear our sensor module on any watch or fitness monitor. In the longer run, we will reduce the current module to a single chip, which will allow the manufacturers of the watches and bands to easily integrate Tap into their products. This will truly make Tap the universal solution for interacting with digital technology.
- Q: Hello. I believe in your product and want to invest in your equity stake. What is the minimum we can invest? What is cost of each share? Since I am located outside USA, how easy is it to receive my ROI?
 - A: Hi Mohammed, You can invest the minimum ($100) for the offering. If you wish to get the preferential terms, the minimum is $25,000. There is no difference in treatment within the USA or outside.
