   - Hi Ryan, Talino's ownership of its portfolio companies range from 22% to 100%, depending on which stage these companies are in. The criteria to IPO depends on a variety of factors ranging from market timing , the health of our gross margins, and road map for growth. As a Public Benefit Corporation, we will do what is in the best interest of the communities we serve while keeping the interests of our investors top of mind.

## Q&A
- Q: Can you explain to me your rationale for adding a redemption clause to the SAFE? Why should an investor renew the investment after the addition of the clause?
  - A: Hi MN - SAFEs are primarily intended to be converted to preferred shares. But there are cases where the company will need to make a redemption or a preferred share conversion does not happen. We determined that 200% redemption rate is fair from our perspective. As an investor, this is something that you should definitely consider when making an investment.
- Q: Am I reading their terms update correctly to specify the upside on an investment is doubling the original capital at best? Isn't the point of seed investing to have an out of the park investment to cover all the ones that don't make it? This seems like unlimited downside with very restrictive upside.
- Q: Not saying that you will do this, but if the company becomes a billion-dollar unicorn, you can use the Redemption Clause to redeem the SAFE by paying about $900K (roughly 2x the current investment of $450K), correct? As an investor, that's a little unnerving, so can you talk about the scenarios where you envision invoking that clause?

  - A: Hi Quang - Some of our portfolio companies leverage blockchain technology for financial services but we do not offer blockchain for private sales of equity or asset.
- Q: If any distribution of profit sharing or income or Payback of some sort to shareholders??? How will the Payback of the loan be made to international non-accredited shareholders as income to our bank accounts or wallets?? As shareholders at least communicate with us on a bi-annually or quarterly basis or wharver is regulated by the SEC. I believe accountability, transparency and responsibility should be held to the standards of any company.

Early investors take all the risk, then once you have success, pay out the investors and hold the early investors shares to takeout later equity of 10x or much more!
