1. **As you plan and scope out this movie, what do you anticipate will be your biggest challenge in the realization of this project?**
   - Another great question!&nbsp;The biggest challenge for us is that we have a limited budget to produce the film, which, in turn, means that we have limited time and fewer days to shoot it. We are scheduled for 18 days of production on TMTT. This schedule&nbsp;is certainly doable, but we will all be working crazy hours to get the film in the proverbial "can"&nbsp;(or as I like to say, "on the hard drive").&nbsp;

- Q: I am sorry to contact you via this method but could locate no other contact info. I received my 2019 K1 without a problem. I have no received my 2020 K1 and it was sent in a format not compatible with Mac. No (big) problem, I opened it on a PC, instead. Except it is password protected and the instructions your accountant provided to open it (last 4 of TMTT's EIN + TMTT's zip code) will not open it. The email sent by the accountant states they will not provide the actual PW, though. (seems kinda dumb... I would only need it if I had actually received a K1, which means I'm probably entitled to seeing it!?). Looking forward to seeing the film. BTW- I happen to have 4 capuchin monkeys (and a bunch of other primates, as well- we run an exotic animal sanctuary) and can tell you that they are NOT cuddly nor do they make good pets!!! I hope you had better luck with your "actor".

- Q: Invested a month ago and it was accepted. Increased my investment 3 days ago and it still say "investment increase pending", and 4 hrs later the round closed. Will this extra money be approved or is it likely that this increase won't go through? Still waiting on confirmation.
- Q: Henry, The operating agreement on the SEC website is less than ideal, but is legible, at least for me. There is nothing in the agreement that I have found to be unusual but you should continue to work with the company and Wefunder to get a copy that you can read since I wouldn't expect anyone to invest without having read all of the documentation. Your big worry seems to be the company hoarding profits for years at a time. This isn't a tech startup that could have reasons to hold cash to use for growth or future expenses. This is a movie that gets made and then the movie gets sold/rented and the profits get paid out till investors get paid back %110 then it's 50/50. Could the company's management try to screw everybody (including themselves) and keep all funds in escrow? as a hypothetical, sure... but to what end? what would be the point? If you're scarred that the management of the company could screw us, then you are correct, that's possible for any company. However, that wouldn't be in anyone's best interest and there is no reason there would be huge profits that get held back for a movie LLC. Edited: for typo
- Q: Henry, in the situation you describe it would be the owner of the theater that is doing business in whatever states they have theaters. In the same way that selling the movie on iTunes/Amazon would only involve doing business with a distributer/aggregator who would then do business with companies like Apple and Amazon, even if they are doing business in multiple states where they have a physical presence. If you sell an app on the Google Play Store you aren't doing business in every state and country it's available, you aren't even doing business in California (unless you live/work there) you are just doing business wherever you are and would owe state income tax to that state (and the feds). Again, not tax advice, talk to an accountant who can advise you for your unique situation. - Q: There seem to be some pretty big misunderstandings on how LLCs are taxed. There is no situation where you will be filling out a state income tax form for states you don't live in for this LLC. When googling to educate yourself, be mindful of what you are reading, since the rules are different for real property. The only asset of this company will end up with is the Intellectual property (the movie). Disclosure: Nobody here, including myself, is going to be able to give anyone tax advice, even if they were a CPA or tax expert. Your taxes are your responsibility and if you are concerned you should find somebody who is a tax professional who is willing to give you personalized tax advice. Disclosure2: I did invest and am excited about this project. I am far more concerned about late tax forms from the companies I invest in because I hate not being able to files my taxes on time and needing an extension. Taxes won't even matter till the movie is done and making a return.
- Q: Hello. Earlier, I asked that your LLC's operating agreement be made more readable. While we're waiting for that to happen, I have a question: Why are you putting your investors into your LLC in the first place? The producers of the film "I'll Be Next Door for Christmas" raised funds on StartEngine and WeFunder. These producers had an LLC, but these producers stated 1) that their investors would NOT be part of the LLC and 2) that the amounts received by the investors would be reflected on 1099 forms. LLCs are problematic for two reasons. 1) If an LLC does business in any given state, then a member of that LLC may receive a Form K-1 from that particular state, may have to file income-tax returns for that state, and may have to pay income tax to that state. So, in theory, a member of an LLC may have to file state income-tax returns in all 50 states. 2) A member of an LLC will be taxed on his share of the LLC's income (shown on the Form K-1 sent to the member), even if cash is not distributed to that member. The LLC's operating agreement describes how cash is distributed, which is why I would like to see your LLC's operating agreement. So, why not do what the producers of the Christmas movie did? Why not keep the investors out of the LLC and issue 1099 forms?
