## Q&A
- Q: Read up on the terms. SAFE equity only exercises if you are evaluated/purchased by investors, so do you plan on opening another investment at a later date? If so, when? I read 12 months but if you plan to be cash-flow positive and self-sustainable, what is the incentive to seek further investment? Very conflicting interests when it comes to the goal of the company (to not be owned by corp. interest) vs this seed round (kind of needs to be purchased by corp. interests/VC for us to receive equity) How do you plan to get subverse evaluated at 11.3/15MM or higher by the time you offer future equity with your current cash flow? Do you have projections for viewer/adsense growth? "The Company may never receive a future equity financing or elect to convert the Securities upon such future financing. In addition, the Company may never undergo a liquidity event such as a sale of the Company or an IPO. If neither the conversion of the Securities nor a liquidity event occurs, the Purchasers could be left holding the Securities in perpetuity. The Securities have numerous transfer restrictions and will likely be highly illiquid, with no secondary market on which to sell them. The Securities are not equity interests, have no ownership rights, have no rights to the Company’s assets or profits and have no voting rights or ability to direct the Company or its actions." Seems like a very risky 'investment' to me. Need more details on plans to finance in the future.
  - A: We have all the incentive in the world to turn SAFE holders into preferred stock holders on the next round. That's over 3,000 die-hard supporters helping drive the company to success
- Q: Please provide a video explaining how you will maintain a balanced view on news instead of going full leftist like other media companies?
  - A: Will do!

- Q: Sorry not a question but some answers for others. The funding goals have been met, this means you are not currently able to invest. I don't know if they could increase the goal but I wouldn't consider it likely. A 25% discount means your price per share is 0.75 multiplied by the normal price per share, that is how they are legally defining what a 25% discount means, it works out the same regardless. Let's say the shares when issued are valued at $57 per share, you however get shares at 57 * 0.75 = 42.75 per share, meaning you get more shares for the same amount of money.
  - A: Thanks Frank!
- Q: Is the option to invest closed? I am not seeing it.
  - A: Yes it is closed for this round, but thanks for the interest.
- Q: I would invest but cannot find an option to. Am I blind?
  - A: It is closed for this round, but thanks for the interest.
- Q: I don't want this to sound like a criticism, because it's not, but with relatively little investment, almost anybody can create videos to provide commentary and critique on current events, and they can do so with honesty and integrity. I like what I have seen of Subverse so far, but what the world seems to be lacking, in the context of journalism, is deep-diving investigative journalists. Will investigative journalism be a part of the Subverse platform? If so, what percentage of funds will be going into investigative journalism versus the day-to-day costs of providing commentary? I myself happen to be very finnicky with what I'm willing to spend my money on.
  - A: Absolutely. On the ground is key.
- Q: Not a question: Stop asking stupid questions you guys. Read what a SAFE is. It's going to be a while before we see anything.
  - A: Here's the SAFE for anyone curious: https://help.wefunder.com/contracts/304785-safe-simple-agreement-for-future-equity
- Q: Dear people, half the questions ive seen here are answered in wefunders FAQ section, go check it out.
  - A: Haha thanks!
- Q: There is a discrepancy between the advertised and SAFE agreement discount rates (.25 v .75). If these refer to different items please inform us; otherwise, please address which is the true discount rate - in writing.
  - A: 25% for first 500k of investments
- Q: Are you planning on opening another investment round in the future? If not, it’s not an investment it’s a donation. Please reply as I’m deciding whether to cancel my investment or not
  - A: Yes!
- Q: TIM, what is going on? Give us updates or offer a buy out. You have the money to buy us out now.
- Q: Hi, I invested in August last year but I just received an email from wefunder that my investment was canceled without any explanation. Everything was fine until I got that email. What is going on?
  - A: Hey, this wasn't in our control and I have sent a message to Wefunder to improve their messaging. Regulation crowdfunding only allows a certain amount of investment via Reg CF. We truly appreciate your interest and hope you will stay involved in the future. Thanks Chek!
- Q: My investment is just sitting in escrow. Is the actual investment ever going to be processed ?
  - A: This should have gone through by now!
- Q: Are you going to be doing a second version of the crownfunding for others that wish to contribute?
  - A: Not sure right now but stay tuned for sure.
- Q: Is funding closed? I can't find a funding option on the submerse page...
  - A: Yes it is closed for this round, but thanks for the interest.
