## Story
Every athlete wants to improve. For golfers, they typically want to break 100, 90, 80, parPro lessons are helpful but:• take time• can be expensive• what is learned often doesn't stickOnce out on the course, the slice comes back, the hook comes back, etc.No easy way exists to get immediate pro-level feedback in real-time … until now.*** See Joe, our CEO, give a more detailed talk on the problem, here.Solution: Sparrow helps Golfers ImproveAfter taking a video of your golf swing with Sparrow’s app, our A.I. will:• Analyze your Swing• Identify and Show you Deficiencies• Suggest Tips and Drills so you can Improve. In recent Closed Beta tests, 9 out of 10 golfers said they improved with Sparrow. Soon to be in All SportsAlthough 100% percent focused on golf today, Sparrow is building its technology to allow it to expand rapidly into other sports in the future. Ultimately, Sparrow’s technology is not only for golf, but will be able to optimize all participation sports! The MarketThere are 24 million golfers in the U.S. alone. When we ask Golfers they typically say they're willing to spend $10/month or $20/month for Sparrow; often going up to $99 a month. Their reference price is the cost of a lesson or what they spend each year on golf ($2,800 on average going up to $13,000 for the serious golfer ).Using the lowest number, $10 a month, and multiplying by 24 million golfers in the U.S., that gives Sparrow an addressable Market of $2 Billion dollars domestically. With 60 million golfers worldwide, that gives Sparrow an addressable Market of $7 Billion dollars globally.99% of golfers have never experienced an A.I. golf swing app… but they will with Sparrow!*** see Joe, our CEO, talk about Sparrow’s Market, here As Featured In:More about the Team/FoundersJoe (CEO) outlines their backgrounds + hear from founders Sam and Todd:Why Sparrow is a "GameChanger"The Sparrow app has several features which make it, in the words of Harold Varner III, “a Game Changer”:*** see Joe, our CEO, talk about Sparrow’s Competitive Advantages, hereBusiness Model & Financial ProjectionsSparrow plans to use a Freemium model, which will maximize the viral spread of Sparrow and allow it to garner both paying and trial customers.*** see Joe, our CEO, talk more about Sparrow’s Business Model and Financial Projections, here Marketing Advantages: Virally to Athletes Sparrow has the advantage of marketing to a customer segment that is identifiable both offline and online : athletes. Athletes tend to shop, watch and socialize in circles related to their sport. As such, the marketing cost to reach such a segment is lower than that of reaching the general population, which will be advantageous to Sparrow in it’s marketing efforts. The Sparrow app has a secondary marketing advantage - due to its revolutionary nature, it is inherently viral. - 4 out of 5 Sparrow closed beta users recommended Sparrow to an average of 4.3 friends, which is 1.5x higher than that of your average app (2.68 per user). - The anticipated viral spread of Sparrow conveys another advantage to the company as it uses both social and paid marketing channels to spread the word about Sparrow. *** see Joe, our CEO, talk about Sparrow’s Marketing Plan, hereHow Sparrow Got StartedAll 3 of Sparrow’s founders have an athletic background. The phone is essentially a super computer coupled with a high resolution camera available in your pocket - anytime and anyplace. The Sparrow app takes full advantage of this situation - which only came about in the past 3 years - by using computer vision and machine learning to detect and analyze a golfer’s precise movements. Sparrow then uses a neural network that hones in on critical points of performance, allowing golfers, and soon all athletes, to seize control of their own athletic improvement. As new advances like Lidar and 3-D modeling become prevalent and more feasible, Sparrow will continue to improve it’s apps, allowing all athletes to reach their full potentialValuation / PricingIn pricing this round we looked at all all the tech-classified companies on Crunchbase (which includes Equity Crowdfunding companies) that:• did a raise in 2021• are pre launch (pre-seed and seed) - like SparrowOf those that had information to verify that they were pre-launch and had a publicly-announced valuation, the average pre-money valuation was $19.9 million ($19.9 M).So we decided to price our round lower (see to right), to (i) be conservative and (ii) make sure we are giving investors in this round a great deal.Investor PerksFor those who invest in this round we’re offering Limited Edition, customized tier rewards signed by Pro Golfers. ## FAQ
1. **I am interested in investing. Can I try the beta before making a decision?**
 - Thanks for your interest! I just checked with our tech department and they are in the middle of installing some cool new functionality (i.e. have the hood up right now) in preparation for launch - which we anticipate a few weeks after this round. So unfortunately, the app won't be available for trial until then. However, please see our Product Tour video, along with User Testimonials in our main ECF video (top-of-page), and our behind-the-scenes videos, which all have details on the inner wor...
2. **Are you accepting investors from the UK?**
 - Thanks for the question Donald! We do accept, and welcome, foreign investors, including those from the UK. If you have any additional questions, don't hesitate to reach out to us. Looking forward to potentially having you on board!
3. **Hi - really interesting stuff! This could be great for my game. Question - you are in a closed beta at the moment - have you charged any of beta users for this product yet?**
 - Hi Chuck, great question. We haven't charged anyone yet (difficult to do in Beta), but we always ask golfers how much they'd be willing to pay for Sparrow. Typically the answers are $10/month, $20/month all the way up to $100/month. We plan to charge $9.99/month for our base subscription, so are on the low end of that range, and that gives us an addressable market of $2 billion in the U.S., and $7B globally. The reference point for most golfers is the cost of a lesson or how much they spend o...
4. **How can I beta test the app before investing? Hard to determine my level of investment without trying the app for myself. Thanks**
 - Hi Doug, I know our tech folks are in the middle of installing some new items (i.e. have the hood up) in preparation for launch - which we anticipate a few weeks after this round. So probably in 2-3 weeks we will allow folks to get the first exclusive peek at our pre-launch version. Can you send me your contact info, to joe@sparrowup.com, and I can contact you as soon as it's ready for an early look. Thanks and speak soon. - Joe
5. **I had the beta app working now it’s expired. Anyway to get back on the beta?**
 - Hi Alan! Definitely, our Close Beta Builds expire after a certain period of time. I can have a team member email you a new link to download a new build today, and that should get it working for you again! So sorry for any inconvenience! Thanks - Joe

## Q&A
- Q: Fascinating technology, with very promising possibilities going forward. Your background and history of success is very compelling. I invested a little but may do more. I just have a few questions. First, the only negative in your entire presentation was your explanation of your valuation. How does comparing yourself to a wide variety of crowdfunded tech products and services, most of which are completely unrelated to what you are doing, justify what you chose. Can you say more about why you think the company is worth what you say? Second, I just want to echo the question below - what is your current IP (including in process) and plans to build a moat around your technology? Finally, your runway information is a little confusing - in one place it says 6 months to profitability and another 24 months. Can you just clarify how much you need to raise to get to sustained profitability in 18 months or so, and where you'd likely be as far as (roughly) the number of new sports you'd have covered at that point? Thanks!
 - A: Thanks for your investment and great to have you on our Team! In terms of justifying our valuation via comparables, we contemplated narrowing the field to startups listed on Crunchbase that are A.I.-based (side note: Crunchbase includes ALL startups not just crowdfunded ones). But we felt that there would be too much objectivity in selecting such startups - for example, a high % of startups nowadays include A.I. in their description even though A.I. may not be a primary component of their technology, making the line hard to draw. In terms of why the company is worth what we say, we are prohibited by the SEC from projecting future values of the company, but if one were to look at Sparrow’s Year 5 projections and underlying assumptions (please see our Business Model and Financial Projections video at this point: https://youtu.be/0ShXRNhOsvQ?t=104) and do their own valuation and ROI calculations I believe that would satisfy most investors. (To preserve space, please see below for the question on our technology and patent status.) Apologies on any conflicting information - that is likely due to discussing different scenarios which might unfold with the company. Our Business Model and Financial Projections video (see above) depicts what we believe to be the most likely scenario - that within 18 months of launch / end of the Crowdfund round, Sparrow will enter into a high-growth phase in golf, accompanied by a sizable VC investment, with the mission to lock-up the golfer market. During this period, as seen in years 2 and 3, the company will go into the red, sacrificing profitability to achieve a strong market leadership position. As part of that phase, Sparrow plans to enter 3 new sports a year, so will be in 12 new sports by the end of Year 5. By Year 4, with 325,000 paying subscribers, the company projects to be comfortably profitable. - Q: When's the app store launch date?
 - A: Hey John, excellent question! Currently we are soft-launched, and working to optimize the app and learn from early user results. We plan to officially launch over the coming months - and will post a release with the expected date soon! - Q: Good morning, How is your company different from Sportsbox AI? Do you (or will you) have any patents pending for your technology?
 - A: Hi Robert, great question! While Sportsbox AI is in a similar space, their tech is centered around 3D pose modeling, which is just a different way of analyzing than Sparrow's app. We evaluated all computer vision methodologies when we started R&D for Sparrow 2.5 years ago, and found that 3D pose can be visually engaging but requires a strict filming angle, can be heavy in terms of speed, and can be a bit testy. Sparrow’s A.I., which was developed “in-house” over 2.5 years with investments of over $2 million, uses a combination of 2D pose, 3D pose, keyframe recognition, club head and shaft recognition to provide an experience that is accurate, comprehensive, and real-time fast. Much of our technology is proprietary, so is patent pending, and is the key to being the only A.I. app on the market to deliver both a helpful and delightful experience to the end-user. And if you have any more questions or would like to chat about this further, please feel free schedule a chat using the buttons on our page!
- Q: I lead product management for Toptracer, the company that does the ball tracing for all PGA Tour broadcasts on NBC, CBS, Golf Channel, etc. We also have a range tech product that is now deployed at around 450 ranges globally. I'm interested in talking to you about your tech as a possible solution for part of our range offering. Please let me know when you might be able to meet. Thanks. - Kyle Smith, VP, Product Management, Toptracer (part of Topgolf, which is part of Callaway)
 - A: Hi Kyle! That's very cool to hear and I'd love to hop on a call to chat. Feel free to grab a time in my calendly to touch base! And thanks for your interest in the company! (https://calendly.com/joe-cc/spw-call)
- Q: Hi Joe, great business idea and congrats on your traction so far. I'm an impact investor, so believe this company fits my criteria profile. A couple of questions I don't believe I saw answered: 1. You talk about IP, and I agree first mover advantage is a key play here. But can you talk about what your patent will protect and if possible provide the patent number. 2. You mention a five year plan to profitable. Can you talk about your previous raises and what you accomplished with the those funds. I see about half of this raise will go towards development. Do you view this round will get you to a product launch or will more funds be needed? 3. Can you also talk about the SourcePad relationship and provide more details on payroll draws.
- Q: Hi, I might be interested in investing but wanted to try the product myself before I do. Are you still allowing Beta Testers?
 - A: Hi Theresa, we would be happy to have you join our User base and test out the app! Please email our Director of Operations, Sereyna, and she can send the information to gain access to the app! Her email is sereyna@sparrowup.com
- Q: Hi Joe, hope this finds you well. The video only shows examples of driving, does the app analyze irons and putting? Everyone in the video is right-handed, has the R&D/AI included left-handers? Understanding Sparrow is focused on golf right now, as offerings expand what will they look like for the individual sports? For example, similar to first question, will tennis focus on serve alone, baseball only on hitting, football throwing? Finally, how will Sparrow gather input for continuous improvements? Your time is appreciated, good luck with the raise.
 - A: Hi Eric, great questions! The app does analyze all clubs (including irons & woods), with the exception of putting. And yes, the AI does include analysis for left-handed golfers - this can be changed in the swing settings when a user sets up to swing. As far as other sports, Sparrow would be focused on all aspects of a player's movement / technique that can be improved while playing, and especially through drills. All sports can be distilled down to technique and that is the space Sparrow best serves its users. So, to use your example, for tennis (once we begin to develop it) Sparrow would be analyzing the full swing of the player, whether that be serving or relaying the ball back across the court! For baseball, our intention would be to have the A.I. able to analyze a player’s movements both when batting or pitching. The concept is to analyze an athletes action (depending on their sport) through video on their phones, and then distill it down to the core ‘Keyframes’, or points in the movement, to then give an athlete a solid representation of how they could adjust to better complete their movement (whether that be a golf swing, pitch, etc.) Sparrow uses machine learning to gather inputs for continuous improvement! Essentially, at the beginning we train the A.I. by inputting millions of data points from (in our current case) golfers’ golf swing videos, and the A.I. uses them to learn what is ‘good’ or ‘bad’ - then once it is able to effectively & correctly analyze an athlete's movement (in this case, a golfer swinging) we then begin to have users interact with the app! Once athletes are using the app, Sparrow’s A.I. is able to learn from all of the input user data - and continue to improve it’s knowledge base and therefore, analysis of an athletes movements! In essence, as more people use the app it will continuously improve! This will hold true in all sports as we move forward! I hope this helps to answer all of your questions! If you have any more questions or would like to chat about this further, please feel free schedule a chat using the buttons on our page!
- Q: How will Sparrow compete with GolfAIApp & other AI competitors in the golf space?
 - A: Hi Didac, great question! While other apps have come before Sparrow, none have been appealing enough to gain a foothold in the golfer world (as of July 2021, less than 1% of golfers have ever tried an A.I. swing improvement app). As mentioned on our Equity Crowdfund page, in Sparrow’s beta tests 9 of 10 golfers say they improved with Sparrow, 94% are repeat users, and 4 of 5 recommend Sparrow to an average of 4.3 other golfers.
