# Sly Fox Brewing

Established Pennsylvania brewery opening its third location

## Elevator pitch
We've been brewing and packaging beer since 1995. In fact, we were the first craft brewery in the region to produce cans for sale, which are now sold in 6 states and DC. We have two brewpubs now and are gearing up to open a third location in Wyomissing. The location is in a new, mixed-use corporate business park. With two successful locations under our belt, the strength of the Sly Fox brand, and a promising location, all the pieces are in place for a third successful brewpub.

## FAQ
1. **What is the annual revenue shared with investors projected for the first five years?**
 - Matthew, Thanks for reaching out. It is very difficult to project what sales will be but based on the fact that our two current locations have sales in the $1,500,000 to $1,700,000/year range we believe that a conservative estimate on annual sales would be in that range over the five years.
2. **Is the revenue strictly from restaurant sales? Will any of the beer brewed here be distributed or will any sales from distribution be included in the rev share?**
 - Justin; Thanks for reaching out. It is very difficult to project what sales will be, however based on the fact that our two current locations have sales in the $1,500,000 to $1,700,000/year range we believe that a conservative estimate on annual sales would be in that range over the five years. Payments would be made at 6% of gross sales, so as such annual payments to the total group of investors based on above sales projections would be in the $90,000-$102,000/year range. Payments will be ma...
3. **Is the revenue share solely from the new location?**
 - Alicia, yes the revenue share is for gross sales at the Wyomissing location only. If you would like more detailed information, please send an email to: wyomissing@slyfoxbeer.com
4. **IS the company earning income? What have been your profits from operations over the last 3-5 years and what do you project in the next few 3-5 years?**
 - Marcus; Thanks for reaching out. This is a start up company that will manage a new restaurant location for Sly Fox Brewing Company, which has been in business for almost 23 years. This investment is based purely on the gross sales of the business and the investors will be paid 6% of gross sales. It is very difficult to project what sales will be, however based on the fact that our two current locations have sales in the $1,500,000 to $1,700,000/year range we believe that a conservative estima...
5. **What is the total amount you are looking to fund ( i.e. 250k) and it will be capped based on first come investors as obviously this will have a impact on how quickly you will make back your principal and then the 50% return on investment.**
 - Dana; We are looking to raise a minimum of $250,000 and have a hard cap at $300,000. If you send me an email to wyomissing@slyfoxbeer.com I can send you a brochure which outlines the investment in greater detail and includes approximate payback times

## Q&A
- Q: Looking forward to this! How is this debt secured? Who is acting as Collateral Agent? Just trying to get an idea of downside risk.
 - A: Afternoon Bill. Below is the response we got back from Wefunder when we presented your question: Secured Note: To secure payment of all amounts due under this Note, Borrower grants Lender a security interest in all of its personal property, now existing or hereafter arising, including all accounts, inventory, equipment, general intangibles, financial assets, investment property, securities, deposit accounts, and the proceeds thereof. Borrower authorizes Lender to file a financial statement to perfect security interest. If you'd like more details on the returns and/or timing, please email us at wyomissing@slyfoxbeer.com. Thanks.
- Q: At the 2500+ level, you offer a 15% discount card (for life?). Is this good at all locations or just the new Wyomissing location? Also, I read that you're not planning to brew at the new location. Wouldn't a small batch brewery to test new recipes add intrest and bring in more customers?
 - A: Jeff; The discount is for the duration of the time it takes for us to pay back the full amount due to you. The discount is good at all Sly Fox locations. We have a small batch brewery in the Phoenixville location so as such we do not plan on a brewery in Wyomissing. If you send me an email to wyomissing@slyfoxbeer.com I can send you a brochure which outlines the investment in greater detail.
- Q: I've moved. How do I get the revenue share sent to my new address?
- Q: Is there a way to change my address for where the revenue share checks come?
- Q: Have the 1099s for tax year 2023 been sent out? I haven't received anything.
- Q: What are the Wefund offers?
- Q: Are you saying the BIG SHOT FOR LIFE Investor Discount Card is only good for the life of the loan?
- Q: What is your expected cost of assets at this new location? What creditors would have priority over the wefunder investors?
- Q: Is there a minimum investment amount?
 - A: The minimum is $1,000
- Q: You stated that returns and payments to investors would be from the sales at the Wyomissing location only. It was a little confusing when you stated that does not include beer that is distributed by the brewery. But does that in fact mean beer that is sold at the Wyomissing location because it is distributed from Pottstown? Just trying to get clarification.
 - A: Cathy, any and all sales that occur at the Wyomissing location are included in the sales number. So a pint at the bar or a keg sold to someone who wants to take one home. The sales number does not include the beer that is transferred from the brewery in Pottstown to the pub in Wyomissing
- Q: Also, what is the current status of the Knitting Mills development and when do you expect the Sly Fox location to open?
 - A: The majority of the space has been leased. Primary tenants are UGI Energy Services, Tower Health, The VF Outlets and their executive offices. There will also be a new Wawa market. Sly Fox anticipates opening in February/March.
- Q: Hi, when will the fundraising end?
 - A: Chris; We will run the campaign for two weeks after we hit the target of $250,000 and have a hard cap at $300,000
- Q: How do I get perks if I am an International Investor?
 - A: Thanks for reaching out, we can either ship the items to you and the postage is on you or we could send you a check for the value of the items that are due you. If you would like additional information or want more details please shoot an email to wyomissing@slyfoxbeer.com
- Q: If you oversubscribe and raise $500,000 instead of the $250,000 it changes the dynamics of this investment. Will you increase the % of revenue you pay out if you oversubscribe to reflect these dynamics?
 - A: Lawrence; We have changed the program to have a hard cap at $300,000, if you send me an email to wyomissing@slyfoxbeer.com I can send you a brochure which outlines the investment in greater detail and includes approximate payback times
