   - Hi Vikram, Lawrence asked a similar question below, so forgive me if I'm repeating myself a bit. :) Our 1st feature film, SCRAP, was funded entirely on WeFunder in April 2021. It is currently in the final stages of post-production.    - Hi Aniruddha, Thanks for the question! $300,000 is our campaign’s minimum goal, so Wefunder shows that as the “first” goal for us to meet. We set $300,000 as our minimum raise because it is the bare minimum for which we can make SEANCE. Once we’ve hit that minimum, I believe the meter should automatically update to reflect our maximum Wefunder goal of $550,000. - Q: HI Vivian and Rachel, first of all, I'm so glad you are back on Wefunder! It was an honor to be the Lead Investor for Scrap, and in the process I saw so clearly how talented, well-connected, and knowledgeable you both are. I also saw how incredibly respectful you are of investors, and how motivated you are to do your best to bring us a return. I just have one question: How do you think the independent movie industry will evolve in the near future? Of course during the worst of the pandemic so many festivals were cancelled and more movies went straight to apps like Netflix, but many still did quite well. How is your planning aligned with what you think any new emerging trends will be?
  - A: Hi Alan, We’re glad to be back, and very proud of how many of our SCRAP investors have chosen to return for another film with us! This is a great question, as the pandemic continues to impact our industry, like so many others. I’m actually quite excited to see how independent film evolves over the next few years and I expect we’ll see more innovation and more fresh voices. The financial burden of producing a film safely during Covid has actually hit independent film harder than studio films, because at this point the studios have built up infrastructures for testing internally, so that process can happen faster and cheaper. In the near future, as independent filmmakers work around the hit to their budgets to move projects forward, we’re going to see the results of a lot more “make it work” spirit. Things are also shifting on the distribution side. Perhaps the most visible change in the industry over the last year was the prevalence of “day and date” releases, where a film is released in theaters and on streaming simultaneously. The impact of this was particularly hard-felt by high-budget studio films that would traditionally report huge box office numbers on opening weekend. Yet even being forced to do this, movies still can make a tremendous amount of money. Disney+ made more than $20 million on Cruella earlier this year. For independent films, word of mouth has always been more important for long-term profitability than packing a theater on opening weekend, so for a film on the level of SEANCE, we don't see any major negative impact when it comes to that kind of pressure distribution-wise. :) There have been a number of successes with independent releases recently, A24's horror film Lamb has already made $2.7 million, and Neon has made $3+ million with the Nicolas Cage film Pig. In terms of festivals, we’re seeing most of the big festivals returning to in-person screenings and events for 2022, with some combination of vaccination requirements or testing protocols to keep everyone safe. It’s wonderful to have those coming back as that is where a film such as SEANCE can get discovered the most easily. But the last two years have also shown us that independent films can get bought outside of the festival structure. We’ll still pursue prestigious festival premieres for our films, and the clout that a film earns from being programmed in a festival can absolutely motivate a larger sale, but it’s not the be-all-end-all. Buyers have been reminded that they can find (and purchase) films through other channels, which just creates more opportunity for independent filmmakers to secure distribution. Audience appetites are also shifting! In the near future, I think we will continue to see a trend toward fun escapism, and SEANCE will deliver that for audiences who are looking for something perhaps a bit more nuanced and thoughtful than superheroes and CGI. The cornerstone of our strategy for SEANCE is still: low-budget, high-quality. By keeping our budget low, we increase our chances of profit *even if* buy-out prices and licensing fees dip. But we’re equally focused on ensuring that we use every dollar to create a film that can rise to the occasion of playing in a theater on a big screen — that means beautiful cinematography, lighting, production design, and a layered, immersive sound design. And ghosts! Did we mention the ghosts? ;)

- Q: 1) Do investors only share in profits from the film's theatrical run? Or do they continue to share in proceeds as long as the film is generating revenue (e.g., DVD sales, Netflix, etc.)? 2) Is there some way that potential investors can see a copy of the script?
  - A: Hi Kevin, Thank you for your questions! 1) As long as the LLC retains ownership of the film, investors share in ALL of the profits from the film, including those from the theatrical run and any platforms on which it streams or is available to purchase as a rental or to own (iTunes, Netflix, Amazon, Hulu, Youtube, etc.). Once 120% of Principal (125% for Early Bird Investors) is recouped, then the profit share is split 60/40. Under this self-distribution model, investors will receive their pro-rata share of 40% of Net Profits in perpetuity. The alternative would be a buyout of the LLC (and thus the film) by a distributor, which would result in a lump-sum payout to investors but then likely no future major profits for either the LLC (us as Producers) or investors. We will be considering both of these options carefully and weighing the speed and size of the ROI through a buyout against the potential for long-term profit through self-distribution. - Q: Hello everyone! How will investors be able to monitor/audit the revenue and the distribution of funds once the film has been sold/distributed? In short, how, when and where can we see monies coming and going from the film? Much thanks!
  - A: Hi Martin, Thanks for the question! Transparency is incredibly important to us. The short answer is that WeFunder requires all of its companies to file an annual report and share that with all investors. We are also required under the Reg CF law to publicly file with the SEC. For our last feature film SCRAP, not only are all of our documents publicly available on the SEC's website, but WeFunder hosts our annual financial report on their website and sends it out to all our investors. (Our last financial report came out in March 2021 and we also sent it out in our SCRAP newsletter to make sure no one missed it.) And finally, Section III of our Funding Agreement stipulates that an Investor can request an audit of our accounts for the Picture (at the Investor’s expense). In between the annual reports, our investors will be made aware of the film's revenues via our self-reporting. For all of our projects, we send out a private monthly newsletter to our investors detailing each step of the film's progress. As this is a "Revenue Share" agreement, our distributor will not have a financial arrangement with our individual investors, but with the film's LLC (in this case, Hazel's Ghost LLC). As the member-managers, it is the responsibility of Vivian and myself to manage the LLC, keep accurate accounting, and work with our CPA. Distributors typically report revenue on a quarterly basis, and usually there is a 30-60 day period during which disbursement occurs, so our investors will know well in advance when revenue can be expected. Essentially it comes down to this: when we know information, our investors will know information. As producers under these terms, we see no profits until our investors recoup, so it is in our interest to get our investors repaid and "in profit" as quickly as possible, both so we can ourselves begin to see profit and also so we can (hopefully) have our same investor pool rejoin us on future projects! We want to build a long-term brand and part of that is getting our investors' monies recouped ASAP, managing our LLC responsibly, and demonstrating a successful filmmaking business model. - Q: Hey Rachel and Vivian! One of your investors here. I just wanted to hear your thoughts on Hollywood actors/ writers being on strike and how that will affect independent films like "our" Seance film "we" are working on and just the independent film industry as a whole in the future? :) We may be able to benefit from this!!!
  - A: Hey! That's a great question. The SAG-AFTRA strike began on Friday, so I think in general the industry is still scrambling to figure out what's next and how this will affect everything. The benefit with SÉANCE is that the film is already in post-production, the process of which is not affected by either union. It would be a lot more challenging if we had not yet shot the film! My assumption is that whether it will affect SÉANCE will depend on how long the strike continues as it may change film festivals and promotional opportunities for the film, and may limit the number of films available for distribution once the strike is over. Right now post-production is likely going to continue throughout 2023 and SÉANCE will not premiere until 2024, so my hope is that this will be resolved by 2024 and we can proceed with the festival run and distribution of the film as planned in 2024 and 2025. :)

I am already in pre-production and I have been busy scouting locations and interviewing crew members when I'm not at my desk busy with the WeFunder campaign. :) I will be in pre-production for the next 2 months and expect to begin filming in September/October here in Los Angeles. I'll likely start post-production in November and that will probably be a 8-9 month process. I hope to have the film completed in Summer/Fall 2023 at which point I will begin to submit the film to festivals.
