   - RYSE SmartShades begins shipping this week from sales on our website. The challenge we have is inventory - we don't have enough inventory to sell through (which is the use-of-funds for this campaign). Our plan is to list on Amazon likely by November when we receive our next inventory batch to test the channel.
2. **RYSE I have a product question. Do you have a solution or a roadmap item for shade actuation when you don't have enough clearance between the wall and the shade (or behind the shade) to mount your current box? IE a narrow version. In my case, I have 3/4 of an inch from shade t...**

3. **Where can I find the form C?**
   - The Form C is being drafted once we hit our $50k minimum and will then be filed for you to review.
4. **what are the investment terms? rev share? convertible?**
   - Hi Patrick - this is a revenue-share deal in which you earn 10% of revenue, paid out every quarter until you get 2X your money back! We also have a Reg A+ offering coming online very soon on WeFunder for equity in the company.
5. **What quarter would you expect investor distributions to begin?**
   - It will be for sales generated during the first full fiscal quarter after the close of this round. For example, if we close by January 2022, the first disbursements will be for revenue generated from Q2-2022 (April-June), with payments made in July.

## Q&A
- Q: Smartblinds are a great idea, particularly for energy savings and Ryse is clearly a leader and makes sense for you to be chasing the B2B market. However, how much of your 200% margin do you think you can maintain when there are already cheaper alternatives such as Chinese firm Zemismart's similar device at $50-60 vs $150 for Ryse (or $250 with battery pack and no discount) or IKEA's integrated smartblinds Fyrtur, which start at $130?
  - A: Great questions. (1) Let's address the Chinese knock-offs. Zemismart would only be able to sell online and through their own online channel. They cannot sell on Amazon due to our patents (I've seen them already on there and we were able to immediately remove them). They will not be able to sell in high-volume channels like retail (i.e. Home Depot, Best Buy) which accounts for 33% of industry revenues, nor can they sell B2B which accounts for 60% of industry revenues. While the technology is similar, the "business" is much different - they are going for a low margin, low customer support model, not necessarily building a brand like Dyson or Nest or Ring. You can have a cheaper product, but if Amazon, Costco, Home Depot doesn't pick you up, you won't be able to tap into their customer base. All the biggest consumer electronic brands in the market will have a much cheaper Chinese knock-off, but they still dominate the market. (2) IKEA is limited in terms of fabric, color, and size. If you look at their largest width, you may need to purchase 2 shades to cover one large window (i.e. a 9ft x 9ft window). At the same time, IKEA also has a hub that you need. IKEA may be a great alternative if you don't have window shades installed, but many of our customers already have beautiful window shades installed that they simply want to automate. Additionally, IKEA shades cannot be installed in commercial buildings due to the building code requirements (on fire retardant fabric, colors, etc.), also limiting their market. - Q: Hello Trung. This is a great concept that I feel will do well. I just need some clarification because I have never invested under the terms of a Revenue Share Loan before. I noticed in your last response to a previous investor, you stated, "You earn 10% of our net revenue, paid out quarterly until you earn 2x your initial investment. " Does that mean when the company nets funding, the investors get 10% quarterly until we reached 2x the amount that we invested then that is the end of everything? No future equity, no future quarterly payments, etc.....everything is done?
  - A: Hi Darlene - yes that is correct. This deal is for those who are interested in receiving a cash return sooner than later, as most equity deals are long-term investments of 5-7 or more years. In this deal, if we return the funds back in 3 years, your return is approximately 33% per year as an example. - Q: More and more people are buying cordless shades. How do you intend to address this moving forward.
  - A: We are creating this solution as well. If you scroll towards the bottom of our campaign page you will see a device for cordless motorization in the works. Also the large opportunity in our type of control system is commercial office, hotels, and multi-family with large floor-to-ceiling windows which will continue to use beaded chains.
- Q: Hello, great business idea and congrats on your traction so far. I'm an impact investor, so believe this company fits my criteria profile. A couple of questions I don't believe I saw answered: 1. You mention there's no competition to retro fit blinds, but can you discuss Tilts (https://www.tiltsmarthome.com/products/mysmartblinds-automation-kit)? 2. What percentage is B2B vs B2C in the past year and what do you think is going to be the driver of growth in the future?
  - A: Hi LD! Tilt is for blinds with slats and its for tilting only. We create a device for lifting/lowering your shades that are controlled via a looped-cord or beaded chain. So the difference is in the type of window covering! We do have a suite of products launching for curtains, cordless blinds/shades, and more in the future however! In terms of sales, the majority of sales (99%) have been B2C. However, we believe the large driver of growth will be B2B and have hired a Direct of Sales who was a former sales manager at one of the largest global window blinds company.

  - A: Hi John - no, SolarGap is an exterior shade and they sell the actual shade. We only do motorization of existing installed window shades (we are a retrofit) that are installed indoors. We do not sell the blinds or shades - we are only the retrofit solution!
- Q: Hi is this a dividend investement.
  - A: Hi no, its a "revenue-share" - similar but different. You earn 1.75x your initial investment (2.0x for the first $400k of investors), with payments made quarterly based on 10% of net revenue. So for example, if you invest $1,000, you have the potential to earn back $2,000, with cash paid quarterly.
- Q: Right now the campaign is only accepting reservations. 1) Till when are you offering the 2.0x payback instead of 1.75x and 2) how do I make sure I lock on to it as we are currently only in reservation period and I don't see a way to confirm the investment.
