Interest RatesThe solar industry proved to be disproportionately tied to FED interest rates over a majority of industries.&nbsp; At the end of 2022, 97% of solar systems Powur sold were financed through consumer loans.&nbsp; Since our primary competitor is the utility, the monthly loan payment of a solar system compared to the monthly payment of a utility bill is the greatest indicator of consumer demand for our products.&nbsp; The greater the positive delta between our monthly payment for solar vs the utility, the more competitive our product is.&nbsp; As interest rates rose faster than any time in 40 years, and to 23 year highs, consumers put the brakes on financing as the positive delta shrunk.&nbsp; This led to a sudden reversal in demand.&nbsp; Given inverters are required on every solar system installed, the revenues of Enphase and Solaredge (two largest U.S. inverter manufacturers) are a good proxy into U.S. demand trends.&nbsp;2. Net Metering&nbsp;In addition to the impact of Interest Rates, the two largest residential solar markets in the country (CA &amp; TX) both had substantial changes to net-metering policy.&nbsp; Effectively, these states no longer incent customers to share power from their solar systems with the grid.&nbsp; Customers in both states must install Energy Storage to store the excess power they produce from their solar systems, and consume that power in the evening when the systems aren’t producing.&nbsp; Of course, this change had a dramatic impact on demand in both markets as consumers and installers learned to adapt.The abrupt changes in demand for U.S solar have caused 4 of the top 10 Residential Solar providers to declare bankruptcy or exit Residential Installations within the last 18 months (Sunpower, ADT, Titan, &amp; Palmetto).&nbsp; Ultimately this is proving to be an ENORMOUS opportunity for Powur.&nbsp;While most companies in the solar industry hung on for dear life during this period, Powur is in an entirely different camp. We're not just showing our business model can thrive during the boom times,&nbsp;we're proving we are a hyper efficient, scalable company, that when things get tough are just as resilient. 1. **what is the price per share**
   - The price per share on the Reg D offering ($25,000 and over) has been established at $9.59/share, which equates to the $225M valuation Jonathan mentioned. The Reg CF offering, which will accommodate all of the investments under $25,000, is anticipated to be the exact same valuation and share price. As Jonathan mentioned that offering is waiting on completion of our 2020 audit, and we can't speak about the terms of the Reg CF until that's done and it's officially filed with the SEC.
2. **Hi Michael, first of all congratulations for the milestones achieved. How much was the valuation of the company in the last round in 2017 here at Wefunder?**
   - Hi Esteban, the original campaign in 2017 was for a $5.9M pre-money valuation. Obviously the company has exploded since, and our value has increased substantially.
3. **how do you fund your account**

4. **How can we confirm that our pledge / funds have been received ? Thx**
   - All you can do now is pledge. Powur has the final say on which investors are accepted into the round and who is not, depending on final qualifications. IE: is the round over subscribed, etc.

## Q&A
- Q: Jonathan, Studies have shown conclusively that "a diverse workforce are more profitable and more likely to achieve long-term growth". And McKinsey "found that companies with the most ethnically/culturally diverse boards worldwide are 43% more likely to experience higher profits". I am looking at the makeup of Powur's c-suite and see just 2 of 20 people in management are women. Also, I see just one person of color. As Powur grows are you going to commit to diversity? Also, California law requires diversity on the boards of public companies. I am unable to find any information on Powur's board. As a potential investor I want to know who is advising the company and if Powur will be in compliance.
  - A: Hey Julie, A few comments here. 1) We would LOVE to have more woman on our management team!! We have searched and attempted to hire based on our diversity goals... but the fact of the matter is we have not been successful finding the right qualified candidates for the positions we needed in the time frame we needed them. The company has been in incredibly high growth mode, and we've needed help urgently to avoid potential breakdowns to our customer experience. So it's not for lack of effort, we've just had to prioritize hiring people to fill the immediate gaps and there is a real lack of Women executives in solar. Would love to see A WHOLE LOT MORE!! 2) Thank god we found Cami! Cami Boehme is our new Chief Marketing Officer who is starting July 15th, and I can't wait for her perspective to join the team. 3) The company is actually incredibly diverse. It's kind of crazy actually. Our field consultants are virtually every walk of life, from young too old and every nationality. And our operations managers, project managers, and majority of our 130 employees are 50/50 woman/men and from all sorts of backgrounds. So, the company has a lot of diversity in it. 4) Up to this point, performance hasn't been impacted. We've continued to perform very well and plan on performing very well and incorporating as many diverse perspectives as possible into what we do. The bottom line is that we are an organization that measures results, holds ourselves accountable to results, produces results, and is driven by our vision/mission. I'm certain we'll continue to do so and will keep getting more and more diverse in every way.
- Q: I’m curious how you plan to make it up to your original investors who lost more than half of their money on paper when the decision was made to water down the value of our shares with the newest round of fundraising? I chose to decline the offer to invest in the newest round when the money i’ve already invested is now reduced to 40% of my original investment.
- Q: Hi, when it says "Achieved over $1.1 billion in total revenue” I assume most of that revenue is “pass-through”, which means it is billed to pay the cost of installation, solar panels, etc? Is that correct? While projects themselves might be expensive, what is the actual revenue for Powur? I assume it must be much lower. This lower number is what should be advertised and how the company should be valued. I think it is misleading to advertise as a top point #2 at the top of the presentation to Wefunder type investors, that you have $1.1 billion in total revenue because no matter what flattering accounting you wish to do, there is a much more important number you are not advertising, which investors on a platform like Wefunder should be focused on.
  - A: Hi Joe, I think you are making a ton of assumptions without actually asking for clarifying details. Powur's financials are audited every single year. We are reporting REVENUE. We are one of America's top 10 residential solar installers. There is nothing misleading about reporting the total amount of revenue the company has generated over the last 5 years.

Nothing wrong with it, as everyone has his own view on MLMs. However, I’ve been through your pitch many times and didn’t find any mentions of it. So would you please provide some insights on that? Are you adopting an MLM scheme? If so, would you please clarify if your commission-only sales reps have to pay to join the scheme?   - A: Hey Manuel, I would classify Powur as 1) a cloud based residential solar platform 2) a direct sales opportunity for our individual 1099 consultants. I would not classify Powur as utilizing an MLM model simply because the majority of companies who are classified MLM primarily focus on recruiting as the basis of the model. Powur consultants primarily focus on selling solar. We are very unique in the sense that an individual can join our platform, study with a mentor to sell solar, and be earning a full time income (if they are successful selling solar) from 1-2 sales per month. Our commissions are as competitive as real estate industry, yet it's typically easier to find a homeowner to go solar than someone looking to sell their home. Part of our differentiated growth model is incentivizing our consultants to refer other sales professionals to the platform. However I would classify this more as affiliate income rather than MLM. It's not how 99% of our consultants earn income, it's just a bonus for referring the best sales professionals they know to also join the platform, and it works. We add about 500 new consultants to the platform every month through this referral incentive. As total active consultants grows, we fully expect this number to grow as well. I was one of the first to join Powur way back when we had to $499 to join and develop a team of 12 in my downline however the business got cold and started to go out of business little by little however I was recruited by ADT Solar to become a rep and got great training from them. The prices were not that competitive and the installation processes were taking a long. I sold many deals but all got lost on the process. Then I heard back from you from a friend of with Powur and I decided to re join and also invest in the Wefunder opportunity. My question is when are we going to be able to see any return on our investments and how can I become more active in the selling solar part of the business I have many potential clients that need our systems.
