   - Hi Eric, Great question. I am not aware of Arrived but I am fairly familiar with Fintor. While they are great competitors the approach that is taken for their acquisitions strategy is what sets us apart, if I recall correctly Fintor does not place a major importance on secondary market mechanics and has chosen to go with a liquidity event style schedule. They also have plans to completely sell of properties from the platform rather than have those properties remain as long term holds. As for ...

   - The user will earn a rental dividend each month. Just like a standard dividend from a stock , but monthly instead of quarterly. They can also take advantage of our secondary market and sell out of their position. These are long term rental properties that are owned outright so there is no loan you own the asset. - Q: This is a follow up to the previous question. Even though you plan to raise the future round at a higher valuation, I as an investor will get my shares converted not at 3M valuation (which you think is the value) but the 15M cap and that means, say In future round you raise at 30M, my shares which should have been a 10X based on your current valuation will JUST BE 2X and I as an investor will lose a lot even though I belived in you and invested in you early. Companies go for SAFE or convertible when they are not sure about the value of a company. Had you done an equity round at 3M valuation, I would have happily onboarded the trai. I feel the valuation cap(15M) is absolutely ridiculous esp., when it's already 5X the valuation (3M) you believe in. In simple you are onboarding investors at a much premium price and I don't think that is fair. Now what if the next round raise is say less than 15M, we all who belived in you early will stand to lose a lot. Anyways, I wish you a great journey ahead.

Pocket Properties Valuation is based on multiple factors in our financial model that takes into account things like TAM, technologies, real estate assets commitments, userbase, and more. Companies like us use SAFE when they do not wish to put a firm value on the company at an early stage. That being said a company must still have some non-cv valuation until they receive a 409A valuation in later price rounds. Pocket Properties is both a Financial Technology company and a real estate company, with real estate playing such a critical part in our company this has a tremendous impact on the worth of Pocket Properties. I am sorry to hear that you feel that the valuation is too high for your liking. We do have third-party validation in the form of investment at this current valuation from Accredited Angel investors and VC companies.

Also I am confused with the cap as everyone else. Many of the competitors that you have mentioned possess a much high valuation at a much earlier stage, Pocket Properties valuation is more than tame for this particular industry with this large of a TAM. I've done a lot of real estate syndications, so I get the benefit of a lower barrier to entry aka cost. But I can do that today at groundfloor.us, smallchange.co, or other platforms. Besides being an app and tokens, why are you better? 2. For RE I'm use to being a debt or equity partner. I don't understand the token model. Is the token going to be a security and that security listed as the property owner or lien holder? 3. For RE debt or equity, someone has to be the loan servicer or GC (fix and flip)/property manager (buy and hold). Is that your company or will you outsource? 4. RE syndication is all about trusting the GP as the LP. So are you guys the sponsor or will you find sponsors to fund? 5. What will be the tax structure for USA customers on income? K-1, 1099-INT, etc. 5. For RE, there's IRR I'm targeting depending on the holding risk and security type. For debt I'm looking for 8-12% annual interest average for a 2-3 year hold and for equity I'm looking for 16-24% IRR average for a 5-7. What do you see is the targeted ROI for customers. 7. Last, switching back to the investor, is this crowd fund for the app only or will we get ownership in the properties you guys acquire to add to the platform or revenue share in the AUM?

What makes our platform unique is that we will be the first platform to offer both debt and equity-based investing while utilizing a blockchain backend, we currently do not have plans for a Pocket Properties Token. 2. As far as being an investor you will be issued a share for the debt on the fixing and flipping (renovation) of a property, you will then be repaid that loan with interest. 3. We will be the loan servicer of the financing, we will also leverage the expertise of real estate professionals that are looking for loans. 4. Our sponsors will be reputable Real estate investors and funds that have a reputation and following that will invest in them. 5. Customers will get 1099 misc. For the money that they make. 6. Our average annual interest that a user can expect is 8-12% for debt investments, on the conservative side. 7.
