## Story
Houston, we have a problem…We all know this…there’s a glaring wealth gap in North America. Real estate ownership is responsible for ~90% of millionaires. As such, “wealth” can be split into two camps: Those who own real estate. And those who don’t.So we decided to build this…Real estate ownership for ALL…with $100 or less 👇How we did it…We took our small piece of our own real estate and made it available in $100 pieces. TO EVERYONE—not just accredited investors. We ended up setting records, creating 10,000+ new real estate owners through our network. The results have been greater than we ever imagined:⚡️We’ve set three Reg. CF records as the fastest to sell $1M in real estate shares🙏 We’ve created 10,000+ first-time owners of color💰 Made real estate trading available with $1 (!)🤝 Partnered with two senators for community initiatives🎓 Built an online academy and community🚀 Built 2.5M+ following onlineThe mission today remains stronger than ever. The world is crazy right now…👀Geopolitical uncertainty, left vs. right, inflation, high interest rates, a dollar under threat (domestically and globally), and record-high $1.13 TRILLION of credit card debt alone…But that also means OPPORTUNITY!Real estate remains the largest asset class in the world. AS WELL AS the largest wealth driver. And as they say…it’s in times like these where new fortunes are made.So here’s what we’re going to do NEXT.We want to utilize our infrastructure to put YOU—our TRIBE—into the ownership bracket. Here’s our path to homeownership for YOU:GOAL: The greatest wealth transfer of this generation. Here’s our path to homeownership for YOU:✅ 10,000 starter homes ✅ Down payment funding ✅ Business grants ✅ $100 co-investments via NYCEAnd a TRIBE to make it a reality…🚀During this process, we’ve PERSONALLY guaranteed $5M+ in the pursuit of our mission. We’ve built the tech infrastructure to facilitate ownership, a free wealth academy, and a community. And I have PERSONALLY signed my NYCE rights to the NYCE 501(c)(3) for $1.PLUS millionaire mentors (yes, really) 👀Thousands of hours on mentorship from celebrities, industry experts and millionaires. Yes, cheering on the pursuit is great. But we want results AT SCALE.The Investment: 30% of profits 📊Tech valuations are at the bottom, per TechCrunch. In lieu of traditional equity (with a “maybe” exit), we want to become true OPERATIONAL partners:✅ Invest $100 ✅ 30% investor profit share ONGOING ✅ Up to $300 in free stock (US only; terms may apply)MISSION FIRST: 100,000 Millionaires By 2030 💛As a non-profit organization, we have access to grants that can bolster our budgets and accelerate the redistribution.A for-profit model reduces us to profits first. As a 501(c)(3), we can put the MISSION FIRST.And every DOLLAR can and WILL go towards our mission of creating 100,000 new millionaires by 2030.But we need you.The systemic wealth gap is real. Asset-redlining is real. The limited access to opportunity is REAL. (We don’t have to get into why and ultimately it doesn’t matter.)Senators Sharif Street and Vincent Hughes at our WealthCon event in Philadelphia. If you’re as committed to our mission, we need YOU.It takes more than one person to make permanent change…It takes a TRIBE.What you can do 💛REMEMBER: The compound effect is real.Support our mission. Take our free courses. Share with others.Take COMMAND of your financial future. Most importantly, get RESULTS and show OTHERS. (We’re here to help if you need it.)Invest…doesn’t matter if it’s us or the stock market.Just start.Let’s bring it home.

3. **So the investment is a 5% promissory note if I assume first $100K already invested by now? I am earning over 5% in a FDIC insured CD. Is the note secured by collateral such as Temple I and II investments in event of default on the note? Or is this an unsecured note with no rec...**
 - Hi Brian, Thank you for your question. The 5% promissory note is not secured by specific collateral, such as Temple I or Temple II, and is considered an unsecured note. In the event of default, there is no direct claim on those properties. We understand your comparison to an FDIC-insured CD, and while our note offers a competitive interest rate, it does come with different risk factors compared to a secured investment like a CD. If you'd like to discuss this further or have additional questio...
4. **Does this Debt ever convert to Equity??**
 - Hi Simpson, Thank you for your inquiry. The NYCE Fixed Income Bond is structured as a debt instrument with a 6% annual dividend, and it does not convert to equity. This bond allows investors to diversify their holdings while receiving fixed returns. However, the bond can be traded on NYCE in 12 months, offering some liquidity options within the platform. 5. **Who is the obligor on this debt? I assume that it is senior to the NYCE equity which was sold in 2021?**
 - Hi George, Thank you for your question. The obligor on the debt is NYCE, and yes, this debt is structured to be senior to the equity that was sold in 2021. This means the debt holders would have a priority claim over the company’s assets in the event of liquidation, ahead of the equity holders. - Q: How does the bond work?
 - A: Hi George, Thank you for your question! The NYCE Fixed Income Bond works as a debt instrument, meaning you’re essentially lending money to the company. In return, you’ll receive 6% interest annually on your investment. The bond has a 5-year term, and during that time, you’ll receive regular interest payments. After 12 months, the bond will also be tradable on the NYCE platform, giving you some flexibility if you wish to sell it before the 5 years are up. - Q: NYCE was supposed to place money into my investment account over a year ago and then after not doing that simple task they blocked me from an investment meeting and I had to take them to court. Philip is essentially a clout chaser. He uses his nephews' name and fame to promote this company as their shared venture and they are co-founders, but then when I tried to take him to court, he stated in his deposition that Martin was not a co-founder. So he has been lying to investors this whole time or he lied to the court. Either way the fact that he orchestrated my money being taken and not returned or placed in my investment account adds up to crooked business. This all happened because we had a personal relationship and when he got mad at me for not taking verbal abuse, he set out to separate me from the company. Unfortunately because of his He-motional tantrums I have no way of finding out basic information about my account. Securitize doesn't operate in my area of the country. He turned people at the company against me. How do I know? I write a question and they no one answers. It wasn't like that before Philip decided he wanted to hide what happened between us. I will have more coming so that other investors (mainly the women) will know what to expect from someone like him. He is truly not a good person. Why do you think his family was estranged from him? Read his interviews and get to know him. It will open your eyes. More to come soon

Is the note secured by collateral such as Temple I and II investments in event of default on the note? Or is this an unsecured note with no recourse in event of default?

- Q: Hello Philip. I am an early investor. I cannot find any information about my investment with NYCE. I logged onto Secruitize, and nothing was listed. It's like all my information has been wiped off the face of the earth. Can you assist?
- Q: I saw in the investment terms the “10% Royalties “ as one of the benefits of investing in the campaign , can you explain that a little more in detail for me ?
 - A: Hi Gregory, Thanks for reaching out! In our NYCE Communities campaign, any return on support reflects our mission to reinvest in underserved areas and foster community development rather than direct financial royalties.
