# Northern Pacific Airways

The Newest Trans-Pacific Airline!

## Elevator pitch
We fly people between Asia (Tokyo, Osaka, Nagoya, and Seoul to start) and the US (LA, SF, NY, Las Vegas, and Orlando to start), via Anchorage. We currently operate Ravn Alaska, the largest regional carrier in the state, and are raising this round to expand to trans-Pacific flights (starting this November)! Due to our unique location and structural advantages, we believe we will be able to price our flights 15-25% cheaper than current offerings.

## Story
We bought Ravn, the regional airline of Alaska (since 1948), out of bankruptcy in 2020.Our revenues were ~$50M in 2021, and are on pace for ~$70M in 2022.But for 2023, we have much bigger plans. This year, we renamed the airline Northern Pacific Airways, and are launching transpacific flights (with a stopover in Alaska, per the Icelandair and Copa Airlines model) between the lower 48 and Japan and Korea in 2023! See our new site at np.com for details. Our timing could not be better. Not just because of the opening up of Japan and Korea and backlog of "revenge travel", but also the lower cost to acquire aircraft, plus some matters out of our control... as discussed in this video (with 4M views):We just received authority from the U.S. Department of Transportation to operate 8 large jets. We have already acquired four 757-200s and are in the process of getting them re-certified for flight operations. We expect to be fully FAA certified by December/January.And so, we are taking this opportunity to let our friends, family, customers, and all Alaskans to participate in the next step in the evolution of Alaskan aviation! The Deck:Forward looking projections cannot be guaranteed.Forward looking projections cannot be guaranteed.Forward looking projections cannot be guaranteed.

## FAQ
1. **Will those of us that work for Ravn be given the opportunity to have their investment taken out of their paychecks? For example; if an employee wished to invest $2600, they could have $100 taken out of each check for a year. Or is that not feasible?**
 - Hmm, that might be tricky... we'll look into it with payroll / wefunder though!
2. **Will they be having flights from Anchorage to Seattle and back?**
 - Anchorage to Seattle is well served by Alaska Airlines and Delta. We are starting with city pairs that are underserved. Seattle may be in our future, but it will not be any time soon.
3. **By investing in Ravn/NPA what are the benefits to me as an investor?**
 - If you click in the invest now box the list of perks pops up. Perks are cumulative and are based on investment level.
4. **How do we get our investments paid back over time? (Perks are just that, perks.) How do we earn our money back ... and hopefully, more than what we invested at the start?**
 - As with investment in any privately held company (not publicly traded) selling your shares can be limited. As the company grows we expect that there will be a secondary market for trading however there is no guarantee. Additionally, we expect that eventually the company will go public through the IPO process, but again there is no guarantee of that and should not be counted on. With any investment there is inherent risk.
5. **how long are the flight vouchers good for?**
 - Hey Madelyn! They're good through December 31st, 2024!

## Q&A
- Q: "Sorry Slawomir, audited financials are taking longer than expected. Hopefully within weeks." This was your January 4th response. It's March, any updates?
- Q: Do you guys have a target date or an idea of when you'll be filling the Form C Disclosures?
 - A: Heya! Sorry about the delay on answering questions.. wefunder seemed to have stopped notifying us about new questions, ack! We are targeting the end of October… we need audited financials before we can file the form C, and unfortunately it’s harder for us than most wefunder companies to get to audited financials because we are already an operating airline (that recently came out of bankruptcy)!
- Q: Any updates on movement forward? I invested over a year ago.
- Q: Any update on this? Been like a year and no news?
- Q: What is going on..you was raising money you raised over 1.7 million and now I see where it says friends invest first ,public launch etc, a new campaign. Where did the money go? Too many questionable things then no communication..
 - A: Hi John. I'm not sure I understand your question. We did re-open a "friends invest first" phase (that is took it off the public access) for a couple of additional weeks at the end of June. Perhaps that caused some confusion?
- Q: With regards to the flight vouchers. If I invest $1,000 and get a $1,000 NP flight voucher, am I able to keep any residual value to be used for another flight? Frontier likes to issue vouchers, but any residual value is gone if the entire voucher is not used in the first transaction. Also, favoring MCO instead of MLB was a missed opportunity. When airlines have to send emails letting you know that TSA at MCO is horrible and that they won't hold the flight; that should be a warning to set up shop at a more convenient airport. :)
 - A: John, Yes you get to keep the residual value to apply to another flight! Rob
- Q: It's November 2023. Are there any updates?
- Q: Do you have any Updates? It's been quite a while.
- Q: October, November, and December have passed and still no word. What is the current target date?
 - A: Sorry Slawomir, audited financials are taking longer than expected. Hopefully within weeks.
- Q: Can you please clarify the early bird/perks terms? I submitted a 'reservation' at the beginning of June, but the public launch date continues to be pushed back. Will those reservations still be at the lower valuation and eligible for perks? It seems very opaque at this point, and the 'ticking clock' is pretty deceptive as it was originally listed as June 8 when I reserved on June 2. In your update you indicate part of the reason for this is that you are trying to increase the amount invested before the actual 'live' date in order to increase your stats and visibility on the platform, and this sounds transparently manipulative.
 - A: Yes, the perks are available regarding of when the reservation as made. I'm not sure which update you are referring to in the second of half of your question. But we did push back the "go live" date because we had mailed out postcards to Alaskan mailing addresses and we wanted to give Alaskan's an opportunity to invest first before the "go live".
- Q: If i invest $5000 will i get $5000 in vouchers?
 - A: The voucher tiers are at $1000 and at $10,000.
- Q: I see there have been another launch extension. Just wanted to see if everything is going as planned?
 - A: Hi James, yes sorry for that. Here's the update regarding the extension: https://wefunder.com/updates/156614-go-live-date We wanted to give Alaskans an opportunity to invest first, so we mailed out postcards to every Alaskan mailing address, and those took a little longer to get delivered than we originally anticipated.
- Q: I live out in the bush with a very poor internet connection. I tried attending the webinar live but got cut off. I tried watching the recording but due to slow load times I didn't hear my question answered. Although I heard talk about interest rates it really didn't answer my question. Can you please answer the following questions or give me a time stamp where the following questions were answered- "How much is a single stock worth at this point (or at time of response)? Do these stocks pay dividends to shareholders? If so, how often?"
 - A: Hi Elijah, I think it might be easier for me to address your questions in a phone call. Please feel free to call my cell at 907-301-3371. Thanks! -Tom
- Q: In answering Shaun Apple, you mentioned that this investment is an offering of stock in the airline. Do you have a value on a share of stock at the present time? If not, how do we track the value of our investment and what would be a reasonable value in order to sell our portion.
 - A: Hi Robert, Josh and Rob do a good job answering this in the webinar. You can view the recording from the post in the Updates page here: https://wefunder.com/updates/155846-webinar-recording
- Q: Will perks voucher be allowed for use on Ravn as well as NP? Do investors get any additional perks such as upgrades or discounts?? When I read about the 20% early investor discount, Does that mean if I invest $10,000 I receive 12,000 in vouchers?
 - A: Hi Robert, The vouchers are for NP flights only (so any flight with an origin or destination outside of Alaska) and are good through December 31st, 2024. They can be shared (used for any passenger) and divided into whatever denominations you'd like. The current perks are listed but we do plan on doing random other fun investor-only events/promotions, yes! The 20% discount is about the valuation ($280M vs $350M) for the first $1M of investors now, before the public launch. Thanks for your interest!
