Neurohacker Collective aims to provide meaningful scientific advances through a deeper understanding of human biology. We started with supplements for the mind (known as “nootropics”), which is a rapidly growing industry with global sales of $1.35 billion and expected growth to $6.1 billion by 2025. - Q: I'm not a fan of SAFE agreements for non-tech start-ups. Here's an excerpt from your Form C explaining just some of the concern: "...In certain circumstances, such as the sale of the company, an initial public offering or dissolution or bankruptcy, holders may only have a right to receive cash to the extent available, rather than preferred stock or other securities. In addition, if the SAFEs are so converted, the holders will lose any rights and preferences of the SAFEs that are not included in the terms of our preferred stock.We are under no obligation to convert the SAFEs into preferred stock. We may never receive a future equity financing or experience a liquidity event, in which case, the holders could be left holding the SAFEs indefinitely. Unlike convertible notes and other securities convertible into or exchangeable for preferred stock, the SAFEs do not have any “default” provisions permitting the holders to demand repayment. We have the discretion as to whether or not to enter into a transaction that causes the conversion of the SAFEs into preferred stock, and the holders have no right to demand such a conversion....". - Q: Hi James. I invested in the 2017 round because I worked with Jordan, Mark (How), GK and Ben at DivX. Is there somewhere where you have discussed your exit strategy or, if not, can you tell us what you are building towards in terms of investor returns / exit?
  - A: Brad, Thank you for your question. Currently we are focused on building shareholder value by growing revenues and profitability. We are not actively considering an exit. However, given our current elevated growth rate (22% in Q2!), we anticipate that Neurohacker will become an attractive acquisition target for strategic investors in the next 2-5 years. Depending on capital needs and market conditions, a public offering could be another option. At the moment, the company is in a strong enough financial position to fund its upcoming growth initiatives so we're not planning for another funding round soon. However, there are some large growth initiatives we're working on and if they come to fruition they'll likely require additional capital to execute so that could speed up our next funding round. - Q: I am interested in investing in Qualia Company, I just don’t full understand the perks once invested. What do I get for my money? Thanks.
  - A: Hi Michael. Thank you for your interest in investing! When you invest in us through WeFunder you will receive equity in the form of a SAFE Note. Once we raise a fixed-price funding round, that will cause the equity (SAFE notes) of the WeFunder investors to convert into preferred units of our company. From there you'll be eligible to participate in any profit distributions if we issue them and will be able to participate in the upside from the potential exit of the company. In addition to owning a piece of the company, we also provide additional perks for investing. These perks depend on the amount you invest and are mostly oriented around receiving free product. If you invest $500 you get a free bottle of the product of your choice. With higher amounts you get a subscription, etc.
- Q: Your product packaging is incredible, but it feels wasteful. I really like Daniels take on systems thinking and the circular materials economy, so I was wondering what steps your company will take towards zero waste?
  - A: Hi Paul. This is a great question! My goal is for Neurohacker to become a company with zero waste. Unfortunately there are a number of factors related to supply chain that make that very difficult to accomplish until we have more scale. When we started the company we did an assessment on whether using plastic or glass bottles was better for the environment. I had expected the answer to be glass but by the time we factored in the additional plastic needed to bubble wrap the glass, the additional fuel usage for shipping due to increased weight, etc. it turned out that plastic was the more environmentally friendly choice. We're currently working with our packaging suppliers to explore options around bio-plastics. So far we haven't found anyone who's making the types of bottles we need in a bio-plastic but we're looking into the potential of custom production runs that would allow us to accomplish this. We're currently in a process of reviewing our packaging from both a design and materials stand point and trying to see what improvements we can make. We're still not large enough as a company for some of the things that I'd like us to do but it looks like we're probably large enough to start getting much of our packaging materials through more eco-friendly methods.
- Q: James, there were several questions regarding proposed ROI. With any IPO I have enetred, there was some proposed return, even if speculative. The belief in the product is one thing, ROI is another. If this was answered rpior, please forgive me. Steve
  - A: Hi Steve. Thank you for your question. The question of ROI is a very difficult one to answer since there's still a lot that's unknown about our growth path. We know clearly that we're growing at a healthy rate year over year but we haven't yet determined what our exit plan is. We may very well IPO at some point but it's also just as likely that we'd be acquired and never go public. Investing in a company pre-IPO it's a bit easier to determine likely ROI since there's usually already been an established price set for the IPO so you can assess the difference of the amount you're investing at vs the anticipated IPO price. We're not entertaining the idea of an IPO at this phase. Though it could very well make sense, it almost definitely wouldn't until we're substantially larger since there's a lot of ongoing expenses associated with going public. When investing through WeFunder you're banking on the idea that the company's value will go up (hopefully substantially) from the value at which you invested and you'll get to participate in all of that upside. I wish I could give a more exact answer but legally we're limited around making commitments on what an anticipated ROI will look like.
- Q: I invested early on in company, 1000.00. Not sure where that stands. Being a sleep medicine specialist, with connections with the sleep depot at UCD Medical School in Sacramento, as well as Northstate Medical, I have some input with a large network of innovative physicians . Curious about the sleep products, I understand the mechanics of sleep and lecture to dentists and physicians. Always looking for innovation. Big question, where is my 1k parked? In Warrants??   - A: Hi Tim. Thank you for your previous investment! We send quarterly investor updates to all of our investors in addition to the updates we do through the WeFunder platform. If you haven't been receiving them there may be something wrong with the email we have on file for you. You can email support@neurohacker.com and we can look into that for you. We haven't converted any of the WeFunder investments into equity yet so your investment should still be listed on the cap table as a convertible note until we reach our conversion triggers. As far as sleep products go, we're hopefully getting close to bringing our first product to market. We're taking a very different approach than is typical with the development of this product. Rather than focusing on sedation, we're focusing on providing the nutrients needed for optimizing sleep performance and supporting maximum recovery during sleep. We've done some initial testing with one of our Beta groups and got very positive results. We're currently in the middle of a larger test to confirm results and will be making decisions soon on whether the product is ready for market or if additional research is needed. I'll let our science team know about your involvement with the Universities. Maybe there's the ability to explore a study through one of the universities.
- Q: Hello James, I am a current investor and received the email notification regarding this final round. Plainly speaking, what is the company’s exit strategy? How long will you remain private? And what is the timeline? Like all investors I am anxious to receive a healthy ROI. These questions will help me to determine how much I will further invest in this final round. Thank you.
  - A: Hi Sparkle. Thank you for your question and thank you for your prior investment! As far as exit strategy, there's 3 primary directions that we've considered. The first is to get acquired by a larger company that wants to continue the work and research that Neurohacker has started. This is probably the most likely option though we haven't begun actively pursuing this as we're currently still focused on growth more than exit. We've also considered staying private and beginning to pay out profit distributions to our shareholders once we're large enough that our cash flow allows for the ability to fund both growth and profits. Lastly, we've been courted by some investment bankers to go public. We're clear that this isn't something we would do right away as we're not large enough as an organization yet for this to make sense. However we could be within relatively short order based on the growth curves that we're seeing. As with any startup it's near impossible to predict exactly how we'll exit or the timing on it but given where we currently are as a company I'd expect an exit to happen in approximately 2-5 years.
- Q: What is your stance on dealing with liver health. Since a lot of nootropics get processed in the liver, is there anything you do to combat any strain on the liver?
  - A: Hi Josh. Nootropics are not alone; one of the liver's main jobs is processing and transforming compounds. It does this to compounds in the diet, molecules made in the course of normal metabolism, medications, toxins, etc. Many of the nootropic compounds included in Qualia (as well as ingredients in our new product Eternus) support the liver. Choline (as alpha GPC and Citicoline) is an example. The most common chronic liver disease is fatty liver. Chris Masterjohn has written several excellent articles on it. He's convinced that sub-optimal intake of choline is a huge part of the problem (https://chrismasterjohnphd.com/blog/2010/11/28/does-choline-deficiency-contribute-to/). We use two forms of choline in Qualia Mind (1 in Focus) along with several other nutrients (uridine as an example) that facilitate the choline cycle, which is important for both the brain and liver. Nutrients like PQQ, niacinamide and acetyl-L-carnitine are mitochondrial nutrients: they support mitochondrial function in all cells, brain and liver included. The coffee berry we use as a source of caffeine, similar to coffee, because of also including coffee polyphenols, is liver supportive. Artichoke, long before being thought of as a nootropic, was used for liver function by naturopathic doctors and herbalists. These are just a few examples. But the key point is that the brain, like the liver, makes many of the molecules it needs locally and is a very metabolically active tissue. Because of this, there's a big overlap of compounds that help both perform better. We give preference to ingredients that do more than one thing (we use a whole systems science approach). One result of this philosophy is that the nootropics we focus on tend to be things that support better liver health as well as brain performance.

  - A: Hi Nathan. That one's hard for me to speak to since I'm not familiar with the site or what information they use to determine the quality of reviews. On Amazon we don't have control over the reviews that people leave so I'm not sure what this site bases the information on. We have asked Amazon if they would remove certain reviews that appeared to be written by competitors though if memory serves they've only agreed to remove 1 where the review was pretty egregious.

  - A: Hi Brian. We didn't change the terms of the early bird. What happened was that a couple people invested large amounts and because of the amounts it didn't post to the profile until WeFunder was able to confirm the investments. Even though the investments hadn't posted to the profile, they already took us over the $200k early bird amount.
