Every solar farm we add to our community has a positive impact on society, and one step closer to disrupting the outdated electric utility industry.What am I actually investing in, and how do I make money?You are investing in what is called a “SAFE,” which stands for a Simple Agreement for Future Equity.&nbsp; It essentially acts like a convertible note structure in many early stage companies, but it is not a debt instrument.&nbsp; The SAFE instrument converts to equity (either common or preferred shares) when the next financing event happens (either a capital raise or a sale of the company). In this SAFE instrument, Neighborhood Sun (NSun) is offering a discount on the equity conversion, meaning whatever price we get, you will get a discount on it, plus potentially more. The "more" is because there is a maximum value cap, meaning if we get a price higher than that, you still convert at the discount plus your conversion is capped at whatever the valuation cap is.&nbsp; For example, if the company gets a $50MM valuation, you would get about twice the number of shares you'd otherwise get at $23MM if $23MM was our value cap.&nbsp; Conversely, if the next round of equity capital comes in at a valuation below $23 MM, you would still benefit from the discount on that valuation.&nbsp; You would earn a return on your investment when we have a liquidity event or an exit that allows you to then sell your shares in the company. If the company is sold at any price, then the economics of the SAFE still hold as if you had converted the day before the sale into equity.

2. **Mr. Skulnik, I work in Silver Spring so I am familiar with the area. I was just wondering how your company differs from other competitors, mainly larger companies. Also, could you name the 4 major community projects?**
   - Thank you for your question! We are unique in that we are a B Corp with a score higher than any other community solar company. That means we are at the highest level of good governance, transparency, and community committment. The four projects we completed are&nbsp;Panorama, Oxon&nbsp;Hill, Dogwood and Old Court. We have a new project coming in Pepco very soon so you'll have a chance to sign up as well.&nbsp;Stay tuned!
3. **Hi Gary, What was the name of your previous venture and how's it doing now? Thanks!**
   - Hi Jaspreet,thanks for the question. My previous venture was Clean Currents. It grew into a $22mm company and we had a succesful exit with our solar division, selling it to Solar City. Our retail electric supplier business, however, went under because of the Polar Vortex in 2014, which sent energy prices on the wholesale market through the roof and we didn't have the funds to cover the costs. Our lead investor chose to close the business rather than put more cash in when we needed it.

5. **What are the chances of coming to Virginia**
   - Hi&nbsp;Eric, we actually are planning on coming to Virginia thanks to the new law that was passed this year. It is expected to go into effect in a year or two. Stay tuned for more!

## Q&A
- Q: When will you be able to expand into AZ, NV, TX, or CA? These states have a lot of sun and I am sure this concept would grow rapidly.
  - A: Hi Andy, we are constantly looking for new opportunities to expand and I love the southwest, but I think it will be a few years before we are out there.
- Q: Could you describe the reason for the current raise, why your current valuation is justified, and how you aim to use the capital? Have you considered offering a slightly better valuation cap for previous investors?
  - A: The current raise is to give us more runway and resources in order to execute on our plan this year and do a Series A equity round. The current valuation is based on the convertible note we just completed in a private round. We raised $2mm from existing and new larger investors. Given our projected growth and the incredible opportunity in the community solar space, we feel confident that we are worth even more than what's in the note. We are offering you the same exact terms we just offered to the large investors in our private round so we will not do additional discounts.
- Q: I think the business model is intriguing, but no answers to investor questions in almost 7 months and only 1 update since January makes me feel that - as an investor - I'll be an afterthought. I'll continue to follow the campaign, but I'm staying on the sidelines until the company steps up its responsiveness to investors.
  - A: Hi Kevin, I'm sorry but I didn't realize there were so many unanswered questions. Now I know better how Wefunder works and we'll be more dilligent.
- Q: Just checking in on when you will send the investor perks?

- Q: I see you are back to fund raising. I invested in the last round (november), assume that money is confirmed and in?

- Q: One more question... I see assets have declined YoY as well. Can you clarify why that is (i.e., did the company sell off assets, were cash reserves used to keep afloat, etc.)?
  - A: Hey Scott, we didn't sell off any assets or use cash reserves. I think the report is just a matter of timing.
- Q: Hi - I invested in fall 2024 and never received my perks. Can I get an update?
  - A: Hi Ross, I'm sorry about that. We'll look into it right away.
- Q: I have some SAFE investments from 2020 and 2021 that never seemed to have been converted. I have emailed Wefunder several times but have never gotten a response back. Can you help?

  - A: Arcadia Power is the biggest player in the space. Our competitive advantage is our proprietary software platform, our management experience, and our strong brand.
- Q: Hello there, I'm part of Neil Patel's A+E Network. I just have some questions: 1. What is Neighborhood Sun's TAM(total addressable market)? 2. How much of the total U.S. market share in solar energy does N.S. currently hold? 3. What is your strategy to have a successful exit, acquisition, IPO release, etc? When can I expect to see a return on my investment if I invest in your company? 4. What perks are you offering to your investors? 5. Any plans for expansion into NM? NM gets a lot of sunshine most of the year, it would be a great market for N.S. 6. Any plans for international expansion? I hope everyone stays safe and healthy out there.
  - A: Hi Gerardo, thank you for the questions. I'm glad you heard about us through the A+E Network. The TA is projected to be about $16bb over the next few years by the National Renewable Energy Lab. NS holds a tiny fraction of the total market share as we're still relatively early in our growth and currently just on the east coast. Our strategy to get a return is either an acquisition or some form of IPO (Reg A+, eg.). We expect there to be a lot of consolidation in the market in the future.&nbsp;This is a long-term investment, however. The perks are listed on the front of our Wefunder page. i don't recall exactly what they are. We are thinking about NM and are following things there to see if the market opens up. Likewise, international could be good for the future, though our mid term goals are to expand here in the U.S.&nbsp;
