Credits will be added to your 'Credits Bank' so they can be used for as long as you're subscribed (here's more info on how Musiversal Credits work: help.musiversal.com/…-the-credits-system). As you've rightly pointed out, the investor perks give both you and a friend Credits. The Credits for your friend will be deposited into their account, and they can choose to use them however they wish (e.g. on your music), as long as it's a different person using them, as we b...
2. **Can I make an investment if i am Canadian?**
   - Hi Lisa, great question! You can invest anywhere in the world except for the 3 Canadian provinces of Quebec, Ontario and Alberta. If you live in one of these provinces, I would recommend finding an 'investor proxy' who lives elsewhere and could invest on your behalf.   - A: Hi Max, are the answers above sufficient? Do you have any questions at all? :)
  - A: Hey Max! 1) Whichever exit opportunity first presents itself to optimally A) Propel Musiversal's Mission &amp; Growth and B) Maximize our shareholders' return on investment. That said, we're a team of musicians who care deeply about the industry so... truthfully this is really too objective. Our feeling right now is that our exit will be an IPO (in 5-6 years) because we believe we have values which could really transform the entire industry. Musiversal could change how society looks at music players, music creators and music in general (for example children could aspire to become musicians as a stable profession if we succeed) and we do fear that if we "sell out" too soon then this vision will be lost. So, we'll exit whenever such an opportunity allows that vision to be realized - which will simultaneously result in both a massive benefit to society and huge return on investment for shareholders. 2) Once our ideal target is hit. 3) Same as our ideal target, which is $1M. So, in a nutshell I'd say that Vampr, a discovery and networking app, aims to help artists advance their careers by making it easier to find and connect with creative professionals (and also distribute their music). What I believe their software enables is having a huge network of creatives which you can sift through and connect with; and beyond the "match" you can decide whatever it is you want to do with that connection. Musiversal is... very different! We operate in the Music Production and Remote Recording space, helping music creators (from independent songwriters to film composers) produce their music, in real time, with the industry's best session artists. The key difference is that we are not simply a matchmaking marketplace where we facilitate customers finding providers from a huge list. Instead, we have a highly curated roster of artists who actually work for the company (paid by a salary) and have fixed daily schedules from which clients can book recording sessions with. So as a subscriber, you access a highly curated, high quality roster of leading session artists with whom you can book live recording sessions day-in, day-out. Perhaps one thing we have in common with Vampr is that we too are helping advance artists' careers. However, the "How" we do that is different. Our job is to help music creators turn their musical ideas into a fully produced reality, with some of the best session artists in the world. For film composers working to a deadline and budget, it means they're able to maximize the number of real musicians/ ensembles on their music - resulting in higher quality. - Q: Hi guys, really like what you're building at Musiversal! I'd like to invest, but I'm still not clear about how the business makes money. It seems a pay as you go session costs as low as $80, but that seems awefully cheap for musicians like Ben Trigg and Isaku Kageyama, are they really only taking a percentage of that? What is that percentage and how much is going to Musiversal? Apologies if that sounds naive, but I'm not entirely sure about the economics in the music business. Thanks in advance!
  - A: Hi David! It's a perfectly logical question to ask :) We pay our musicians salaries around the $48k annual equivalent mark. This works out at $23 per hour. Since our musicians spend 1 hour for each session, and including other costs to run the session (tech, support), then each session costs Musiversal about $25. So if customers are spending $80 per session you can see that's about 70% gross margins. Customers pay less than this on average, because most of our customers are on subscription plans which give recurring revenue but for a lower 'per session' fee. However, you can see that the unit economics and profitability is an order of magnitude better than 1st gen marketplaces, which typically take a small 5% commission and require huge scale to work (and even then suffer with disintermediation which we do not). - Q: In March 2022 you raised on a valuation of $18M but now you are raising at 15M is there a specific reason for this down round? Also, it's mentioned that you have raised from 5 VC's can you share the names and terms on which they invested in which round?
  - A: Hi Aashish! We're not raising a down-round. Below are the last 2 rounds: 2021-2022: Seed - $1.5M - Valuation $7M pre-money (Shilling, SBS, Lince) 2022 (June): Follow-on investment - $300k - SAFE with a valuation cap of $12M (Lince) The two remaining investors (LC Ventures, Red Angels) invested before the Seed round. We are also now closing a $1.5M round led by a new investor, Iberis, with follow-on from Shilling and Lince. Hope this helps!
- Q: What is your revenue looking like it'll be for 2022? What are you on pace for for 2023?
  - A: Hi Kyle! $900k for 2022. We're on pace to hit $2-2.5M in 2023.
- Q: Hey team! I'm excited about the opportunity for artists to make music at a greater velocity, and I'm glad to see that users love the experience (NPS). I've got a few questions I'd like clarity on before deciding to invest. 1) I see your gross margins are at ~18% and are aiming for gross margins of ~50% for the year. What factors are you hoping to change to accomplish this, and in what order of priority? E.g. is COGS going down? Are you increasing prices? Do you expect a shift towards higher-margin services (like the DAW)? 2) It looks like on average, customers use ~5-10 sessions before churning from the platform (based on pricing and ARPU). How do you plan on keeping customers around for longer? 3) I noticed you listed your CAC figure as "eCAC." Could you clarify what this means? In the case this number strictly represents digital marketing spend, what would CAC look like if inclusive of nondigital marketing spend? 4) I see you're planning to cut your eCAC by ~30%. How do you plan to bring CAC down?
  - A: Hey Jonathan! Really great, insightful questions :) 1) Mainly through increasing prices. Offering a 10x disruption is awesome, but unnecessary, and the pricing wasn't designed with high margins &amp; long-term sustainability in mind. It did what it needed to do though, which was get from 0 &gt; 1,000 bookings per month in a really short space of time; creating tonnes of learnings and getting hundreds of users obsessed with high usage! The low pricing was even working against us; a lot of leads jumped to the (wrong) conclusion that we were taking advantage of our musicians, or that the quality would just be crap. And loads of customers even told us (!!) to increase pricing. When your customers are telling you that, just do it. So, we did our research, ran interviews and even asked customers at what price-point would they value a Musiversal session? It was clear - they valued our sessions to be worth $50. That's 2.5X what we were charging. And still, 3x cheaper than market value, still disruptive. And? It'll allow for 50% gross margins. Regarding COGs, we did pursue the path of reducing COGs, hiring supply in countries outside US/UK with lower cost of living. This is in fact what allowed us to go from negative GMs to +20% in 6 months. But now with the increased pricing model (which you can already check out on our website), we can afford to actually increase COGs and still hit 50% GMs. Which is awesome, because now we're hiring some A-level session musicians who are really well known, go-to players in the US (our target market). So we're gonna see our supply starting to really drive demand. Win-win. 2) If we look at the set of users who subscribed from when we launched in Oct 2020 until the end of 2021, users were subscribed for an average of 6 months and booked on average 22 sessions - so it's a bit higher than what the pricing/ ARPU suggests. That said, we're always driving for higher retention and there's a few levers we found really worked: - We introduced yearly plans with an added value proposition: instead of get monthly quote of credits, get your full year's worth of sessions and use them variably all year round. Quite quickly we went from 0% to 30% of users on annual plans. It created a better experience for them, and higher retention &amp; cashflow for us. - We introduced tonnes of new instruments &amp; services. In the first couple of months it's hard to imagine that we only had 5 instruments. Users would subscribe wanting violin or vocals and they couldn't find it, so they left! Now we have 150+ instruments and 9 different types of services from lead sheet creation to mix advice and mastering. Every time we've added key services, we found that users booked more and stayed longer. They told us they want to use Musiversal for everything and stop using services like SoundBetter (expensive) or Fiverr (hit and miss); now they can. And there'll be more to come. - Acquiring the "best-fit" users for our annual subscription plans. These are pro users with a consistent need and multiple projects per-year. We did cohort analysis on our users and found that these guys pay more and stay longer. - Bit by bit, providing so much variety and value that no music creator has to go anywhere else. 3) This is effective CAC and includes all marketing costs. To reduce CAC, we're diverting more resources away from digital marketing spend (which can be quite expensive) towards direct sales, since sales is a traction channel we've validated and will have a significantly lower CAC. Sales is our current 'bullseye' but we're constantly testing new channels and seeing what moves the needle most effectively. As you can see from the unit-economic targets, we're aiming for minimum 3:1 CLV:CAC. What's cool about our new pricing model is that we actually hit that target with a single purchase on our lowest annual membership plan. Once you factor in higher plan purchases and renewals, this metric will begin to sky-rocket above 6:1. - Q: What is the reason to raise money at Wefunder after VC round? Secondly can you justify this your business model Recession proof?
  - A: Hi Varun, We've actually been thinking about doing Crowdfunding for a while now! Back in January 2021 just a few months after launching Musiversal Studio, a user wanted to invest $100,000 and this was followed by more interest in the subsequent months (our customers love the product, the value it provides and the impact it's having creating jobs for musicians). But at that time we were already closing term sheets with VCs for our Seed round, so we decided not to pursue it. But now that the Seed round is closed we thought it'd be a great opportunity! We realized that crowdfunding will help establish credibility in the music industry which will in turn contribute towards our growth trajectory and put us in the strongest possible position for Series A. Regarding the recession, I think there are two important questions to ask: 1. In a recession, will there still be demand for a product like ours? The answer is yes, but only for the right market. For professional music creators like Film Composers who produce music for a living (for big media across the world, which is a market that will not decline), they have a constant need for a service like Musiversal. Perhaps for hobbyists who're creating music for fun, they might cancel their Musiversal subscription during hard times! In a recession, assuming it's harder to raise funds, can we ensure that A) Our runway is long enough, and B) Our business model will become sustainable/ profitable? A) Regarding runway, we've recently closed a Seed round. We're also doing Crowdfunding and simultaneously supplementing this bridge round with follow-on investment from our VCs. We're ensuring that we will have at least 18-24 months of runway between now and raising Series A, which is more than enough time to achieve everything we're aiming for, and more. B) We estimate that we'll become profitable within the next 24 months. In addition, we've shifted our pricing model towards Annual Subscriptions which will further boost cashflow &amp; runway leading up to Series A. Hope this helps! Xavier

- Q: I signed up in the customer round, established a wefunder account, and deposted my investment money. I understand the next step is that I will get a Form C, and that is when the investment in musiversal will actually take place. What is the timing of this step--when will this form be sent out?
  - A: Hi Peter, That's mostly correct yes! The Form C however is something on our side... Musiversal needs to have approval from the SEC (the U.S. Securities and Exchange Commission) which is done through the "Form C" and once we have this, the investments will convert.
