  - A: Hi again Patrick, thank you for continuing to stay engaged with our campaign and asking more questions. Also, THANK YOU for investing! We have a unique plan for the crypto market. Our president, Charlie Davis, has been heavily involved in the space since 2013. Here is a link to his soon-to-be-published paper on Proof-of-Value, Dynamic Reserve Banking, &amp; Decentralized Money. (use this link - https://docsend.com/view/nvkque74277ft9gi) While more approachable than most academic papers, the intended audience is monetary economists and thought leaders in the crypto space. Charlie has developed a monetary protocol called Proof-of-Value which Moxey uses to evaluate and publicly prove the value of every “penny” inside the network. It is possible that Moxey will one day serve as the payment layer for bitcoin. Users will be able to hold (or HODL) their bitcoin and spend their Moxey.

  - A: Good morning Mike! Great hearing from you! (1) What made you decide to go to Wefunder to get invested compared to going to VCs and big angel investors? Moxey and WeFunder are completely aligned and even share the goal of saving capitalism. We help local economies grow and small business owners thrive. Inherent in our mission is the idea of democratizing wealth and creating a level playing field where everyone can prosper. The WeFunder platform provides a way for our existing customers to invest in Moxey. But we also benefit because building a national network of investors is a great way for us to build our brand as we prepare to scale across the country. Moxey wants to be in every city in America, and what better way to start than having a broad base of investors across the country! (2) What is your exit strategy? There are two primary exit strategies: Our goal is to go public and have an IPO, but it is possible that we will sell to a much larger company before that happens.   - A: My pleasure Nilesh! 1 - Is your 10% fee paid in US dollars or Moxey dollars? The 10% commission is paid in USD. 2 - If it is paid in US dollars, how (e.g. credit card, ACH transfer, etc...) and when does Moxey get paid the fee on a transaction The commission is paid at the exact same time the primary Moxey transaction is made. Currently our members preload USD into an account we call the Cash Reserve Account (CRA). They can load their CRA with a credit card or by mailing a check. If there aren’t enough funds in the CRA to cover the commission, the transaction is declined and the member is notified to load more funds. The CRA removes the problem of Accounts Receivable and helps with our cash flow. In the future we may allow members to approve a linked credit card or bank account for the commission, but right now they are required to preload funds into their CRA. **The potential software upgrade is a forward looking projection and can’t be guaranteed.
- Q: Hi, this is interesting concept.   - A: Thanks for putting so much thought into this Nilesh! 1 - How does your system deal with sales tax on products and services sold? We treat all purchases, regardless of the type (product, service or tax) the same. A member pays their bill using Moxey dollars (including any tax portions). The remitting entity remits taxes to the government agency using traditional money. This works for all parties because taxes are pass-through expenses and as long as the company that earned the Moxey can spend them, it is a complete wash. 2 - Why would a business accept paying a 10% fee on each sale they make? Most companies are in continuous need of new customers. They attract them through a variety of ways - such as advertising, marketing, sales reps or discounts. All of these options have costs, sometimes significant costs, and often include both fixed and variable costs. Moxey reduces the cost into a flat fee that is only paid upon success. Sellers are paying a 10% commission for the new revenue that they receive. They even get to defer the commission and not pay it until they spend the Moxey they earned back into the network. Just as important are the dynamics created by ‘excess capacity’ and ‘expiring inventory’. Many businesses are selling inventory that might have expired or would have been wasted if it wasn’t sold for Moxey. In many situations sellers are opting for 90% instead of 0%. It is a big win for both parties in the transaction. 3 - How does a business owner manage the fact they are paying real US dollars for the cost of their goods/services, and need real US dollars to cover most of their living expenses, but are receiving Moxey dollars? This would seem to be a limiting factor in how much of their business can move to Moxey. All companies have Cost of Goods Sold (COGS) that often need to be paid in traditional money. The larger our network grows, the higher the percentage of COGS expenses that can be covered with Moxey. But even assuming that the percentage is 0, as long as the business can spend the Moxey that it earns, the currency that the COGS are paid in is a non-factor. And as mentioned above, because this is NEW revenue that otherwise wouldn’t have happened or sales of products that might have expired, the average COGS are lower and the profit margins higher. Per David Racardo’s law of Comparative Advantage, the increased trading transactions are literally making all parties slightly wealthier. And happier! Because members can spend into the deficit by accessing an interest free line of credit, if they do have cash flow problems, accepting Moxey helps them preserve cash and frees it up for other critical expenses. Customers can always select a “Standby” status if they need to temporarily limit their intake of Moxey. If for some reason the member begins to earn so much Moxey that it might be unhealthy for them or the overall economy, the network will step in and help them find ways to spend their Moxey. Moxey is designed to ensure a steady flow of incoming revenue and outgoing expenses. And with 4,000 businesses to choose from it is getting easier and easier.

Does that mean that the company has earned $17.5M? If not, what about the math am I not understanding? Correct - the network has earned 10% or 17.5 million. However, as noted in the pitch, we’ve combined affiliate exchanges together that we call “legacy exchanges” to jump start our expansion. For these special situations the 10% commission flows first to our affiliate community and then a portion comes back to us. (The percentage varies and is detailed in the financials.) We are in the process of renegotiating these contracts but more importantly, as we grow from this initial footprint, Moxey will be the direct owner of new communities that we launch. And therefore earn the full commission on new growth. (2) How much (in dollars) is the line of credit that members receive? This is part of the magic behind Moxey. A credit line is fluid and can change on a regular basis. We use a monetary system called Dynamic Reserves to manage the process over time. But initially, a member's line of credit is a function of the sales they are likely to achieve inside of the Moxey network and not a function of their credit rating or overall financial success. What matters is the ability of the Moxey network to bring them new customers. Depending on the business category and current demand in the network, an initial LOC could be anywhere from a few hundred to tens-of-thousands of dollars. (3) What happens if members don't repay the line of credit (for lack of a better term)? Is there a time frame within which they have to do so? Members are financially responsible for their credit lines. As mentioned above, we use a unique monetary system called Dynamic Reserves to manage the flow of credit. It is based upon a special formula and time frame - but generally a 90 day window or a multiple of that to factor in seasonality and other issues. If a member becomes late in managing their credit line it is the job of the network to further engage and help them earn more business. But eventually the member needs to either a) sell a different good or service or b) use other resources to retire their debt. If they are still unable to do so, our system will leverage other resources inside the network to earn Moxey dollars and repair the soundness of the credit flow. (4) Can Moxey dollars ever be converted into actual dollars that can be used outside the network? Not right now. Part of the magic of our closed network is that they are constantly moving and not converted back to traditional money. (5) Is specialized equipment required to read the Moxey card? Currently transactions happen in one of three ways, 1) via our web portal… much like online banking, pay my bill services, etc., 2) through our mobile app which, among many other features, can scan the QR code on the back of the card to run a transaction, and 3) through our custom programmed POS terminals. With the creation of new software (one of the use of funds listed), we plan to incorporate APIs to directly connect with popular point of sale systems and online marketplaces. (6) How do you prevent fraud, such as someone creating a fake Moxey card? We have substantial measures in place to ensure that 1) fake accounts and cards aren’t created and 2) no unauthorized purchases are made as well as measures in place to discover them as quickly as possible if they are ever created. Fraud prevention is different in a closed loop network like Moxey than it is in an open loop network Thanks again for all the great questions!   - A: Adan, All Moxey members get membership credit cards to use as one of the many payment methods in our system. We have created a special Emerald Moxey Shareholder Card for our Wefunder investors. This card is only symbolic and isn't activated until you are able to participate in one of our Moxey communities.
- Q: Why would a cardholder be restricted to a city? Could a cardholder not be able to use their account/card in a city within a state or a city where he/she travels to or vacations in that also has Moxey affiliated businesses? 20.Oct.22
  - A: Martin, Great question! One of the benefits of being a Moxey member is that your Moxey dollars are good in any of our Moxey communities. Cardholders are not restricted to any location. The goal is to be able to travel across the USA using your Moxey for purchases. Currently, you can use your Moxey at 16 unique communities in 4 states. Most members earn and spend in their home community but we encourage spending throughout the network.
  - A: Perhaps, and we can discuss if you would like. To protect the value of the currency, we have to make sure that members have the capability to earn Moxey dollars (with a good and/or service) as well as the ability to spend those dollars back in to our economy at approximately the same rate within a reasonable period of time. You are right that the location doesn't necessarily matter, but because we're mostly geared for community and local activity, being close to other members does foster this movement of the currency in that reasonable period of time.

  - A: Karthikeyan, Thanks for your great question. Moxey has functioned for many years before and during the formation of web3 and cryptocurrency. Adding a web3 strategy isn't required for our current business model. However, as we scale, trust and transparency will become more important to people believing in the value of our digital currency and this is the value of adding web3 to our roadmap. We are also excited about another way for our investors to earn money and guide our growth in addition to just returns through stock appreciation. Adding a connection to web3 will not reduce the transaction cost, in fact, because this is something that will be added to our current program it will increase our cost. These costs will not be significant because we are using an L2 solution and not processing individual transactions on the blockchain. This small cost is going to be worth it to continue to scale the Moxey dollar in a transparent and healthy way. We are still early on in the implementation of our strategy so we do not yet have all the details of who we will be working with and what the payouts will yet be for our investor partners. What we do know is Moxey has a huge edge over most other web3 projects. No other digital currency has Moxey's breadth of experience - 200 million dollars worth of real-world transactions, immediate real-world utility, a perfect mix of transparency and anonymity, and a governance strategy that will excel in a Web3 world We want our owners to participate in our growth and success through our web3 rollout. - Q: You mentioned previously that a well known business owner brings appx 25 business owners together in their community to kickstart the process. Would it also not be beneficial to have the data and stats with a large database as an example to have others join the network? It would also be very beneficial when entering a new state or market place to be able to show your progress to new potential customers and grow your network even faster when they see how successful you have been.
  - A: The core group of 25 members to create a community is just one of the many steps in creating a strong and thriving Moxey community. We have built 16 Moxey communities over the past 10 years and have a great database set that we use and can share that shows all of our successes and failures. We are constantly improving our process and more importantly fine-tuning the marketing messages we share with the communities that our value which should expedite growth.
