Like with every other Wefunder campaign you will find additional information including financial statements, Directors, Officers, shareholders with more than 20% of voting rights, and more in the “Other Disclosures” section towards the bottom of each campaign page. Valuation. You are correct, that using standard industry formulas, at our current stage, we could have set our valuation much higher than what we are asking ($4m pre-money). However, we chose to use equity crowdfunding, because we want to make Modbook Inc. the first community-owned tablet computer company, to reinforce our laser sharp focus on the creative industry by being owned by creatives. In order to do that we decided to set the valuation close to the terms of our accredited angel investors so that the community can own a significant part of the company. And yes, as an additional benefit, this means you are getting the financial benefit of our stock being very aggressively priced compared to the other equity crowdfunding campaigns. We have set our year-over-year unit sales targets within proven performance benchmarks I have previously achieved. This will not only allow us to pace our growth at levels I have successfully managed before, but reaching our revenue milestones set conservatively will also clearly demonstrate the business potential of our market niche and more importantly, substantiate the even bigger market opportunity left un-captured. It is our strong belief that this will attract the attention of larger players looking to bolster their existing market share or expand into ancillary markets by acquiring our company. We have designed this exit strategy and its metrics under the guidance of one of our advisors, who is also a senior advisor to the HP Mergers & Acquisitions Board. Accordingly we would expect to see any such anticipated acquisition to be priced at a multiple of our targeted revenues, which in turn would achieve for our investors a high ROI at several multiples of their initial investments. Journey to success. Actually, my journey to make a commercially viable Tablet Mac started in August 2004 when I realized that Apple would not be making macOS-based tablets, both then and for the foreseeable future. The first company I built to commercialize a tablet mac solution was indeed successful with the 1st Generation Modbook for 4 years (2006 to 2010). Unfortunately, the company was unable to build on its success because it became a victim of the financial crisis which forced its foreclosure and subsequent dissolution. That was a completely separate company. When I founded Modbook Inc in 2012, I started over from scratch. I didn't have to worry about previous intellectual property because there wasn't any (other than the trademark "Modbook" which we purchased from a third party that had acquired it from the previous owner). As a Macintosh conversion solution, the "secret is in the sauce", meaning it is the sum of the processes building the business model that makes the solution. While the market had proven to crave my 1st Generation Tablet Mac, the business model I used during those first 4 years, wasn't able to weather the financial crisis. So, with a clean room design approach, but also with the benefit of 20/20 hindsight, I carefully developed over the past 5 years a new business model which incorporated all of the lessons learned. I believe that the Modbook Pro X is going to be the best macOS tablet ever, with a keen focus on the needs of our target audience , but I also hardened our business against the outside factors that halted my previous success in its tracks. As they say, if at first you don’t succeed… :-) With the above in mind, I believe this is indeed the time to become an investor in Modbook Inc.. You get the benefit of us having previously spent a lot of time and a good amount of money, to figure out, not in a lab, but through actual on-the-ground experience, that there is a sizable market, what our target customers in that market want, and how to make & get it to them in the most profitable and risk-averse way. Our Modbooks are, in essence, conversion kits that transform genuine Apple MacBook Pro laptop computers into pen-enabled Mac tablets. This not only makes us unique (which is alway valuable) but also makes it exceedingly hard for traditional PC manufacturers to copy us. Most every other PC manufacturer relies on mass production out of asia to build most, if not all, of their component parts in large batch numbers, filling their inventories to last months at a time. Large inventories work fine, if you have a license to build the entire computer, top to bottom. Every single PC manufacturer today is using this business model, based either on a license from Microsoft (for making Windows PCs) or Google (making Android computers) or any of the UNIX/LINUX systems and their respective licensing models. However, Apple does not license its Mac operating system. The only way to legally create a macOS based computer solution, is by way of producing a conversion kit that will transform a genuine Apple computer into something else, in our case, a Mac pen-tablet computer. Large inventories for conversion kits are a very (very) bad idea. The moment there is a change in the product for which the kit is designed, and we see Apple (like most every other PC manufacturer) update/change their products every 6-12 months, that inventory has just become obsolete and the associated capital expense is lost. We spent a long time trying different approaches, product designs, and manufacturing process combinations, until we developed our very own, proprietary version of Just-In-Time manufacturing, with under 10 days in inventory for the current Modbook Pro, and an expected 6 days in inventory for the Modbook Pro X. Using a 100% US-based manufacturing and assembly line, we have worked out not only how to build one or a handful of conversion kits for one particular Apple computer, but do so for a line of Apple products and on a commercial production level scale. This is what constitutes our key barrier to entry anyone looking to enter our market space and compete with us would have to overcome. Of course, in the longer term, once we launched the Modbook Pro X and begin building out our product roadmap, we do plan on adding certain patentable processes and features to our products and build out our intellectual property portfolio. It’s been a long road that we’ve travelled together and we can’t wait to finally get the Pro X into everybody’s hands. As one of the original backer yourself, you may recall that the Kickstarter Modbook Pro X project was conceived as a limited, one-off build. Along the way, we experienced some unexpected difficulties, as well as events that provided great opportunities. However the pursuit of those positives, came at the price of delays. The most transformative has been Apple’s introduction of the all-new, completely redesigned MacBook Pros with the revolutionary new Touch Bar. Another was the realization, triggered by the success of our Kickstarter campaign (we took a Top100 spot among the most successful Kickstarters at the time), of the tremendous need and potential in the market for a top-end, convertible Mac tablet. The all-new Modbook Pro X with Touch Bar introduced with this Wefunder equity crowdfunding campaign is the result of that evolution and one of the pay-offs for the patience and support of our Kickstarter backers. They will receive the latest Modbook Inc. flagship product with everything that goes along with, such as (extended) warranty (options), long-term service and support, and a long product life cycle with gradual updates and upgrades, rather than the original planned one-off build. In addition, acknowledging that we couldn’t have made this much progress without the backing of our Kickstarter supporters, we decided to create the Kickstarter Option Pool, representing 5% of our company fully diluted, and divide it amongst those, most patient, Pro X reward backers. We thought it only fair to maximize their individual share in the option pool by only allocating stock options to those backers that had to wait so long for their Pro X We appreciate the interest from backers, yourself included, to step up their commitment by buying out the pledges of those most unhappy with the way the Kickstarter project has developed. However, because the Kickstarter platform does not provide any post-campaign mechanics for pledge transactions (between backers or otherwise), we agreed to facilitate, on a first come first serve basis, the transfer of those pledges which would include the corresponding stock options. Unfortunately, working out a process acceptable to the first-in-line, most unhappy backers, has proven to be more difficult than we expected. However, we’re doing our best to try and work it out. Please feel free to direct-message me further questions regarding these and other Kickstarter-related topics through the Kickstarter platform and make sure to continue following our Kickstarter updates there. The Modbook Pro X was specifically developed to meet the needs of creative professionals and Mac power users that need the most powerful and versatile macOS tablet possible. Neither the MacBook Air nor the MacBook come anywhere close to those requirements, which is why we are currently not planning to support them. To date my team and I have created tablet solutions based on four different members of the MacBook/Pro family of Apple laptops. Each of those was a generational improvement over its respective predecessor and other than the upcoming Modbook Pro X, all previous solutions were only compatible to a single specific MacBook/Pro model. The Modbook Pro X is our most advanced development. What sets it apart, most of all, from its predecessors, is its design’s innate ability to be quickly adapted to support new generations of Apple MacBook Pros. Having developed an integrated business and manufacturing model that enables us to efficiently do this is in fact the biggest barrier to entry for anybody trying to compete with us. Every other traditional manufacturer will have to constantly worry about Apple introducing new version of its products, which would likely make that manufacturers inventory obsolete. We have developed our own brand of Just-In-Time manufacturing ( less than 10 days in inventory) and are not worried by these revisions we see from Apple every 6-12 months. Quite the opposite, we welcome them! Since Apple is constantly working to update their base systems to be industry leading in features (i.e. Thunderbolt 3) and performance (i.e. latest quad-core processor architecture), they also keep our Modbook Pro X better, newer and faster than any Windows-based tablet solution - without us having to spend any of the monies our windows competitors have to spend, just to keep up with Apple. This is where the real barriers to entry for potential competitors are: + how we design it (to be quickly adjustable) + how we built it (so can move quickly to the new) Ciao, Andreas
Hello Andreas Haas, I haven’t gotten any updates in a long time. Dealing with another company’s product cycle, which naturally includes every product’s end-of-life phase eventually, would be a challenge if it were not for our own brand of just-in-time-manufacturing. You can find a more in depth explanation in my response to Craig’s question here: https://wefunder.com/comments/15658 . The short of it is that we expect to thrive on Apple’s changes and updates to its product lines, and we have a solid supply source for as long as there is a Mac laptop product line. In terms of our existing Modbook Pro, you are correct. Launched at the end of 2012, the Modbook Pro was not intended to propel our company out of its pre-revenue startup stage. Instead we conceived it to be limited, short production runs to evaluate and fine tune both our technology and business model development effort. And we are still getting orders for it today. Particularly professionals generally abstain from upgrading their work machines to the latest macOS release, which is why the Modbook Pro is still sought after, despite not yet supporting macOS High Sierra. However, the launch of the Modbook Pro X will also bring macOS High Sierra support to the Modbook Pro. With extremely limited sales and marketing efforts behind the Modbook Pro, primarily during the launch, taking a more build-it-and-they-will-come approach, the Pro captured nearly half of its total $1.3 million revenues to-date within its first 4 months of becoming available, that shows both market potential and viability. As for our more detailed plans to build out the business, take a look at my answer to Nijanand here https://wefunder.com/comments/14777 . With the successful completion of our campaign, imagine what we can achieve when we launch the Modbook Pro X with a full marketing & sales plan and campaign behind it. The success of our venture is first and foremost based on being the only tablet maker choice for Mac users on the planet. Secondary we are focussing our initial efforts on the high-end segment of the portable Mac market, because that is where our market testing has shown us to be both the biggest demand and spending potential. Using a 100% US-based manufacturing and assembly line, we are confident to have worked out not only how to build one product based on one particular Apple model, but do so for a line of Apple products and on a commercial production level scale. Once we’ve launched the Modbook Pro X, our full attention will turn to building out our product roadmap beyond “just” the one Pro X model. Even with just and because of the Modbook Pro X, we are expecting to be able to quickly grow past mere sustainability into a solid multi-million dollar business. Unlike other startups in the consumer technology space, we do not need to ship tens or hundreds of thousands of units to get there. Our first year target is for sales of just under 1,000 units, which constitutes only 3/10 of 1% of the US market. Following that, we plan to keep pushing sales gradually higher to allow for investors to start cashing out, with a solid return on their investment, around the end of the third year. It has to be searched for very specifically by name. This means that very few people will find it, because I imagine most browse new offerings through those two methods. Is it on purpose?
Hi Alan, in short, yes it is on purpose. I can't speak for the other campaigns where you encountered this, but I can tell you why it is happening here and it's probably a good guess that it is the same with the other companies. There are several steps involved in the creation of a crowdfunding campaign on wefunder.com, not all of which have to follow directly one after the other. Once a company has completed and filed its regulatory documentation with the SEC they are allowed to (a) publicly ...
Can you convert any Macbook into a tablet?
Hi Vanessa, No, we can not. Each of those was a gene...
If this market has this much potential, why is no one else doing it?
Hi Nikky, Potential competition would have to come out of one of two camps: Apple or any of the other PC manufacturers. Apple is currently one of the most valuable company in the world, which is based on its extremely successful business model. It’s built on an effective and deeply ingrained platform strategy of distinctively splitting their mobile offerings into macOS-based, mouse/keyboard-enabled notebooks on one side vs. iOS-based, touch/pen-enabled iPhone/iPad tablets on the other. It is ...
Your current Modbook Pro can be booted into Windows, but the one before that, the Modbook 150 could not. Will this Modbook Pro X run Windows 10?
Hi Joshua, The simple answer is yes. We are using only genuine Apple 15.4-inch Retina MacBook Pro as base systems. Every current Mac has the built-in ability to natively boot into Windows 10 through the Bootcamp app, so our general rule for Modbook Pro X compatibility applies here as well: if it works/runs on an Apple 15.4-inch Retina MacBook Pro before we transform it, it will run on it after we transformed it into a Modbook Pro X. Ciao, Andreas
Also, does the Modbook Pro X respond to (finger) touch as well? None of the last ones did.
Hi Joshua, The upcoming Modbook Pro X, just like its predecessors, is focused on providing top-of-the-line pen-input capability for its professional users and does not respond to touch. For one, this allows users to use the pen most naturally, so placing the hand on the screen while drawing will not cause any interference and also not take up any system resources to manage some software-based palm rejection application (which never works 100%, not even on the iPad Pro). The other reason is th..."}]}}}
