1. **2.13 valuation how are you coming to this number? I do not see what the share value is? and what you are looking to get as an investment to make a successful round.**
   - The price per share was set by the Board based on crowdfunding offerings for similar entities. Most of those entities were already going concerns and had per-share prices of between $100-$125. As a new entity (and one seeking to be as accessible to the public as possible), the Board decided to set shares at $25. Based on the number of shares issued at formation to the founding members, the club has a “pre-offering valuation” of $2.13 million. A successful round would ensure that, at a minimum...

   - Hi, The shares are a portion of the club and so you will be owning an actual percentage of the club and have the commensurate voting rights. You are able to transfer shares after a year (can transfer within a year to family though there are very specific rules about minors that we encourage you to research). - Q: Could you please explain what the investors "own" exactly with their shares? I understand and support the esoteric value of supporting women's soccer and that there are some investor "perks" in the form of swag, but is there any monetary benefit to owing shares? We can bequeath our shares in our will (inheritance) but can we sell our shares (for profit) or would we receive quarterly/yearly dividends? Just trying to understand the concept of community ownership. Thanks in advance!
  - A: Hi, The shares are a portion of the club and so you will be owning an actual percentage of the club and have the commensurate voting rights. You are able to transfer shares after a year (can transfer within a year to family though there are very specific rules about minors that we encourage you to research). You are not able to individually sell your shares. There is a potential for dividends. We have set up the club as a General Benefit Corporation which means that the board operates with other important community benefits in mind other than simply the maximization of profit (and thus dividends).   - A: We have put a pause on merchandise sales because we're about to go through the branding process and don't want to get stuck with an inventory of merchandise with the temporary logo. We will have new merch available late this fall/early winter.

  - A: Minors generally cannot personally buy and sell shares, so to avoid the need for a formal trust the most common (and easiest) approach is to create an account in the name of an adult (e.g. parent) with the shares held in trust for the child.

  - A: The shares offered are restricted securities and cannot be sold by investors on an exchange and will not be able to be sold on an exchange unless they are registered in the future. Selling the shares before or after the team might go pro would be the same, but you would want to consult your lawyer. We do not know what that potential professional organization would look like structurally, but we do not think at this time it would involve a wholesale sale of the existing shares.
- Q: If this round of funding is oversubscribed, will you be allocating shares on a pro-rata basis or in order of orders received?
  - A: It will be done in the order of when it was received.
- Q: Can I make an investment in the name of one of my minor grandchildren?
  - A: You would have to do it in your name and then when they become 18, you can have those shares assigned to the grandchildren. Hope that helps.
