And while there are limited yet crucial expenses incurred in order to bring a movie to market so it can generate revenue, we, the producers, don't see a penny from that. As a truly independent production company attempting to be successful in 2018, we've seen first hand those Hollywood accounting practices. This will be our 5th indie feature working directly with investors who often become more like family than anonymous partners. Our first priority is always making our investors whole. The definition of \"Net Profits\" is sometimes a grey area but so can AGI - many times they mean the same. In the case of film investing, they both represent a number amount that is found after taking out expenses, interest and other fees that go against the film. Regarding this project specifically, we're also legally behind \"Net Profits\" and behind the investors' 120% recoup. We always assure our investors we can't make money from the sale of a film until they get back their investment plus interest. So to explain our thinking, AGI and Net can be interchangeable and both terms default to the language in the \"waterfall return\". This section of an investor agreement is used to specifically outline the order of repayment as well as the cost that can go against the film's profits. I recommend to any investors to never sign an agreement that offers AGI share or Net share without a clean definition of possible cost. In the large studio system, we often see creative accounting methods in the way of lateral money transfers and expenses as it ends up siphoning off profits. We like to say \"The most important people in Hollywood are the accountants\". Our investors mean the world to us. While not every film can be successful, we certainly want everyone to be close to the project and understand completely how their return works. The legal documents used when finalizing investments have a detailed waterfall that shows all possible expenses that apply (which often times are much less than estimated). We also provide caps to expense to insure we don't have a bottomless hole for profits to fall into. There is no way around AGI or Net Profit-language but at least know that when producers are LEGALLY restricted from any profit until ALL investors get their money back + interest, rest assured, you have that revenue share security.
