Maison Marcel is a unique rosé masterfully created in Provence. It was born from an old family recipe concocted by my grandfather to charm my grandmother. Living in the US, I realized there was an untapped niche in the rose category and saw an amazingopportunity. Marcel is the only off-dry rose made in Provence on the market. It. Year 1 was beyond all our expectations as we sold out of our 30,000 bottles and had to reorder. We are now very excited to bring Maison Marcel across the US

1. **Why a SAFE agreement and not straight equity? SAFE's have very little assurances to the investor that an equity conversion will actually take place.**
   - Hi Barnaby, we already went through a straight equity deal at the initial funding phase. We are now seeing important growth and think it's better for everyone to delay the valuation of the company. That being said, I can assure you that the conversion will take place as I am fully dedicated. I have never let a project down in my life and it's not about to happen anytime soon!

   - Hi Austin, thank you for your interest in Maison Marcel! This is one of my favorite questions :) You are absolutely right rosé tends to be seasonal therefore harder to sell during the winter months (just as red wine is harder to sell during summer btw). There are 4 main ways we will generate revenue outside of summer: 1. Launch of a Sparkling rosé for this coming OND (October, November, December).    - Hi Alexzy, thanks for your question. Between now and next summer we will release a sparkling Marcel rose in October, and Petit Marcel, which will actually be slightly bubbly. We are considering a red and/or a white for the end of 2018. Currently, we do not have any brand ambassadors.

   - Hi Chris, Thanks for the great questions. Very bullish on the UK market and launching next summer! We are in talks with 2 large distributors, and also in negotiation to have a celebrity endorse the brand there. Luckily, we found a brand manager whose a real hustler and who is very, very passionate about the brand. He's looking to partner with us in the long term and agreed to be paid on commission only.   - A: Hi Byron, Thank you for your question. I'd love to answer it but could you be a little bit more specific, there is so much to say about it. Thanks for your understanding!

  - A: Hi Craig, Most of the funds raised will go toward financing inventory. With 8,800 cases on the way for 2017 that's a significant amount to finance and since distribution is what we've worked on the most for the past 2 years, this is the best investment to grow the brand. If we manage to go past $70,000 within the next few days, then a portion of it (about $20,000) will go toward digital marketing and maybe to finance our upcoming wine club. Hope this helped :)
- Q: Hi Albert! Just trying to work out the maths to better understand your numbers. So $82k last year + $150k in the first 5 months of 2017 = $232k. Assuming all of this has been generated in NY, ie 50k bottles, that gives us a sales price per bottle of $4.6 vs. a SRP of $15 which seems a bit low. Is there something missing ? Cheers
  - A: Hi Pierre Alexandre, Thanks for your question! Indeed, there is something that is not exactly right in the numbers you are bringing up. To be fair, different information are scattered around, between the profil page, the deck and the updates so let me recap for you. In Year 1, we did sell 900 cases which was equivalent to $80k, and in Year 2 (2017) we are at 3000+ cases which equals to $280k. The reason why the $/bottle varies is that we have been in a hybrid self-distribution/wholesaler model in NY. So we make a lot more margin selling direct to retailers and less selling wholesale. We're finalizing the numbers for the year and I'll know what the blended $/bottle price is but to give you an idea we sell $5.66/bottle to the distributor and $8 through self-distribution. Also, between SRP and sales price per bottle remember the distributors takes minimum 30% margin and retailers take between 35 and 70% (especially in NY where rents vary so much). Hope this helped!
- Q: What liquidity, exit or other return options do you foresee for investors?
  - A: Hi Prahasith, This is clearly an exit strategy I foresee here. It's always hard to predict at what case level an alcohol brand becomes acquirable, as it depends on the quality of its distribution network, the brand equity and what's around it (i.e. Casamigos sold at 40x revenues). Some M&amp;A specialists say offers start coming in at 25,000 cases, but we want to reach 100,000 cases in 5-7 years . Recent wine buyout multiples have been between 5 and 8x revenues so: 100,000 cases = $8M revenue = 40 and $80M valuation. You're now investing at $2,5M pre-money so that would be at 24x return if we sold the company for $60M. Hope this answers your question. Cheers! Albert
