## Story
We believe life is about living deeply, not the quantity of things you own. Our motto, “Own Less, Live More,” encourages you to live a well-worn life, knowing your clothing can handle whatever you throw at it.Our MissionOur mission is to "create products and systems that maximize function and minimize harm to people and planet" through thoughtfully designed, long-lasting apparel made with lower-impact materials and ethical labor practices. This is codified as our benefit statement as a B Corp Certified Public Benefit Corporation.Said simply, our goal is for our products to have functionality that exceeds their impact. This puts the pressure on us to make our products as good as they can be, to last as long as possible, and to do as little harm to people and the planet as possible.“LIVSN” comes from the Swedish word livsnjutare, which means “one who lives life fully.”That’s our north star. Creating apparel that enables people to live life fully, whether that’s technical climbing or casual hiking, we’re here to help make pursuing your passion a little easier with clothing you don’t have to worry about.According to a 2024 Flex Canvas Pant Life Cycle Assessment which surveyed 353 Flex Canvas Pant purchasers, 94% of customers report that they still actively wear their first pair, proving both physical and emotional durability. Our motto "own less, live more" is about empowering people with durable, versatile, and responsibly produced outdoor clothing that encourages them to spend more time in nature. We're committed to following through. We know we aren’t perfect, but we believe in the progress we’ve made and in being transparent about the improvements we're making. That’s why, in addition to earning our B Corp Certification, we also published our inaugural impact report and supplier code of conduct last year.Resilience is in our DNAAfter overcoming addiction and incarceration, Andrew Gibbs-Dabney redefined his life and created LIVSN, a brand built on intentionality and resilience. This foundation led to the creation of thoughtfully designed clothing that supports both outdoor adventures and everyday moments, backed by a lifetime warranty and a comprehensive repair program.Read more about Andrew's story on our website here, or in Outside Magazine here.Founder Andrew Gibbs-Dabney in our first two Kickstarter-backed productsProducts built to perform and lastRanging from pants to shorts, tops, outerwear, and accessories, our products are built to function in the outdoors and transition seamlessly to the day-to-day. They are tough enough for hard use. They have the features required for the outdoors. They blend into daily life so they can be worn more often. All the while, they build emotional durability and a connection with the wearer, so that when they eventually wear down, people are drawn to repair. From our original Flex Canvas Pants to our newest releases, our products have found homes in tens of thousands of closets and have received thousands of 5-Star reviews. In keeping with our mission, we create with the following design principles top-of-mind:Choose the highest quality materials.Build durability into design.Prioritize mobility.Aim for timeless style.Integrate features subtly.Minimize harm to people and planet.Iterate and stay tuned to feedback. It all started with our OG Flex Canvas Pants, funded 2x on Kickstarter, and has grown into seasonal collections for both men and women, covering ankle to head.Since then, products like our Ecotrek Overalls have become top sellers within one season of release.John L, LIVSN Customer: "The Landcruiser of pants. I haven't taken off my LIVSN pants since I got them a few weeks ago, and they've held up to how hard I play on the weekend, while also being comfortable to wear while working during the week."Adam W, LIVSN Customer: "Between the five pairs Flex Canvas and three pairs of Ecotrek, they've virtually replaced all of my jeans and casual slacks."Our Instagram, website, and Youtube channel are good places to check out our products in more detail.Values-aligned customersWhen asked to rank what they prioritize when it comes to apparel, the LIVSN audience ranked "durability," "fits my personal style," "versatility," and "timelessness" as the first four of thirteen attributes. They ranked "cost competitive," "country of origin," and "currently on trend" in the bottom four.Industry PartnersOur wholesale channel represents a critical piece for both revenue and brand awareness, particularly in the outdoor apparel sector, where specialty retailers drive the heart and soul of the outdoor industry. With over 100 retail partners, we have established a foothold in the industry. From 2024 to 2025, wholesale revenue grew 24.44%, demonstrating an increasing level of confidence among retailers in our brand.*gross revenues reported, as stated in our GAAP financialsEmma Littman, Outdoor Retailer Buyer: "We've carried LIVSN since we were first approached and shown their men's Flex Canvas pants in 2021. I am in an apparel buying role that is approached by brands all the time to check out their products. They almost always claim to offer something new, different, interesting. To me that is a well-worn argument, the idea that a company truly has something different than what has been around. It took me until I tried the women's specific pair of Flex Canvas Pants to realize that LIVSN actually did have something different in the works. In the 4 years since then we have seen LIVSN's catalogue expand, but in such a thoughtful way. They maintain a unique, specific, and timeless style. The catalogue is not overwhelming or redundant. This simple, almost unspoken choice shows me that they not only say they care about sustainability and waste reduction in materials, but also in their scope of production. Each season adds a new piece or two, and maybe a new color. As a buyer I don't feel bombarded by excess, but instead excited to know that they won't come out with new things for the sake of newness, but only when they truly feel like it's worthwhile. We continue to buy LIVSN because we want to put our money where our mouth is. RRT and LIVSN were both BCorp certified this past year, and we have made it a pillar of our buying process to use our dollars to support those who we feel have a similar ethos. I look forward to future seasons of Livsn's practical, sustainable, and especially comfortable apparel for our shop and for my own closet."LIVSN and Roads, Rivers, and Trails celebrating B Corp Certification at Grassroots ConnectIn addition to industry support demonstrated by our retail partners, we've received media traction for our commitment to product excellence and our forward-thinking approach to impact. In 2025, we were recognized by Rock Fight Podcast as a Top 5 Outdoor Brand. We've been featured in Forbes, Outside, Men’s Journal, Travel Freak, Singletracks, Carryology, Gear Junkie, Maxim, Field & Stream, Blister, and Backpacker, among others.Foundation for sustainable growthWe've built a tremendous foundation of brand, product, suppliers, distribution, and people on which we can build a truly incredible business. We've established a strong reputation within the outdoor industry, one that is notoriously tough to break into, through our commitment to product quality, community support, and company ethos. We have a product catalogue covering men's and women's tops and bottoms, as well as Spring-to-Winter collections. We have a supply chain that's tested, scalable, and responsibly run, and company operations to back it up. We have a brand that inspires people to be more present in life by living and consuming intentionally. And we have a team full of rising stars in the industry, ready to put their capabilities to work on this next stage.Operating efficiency: In 2025, we reduced our operating loss by 17.26% YOY, establishing progress toward profitability.Wholesale growth: In 2025, wholesale revenue grew 24.44% YOY.Flagship growth: In 2026 Q1, revenue in our flagship store was up 51% YOY.Industry expertise: Our rockstar team is supported by board members and advisors who are industry experts. Board advisor Eoin Comerford, formerly CEO of Moosejaw, brings expertise on marketing, wholesale, and the outdoor industry at large. Board member and fractional CFO Todd Stockbauer, formerly CFO at Spyder, brings expertise on finance and operations in the outdoor industry. The whole full-time LIVSN Team with our 2026 Arkansas Business of the Year AwardWhere we're headedWe’re set up to take the brand to the next level: we have a lean but powerful team, robust systems, great products, and committed partners. With a successful raise, you will help us accelerate our growth by expanding our marketing reach, alleviating constraints to product development, and ensuring we can produce the right product mix at the right time. In short, you’ll be helping us encourage more people to own less and live more.DTC growth: Online DTC remains our largest revenue stream, representing 56% of gross revenue. We've shipped to all 50 states and over 80 countries, proving global resonance. With this raise, we plan to invest into content creation and marketing strategy, including the hire of a Head of Marketing and Growth.Focus on core products: Moving forward, we're bringing our focus back to what we're known for: pants. By contribution margin, our 2025 sales were 84% bottoms. While tops will remain a complementary part of our line, we are focused on scaling our reputation as the best outdoor pants on the market. This raise will support strategy-aligned inventory puchasing. Why a Community RoundOur community has always been our foundation, and as we first began with crowdfunding our original Flex Canvas Pants, it felt right to return to the people who make this possible. Many of you have been with us since the early days, repairing your gear instead of replacing it, and sharing our story with friends. Now, you can be more than customers. You can be owners. This round gives you the chance to invest directly in LIVSN’s future, and to share in the success of building an outdoor brand that does things differently.Community at our Ecotrek Overalls fit partyWe’ve been busy since our last WeFunder round. We have brought product development in-house, earned our B-corp certification, released our first impact report, launched our supplier code of conduct, added new team members, expanded our sales territories and retailer network, streamlined internal processes, joined Grassroots Outdoor Alliance, joined Locally, joined Brands for Public Lands, implemented EOS, and added over a dozen great new products in new categories. We invite you to join us in this next phase of sustainable growth.Don't just take our word for itEoin Comerford, Former CEO of Moosejaw and LIVSN Board Advisor:A letter from our founderMy name is Andrew Gibbs-Dabney, the founder of LIVSN. We're an emerging outdoor clothing brand with strong industry traction, and we're raising an equity crowdfunding round on Wefunder to fuel the next phase of growth. In 2018, I founded a company with the idea of creating something of value in the world. A company with the right to exist because of the merits of its products, its service to its stakeholders, and its responsibility to its community. For real, the very first piece of content that "LIVSN" created was a two-part blog post about what sustainability truly means in business. We've evolved our thinking over time, but those original thoughts still hold today.Whether you're a customer who wears our clothing, a retailer who took a chance on an emerging brand, an angel investor interested in the outdoor space, or simply a passerby on Wefunder, welcome to LIVSN.I want to invite you to join us on this journey. Our goal is to be among the best brands in the world, creating the world's finest outdoor clothing. We create clothing that empowers you to pursue your passions. Stuff you feel good about because of how well it was designed, how it was produced, and how great it performs. And along the way, we're building a positive community that connects people around intentional living and outdoor pursuits. Will you join us?-Andrew Gibbs-Dabney, Founder & CEOThank you for your time. We know how valuable it is.

## FAQ
1. **Can't wait to hit the invest button!!**
 - Thanks Roy!
2. **How much to get one of those plum-lined ventile jackets as a perk?! ;)**
 - Those are a rare commodity around here - but you can definitely snag one on Kickstarter later this year!
3. **I was pleasantly surprised by how good your eco trail pants are! But never having invested in anything, I just don't know what the potential benefit is for me, longterm? :-) So basically I'm just curious about it**
 - Hey Tajs, thanks for the compliment and for considering an investment! The main gist is summed up when you hover your mouse over the valuation to the right: "If you invest, you're betting Livsn Designs will be worth more than $7.2mm in the future". Investing is a very risky way to deploy capital, but the basic idea is that if we grow the company's value, then the value of your investment goes up with it. If we sell one day, you would share in the sale price. The opposite is also true. I hope ...
4. **Okay, this is a dumb question no doubt. I'm a first time investor on WeFunder, but believe in LIVSN and want to see you grow. I did an early bird reservation prior to the crowdfunding going live to the general public. I can see in my account portfolio the LIVSN reservation. Am...**
 - I think you are good to go, but it's probably worth shooting a message to Wefunder support just for peace of mind. Thanks so much!
5. **This thing smells like what I love………. A great product/ brand in the early days…….What was 2021 sales and what is your gross profit margin**
 - Hey Eliezer, thanks for reaching out. We think we smell good too. Total revenue for 2021 was $1,027,704.22. Gross margin was a hair under 46% for the year.

## Q&A
- Q: We want to know what you see your valuation will look like in 3 years also the income and balance statements Not to say much, I think we are very much interested in this project but then we are not opting for the crowdfunding route. We were wondering if you have provisions to accept alternative financing which should save time of WAITING SO LONG for your target to be met. With that we can cover over 50% of your target raise. Kindly reach out to me at thomas@700capital.se so we discuss further.
 - A: Hey Thomas. Slow reply because this didn't seem like a message specific to LIVSN. Feel free to reach out to me if I misread the situation.
- Q: Looking at your map of retailers, my question is why are you not targeting Arizona, we have plenty of mountains and people come here for the trails and the snow in the Flagstaff area. I think your product would do very well here.
 - A: We're coming for you! We don't have a Southwest sales rep yet, but we're actively recruiting for one.
- Q: How much to get one of those plum-lined ventile jackets as a perk?! ;)
 - A: Those are a rare commodity around here - but you can definitely snag one on Kickstarter later this year!
- Q: Can't wait to hit the invest button!!
 - A: Thanks Roy!
- Q: When do you guys anticipate financials from 2025 being available?
- Q: Hey Andrew, please reach out to me ive got a Q and didnt hear back from you by email... thanks
 - A: Sorry, email got flagged. Got you a reply!
- Q: Just came across your company. Sounds cool. How much revenue over last 12 month? I guess its not recurring... Thanks! What's the best way to have a quick 5 min chat? Thanks!
 - A: Last 12 months gross revenue is $1.7M. Our revenue isn't recurring in the way that SAAS can be. DM me for a quick chat or email me at andrew@livsndesigns.com. I'm always happy to hop on a call. -Andrew
- Q: Hi, I’ve been following your progress on Wefunder and am genuinely impressed by the vision behind LIVSN DESIGNS. My name is Julian Vance, and I head Catalyst Equity Partners. For the past seven years, I have worked exclusively within the Wefunder ecosystem, helping founders bridge the gap between 'launching' and 'successfully funding.' One of the biggest hurdles in a crowdfunding campaign is maintaining consistent momentum. My work is specifically focused on providing highly curated, niche-specific lists of potential investors who are already active in your industry. Founders I work with have seen significant support and increased investment volume through their Wefunder links by utilizing this targeted data. I’d love to discuss building a specialized investor list for your niche at a very low and affordable price point, designed to ensure you get the highest possible ROI on your outreach efforts. Please reach out to me here at catalystequitypartner@gmail.com so we can discuss a strategy tailored to your industry and help you hit your funding milestones faster. Best regards, Julian Vance Catalyst Equity Partners
- Q: Hi Andrew, Quick Question: Are any animal products involved? Our vegan crowdfunding club may help you get investors. Thanks.
 - A: Some of our items contain animal products, including leather washers and/or leather arm patches. Thank you for asking, though!
- Q: Looking for the investor benefits for the different levels for this fund raise, are they still posted anywhere?
 - A: They aren’t posted publicly anywhere, but we just emailed you the details on that code. Holler if you have any issues or questions. Thanks again for backing and the kind words!
- Q: I was so happy to invest in this company! When I did, I must have deleted the mail with the code for the item and for future purchase discounts. Truly, this is a bonus for an investment I would gladly make without it, but I also will not turn it down if it is still available. Thank you!
 - A: We just emailed you the details on that code. Holler if you have any issues or questions. Thanks again for backing and the kind words!
- Q: Looking for the investor benefits for the different levels for this fund raise, are they still posted anywhere?
 - A: Hey Bill - Looks like you should have gotten a 20% code for your investment. Please let me know if you didn't get this code! -Andrew
- Q: Will there be any additional updates on 2022 performance vs earlier estimates or other pertinent updates prior to the funding window closing next month? Thanks!
 - A: Hey Dion - I was planning to do YTQ3 #'s and Q4 projections as soon as we have our September books closes. I'd also be happy to hop on a Google meet and review 1x1 for investors over $5k such as yourself. Things are looking solid through EOY, especially with the ridiculous rate at which we're selling overalls! -Andrew
- Q: As far as turning the investment into cash, does that only happen if the company is sold? Also, if an investor upped their investment since the initial commitment, they are eligible for the accompanying perks, right?
 - A: That is correct. Like most equity investments the return on invested capital would come in the form of a liquidity event such as a sale or IPO. A sale is the most likely outcome for us when the time and acquirer are right. Additionally, yes an increase in commitment would bring the accompanying perks. Thanks!
- Q: Received an email from Wefunder that reservations need to be confirmed by Aug 25th, but when I click through to the Wefunder website, it says we have until Nov 17th to confirm investments. Can someone confirm which is correct? Thanks!
 - A: I'm not 100% where the August 25th date came from, but yes the campaign has an official close date of November 17th. Since we have filed our Form C and the contracts are available to sign, you are able to confirm your investment any time between now and the closing date.
