- Q: How much money have you raised so far from investors? and how much was invested in the company? Do you have any debt? How do you justify the $90 mil valuation with no profit up to date?
  - A: Up until Wefunder this 2024 we have raised $8.2MM in Convertible notes and SAFE. Some these investments are "debit". Like many early-stage startups, Lit Motors is offering investments under a SAFE (Simple Agreement for Future Equity) this is not Convertible Promissory Note (debit). Think of it like a promise: we are promising that your investment will convert to Preferred shares in our first major equity funding round (Series A). When that happens, your SAFE will convert into shares at a predetermined valuation cap. Re: Valuations here's how we think of it: say that you invest $100 at a $90M valuation cap with a 10% discount (effectively an $81M valuation cap). If we then fundraise at, for example, a $162M valuation in the future, your SAFE will convert as if Lit Motors was worth $81M. Since the valuation has doubled (200% or 2x), this means you get twice as many shares as new investors, and therefore, your $100 investment would be worth $200. After that event, you'll own shares, so your investment will increase in value as the company grows/reduces risk/goes into production and becomes more valuable. My intention is to democratize this early stage funding round to give retail investors an opportunity to get in early on this once-in-a-lifetime technology. I also wanted to address your question about our valuation. Our pre-orders (deferred revenue) jumped by 52-53% since June this year. We are offering a $90,000,000 valuation-capped SAFE, but we are anticipating $48,000,000 in revenue at POS based on the data we have from our pre-orders. This could put Lit at a hypothetical $480,000,000+ valuation solely based on potential revenue with an EV/R of 10x. Other factors that contribute to the valuation are our portfolio of 130+ patents, employee contracts, and future revenue growth based on patent royalties in different verticals in the EV industry (autonomous, taxi, delivery, B2B fleets, military, etc.), which is expected to grow to $6T ($6,000,000,000,000) in 2030. This could put Lit at a &gt;$1,000,000,000 (greater than $1 billion!) valuation, but we are offering a discount for the common investor to get in early and serve the purpose of Equity crowdfunding. You could argue that the return on a Lit Motors investment in 3-4 years is in the ballpark of 8x (800%) to 16x (~1,670%).   - A: 1. **Production Plan:** Lit Motors intends to start with a small-scale production run of 5,000 units in Portland. Working with our manufacturing development partner IDEENION. This partnership and small scale production will allow us to optimize our processes and gain valuable knowledge before scaling up to a larger production capacity of 10-50,000 units per year with a contract manufacture. and then onto 125,000 units per year. 2. **Regulatory Compliance:** We understand that motorcycle and autocycle regulations can vary across the US, and we want to simplify the driving experience for our customers. Therefore, we are pursuing FMVSS vehicle admission, which will allow individuals with a standard passenger car driving permit to operate our AEV without needing to navigate complex and varying regulations. 3. **Scaling and Offshore Markets:** Our manufacturing concept is designed to be adaptable to different regions.   - A: Great question Martin! Enjoying a well designed interior and ride demands comfort as a paramount. Maintaining a warm interior in snowy mountains and cool in arid deserts requires an appropriately sized HVAC modules in all models. Since the AEV interior volume is only 5-7 cubic ft we believe we can achieve this at scale.

- Q: I live in the Phoenix AZ metro area where temps can climb as high a 121 degrees. Although, short lived (few days) at that temp we have over 100 days of 100+ degree temps. Does this vehicle have Air Conditioning? If not, what is the ideal operation temps for driver / passenger comfort. Is there any heating system? If AC and heat are add-on systems what would be the mileage range degradation? No AC and No Heat would severely limit market penetration.

  - A: We can't comment on these topics, but we have had consistent interest and extended conversations with other automotive and technology companies from 2013 to 2024. I believe having a higher performing driving prototype would be a positive step forward to increase Lit's perceived value in any future conversation.
- Q: I was hoping this was a search vs post. I wanted to know what the licensing requirements would be for the USA if this EV was going to be sold in the USA.
  - A: Classified as an Autocycle in 48 states but with a high degree of EU NCAP homologation safety measures integrated with airbags, a safety cell, seat belts, and the CMGs.
- Q: Are you considering in-wheel motors to avoid the less efficient chain drive?
  - A: Josh, we have considered an in-wheel hub motor at the start, there are many advantages to it on a smaller scale. It is difficult decision, to met spec for the continuous power we require to accelerate at sustained highway speeds, maintain a good unsprung weight for ride quality, with a reliable proven motor solution.
- Q: Are you using Li-ion batteries? Am I right in thinking that most of the production cost is the battery? I have seen reports that say demand for lithium may out strip supply soon. Are you looking into, or developing better batteries?
  - A: Hi Raymond, what we have is intellectual property for a highly spatially/energy efficient vehicle platform much like the Selden automobile patent, which had a significant impact on future vehicle designs. In terms of batteries, we are agnostic to energy storage and propulsion technologies including Li-ion, Li-poly, fuel cell, ICE, and Hybrid. The most expensive parts are based on the economies of scale: battery, gyroscopes, chassis, suspension, augmented steering system. It used to be the battery pack, but we will have a much better idea after this development cycle with the crash provision. Our lightweight vehicle platform optimizes the battery’s lifespan by only requiring 1/6 to 1/8th of the lithium or materials for an operational EV. From Lit’s perspective, battery tech has become a commodity, and range anxiety is a problem that only plagues 4000-7000lb 4-wheeled EVs.
