We only have one class of units in our LLC so there is no preferential treatment between units. At the moment we plan to remain an LLC, but we are considering converting into a C-Corp as we bring on employees so we can provide stock options to vest ownership in the company.   - A: Hi Mohammad! Thank you for your interest in becoming an investor in Kickit! I would be happy to answer your questions. 1) We have trademark protection of our brand and are working on a new design patent as well as a patent on the "methods of use" for the Kickit game. We can secure further intellectual property on these two things and we intend to, but as you have pointed out, the barrier to entry for a product like ours is not very high. It wouldn't take much to create something slightly different and compete with us. That is why our main focus has been to 1. secure a name that has a natural association with the product and 2. build the brand so that when you hear "Kickit" you think about our products and vice-versa. When you see something similar, you think "Kickit". With a name like Kickit, I believe we have the opportunity to build a brand that's so ubiquitous with the product that people will associate us with the entire category, similar to how facial tissue is now generically recognized as "Kleenex". The belief here is that by building the brand and positioning ourselves as "the original Kickit" - the public will recognize and reject the knock-offs. 2) We have yet to form an official governing body/federation for organizing major tournaments and monitoring the game. We plan to do this after we achieve greater adoption of the concept. To accomplish that adoption, we are focussing first on hosting tournaments in our local communities and teaming up with physical education programs, and secondarily by collaborating with Professional Soccer players. In fact, we have a tournament this coming Saturday (June 19th) in collaboration with MLS team the Chicago Fire! I'm super excited about it! 3) We have not pursued NBA, NFL, or Fitness centers. So far we have started with the MLS team collaboration I mentioned above, indoor soccer facilities and local recreational facilities in the Chicago area where we are located. This is a great idea though and something we could definitely explore! On this line of thought, I do want to share that we have plans to license with Major League Soccer and Fanatics to license team-specific Kickits. It's our belief that every professional soccer stadium in the world should have Kickits in their team colors, with their team's logo. We proved the viability of this idea by licensing and producing Kickits with the logo and colors of the USL team, the Charleston Battery. 4) Great question! When I was first launching this business, one thing that I learned quickly with our young soccer players was their desire to compete. I created a Juggling Leader Board (on a big dry-erase board, think minimum viable product (MVP) testing.) whereby, players at a youth soccer tournament could come by to test their juggling skills by seeing how many consecutive juggles they could get using their feet, thighs, and head. We recorded every player's record on the leader board to show how they stacked up. This was an instant hit! Players came by our booth every hour to check where they ranked and to try for more. So with the M.V.P. proven, imagine taking this online into an app! Well... that's actually what we set out to do in 2018. We programmed a smart chip to record impact data and send it back to a Mobile App. Krissa helped us create this using her Dynepic App Building platform. The vision was to ultimately create a global leader board. So as I described, this project got as far as the functional app and functional counting prototype. The challenge then became building an algorithm sophisticated enough to determine when the Kickit was hitting the ground versus a successful juggle, or detecting when it was being manipulated. After exploring the smart module and app path, I now think we could accomplish this same experience by using computer vision. This would leverage the mobile phone camera to detect the juggle, instead of hardware. A computer vision application would reduce the need for physical inventory i.e. producing the smart module hardware - and also could leverage the social-forward nature of an iPhone camera. There are apps that already exist using this type of technology, so it's a viable solution, we would just need more resources in order to achieve it. Thank you for your questions. All of these examples have piqued the interest of buyers at JD Sports and Pro Direct, some of the biggest sporting goods retailers in the UK. Not only that, but these examples of adoption by some of the biggest names in the game have also piqued the interest of Intersport Evelry's, the biggest sports retailer in Ireland. Furthermore, just to illustrate how excited the UK market is about our product, we received vendor applications from these retailers before we could even get our VAT registration number from the UK Government. These players are the only ones that I can disclose at the moment since they have posted, but we have some of the biggest names in England that are CURRENTLY playing, waiting on the sidelines to post about Kickit - we have had them hold off until we get distribution in the stores. Once the product is on the shelves, there will be an influx of posts from these players to drive retail sell-through. As a soccer fan, it's hard to hold the excitement for the fact that we are working with so many world-class players. I can tell you that we have 45 total players from teams like Liverpool, Chelsea and Manchester United with Sport Packs and amazing content waiting to post. Our secondary goal, after leveraging these relationships/social media posts to help us gain distribution, is to identify one or two players that really love the game and fit the profile we are looking for to earn equity in the company by helping promote it. One big ambassador, as you alluded to, would mean rapid growth and adoption. And considering the global spectacle that the Premier League is, we anticipate these partnerships to resonate into other markets. 4) As the CEO and main operator of Kickit, my objective over these next 18 months is to create options and drive profitability. I'm focused on building partnerships with major clubs and players, distribution with major retailers across the globe, and increase demand/top-line revenue. If I can focus on these core metrics, we will become a very attractive acquisition target for bigger sporting goods companies seeking to tap into the soccer market. Let me give you an example of what an exit could look like. There are two major sporting goods company's in the US that have recently acquired companies like ours. EastPoint Sports is one, and Wild Sports is another. A backyard game company that's similar to ours, KanJam was acquired for $20m in 2018 and then again in 2019. First by Wild Sports and second by EastPoint, which currently owns it. While I believe we will far exceed $20m in revenue/yr in a couple of years, there is a possibility of exiting before that with a proven track record. KanJam was acquired after doing 3.5m EBITDA. One thing you will notice if you look at these big backyard game platform-companies like EastPoint is that they do not offer anything soccer-related -- and for an even bigger picture, there is no backyard game platform-company with a soccer-focused orientation. In my opinion, that's a massive opportunity for us if we want to become that platform-company, or even still we will be well-positioned as a diversified acquisition target for one of these companies seeking to add soccer-style games. And yes, we are working every day to identify new sales channels that have lower Customer Acquisition Costs (CAC) which will enable us to become profitable, quickly. In fact, we have just recently secured our VAT registration for commerce in the United Kingdom. And following this, we have already secured interest in purchase orders from some of the biggest sporting retailers there like JD Sports and Pro Direct. These major UK retailers sent us vendor applications shortly after some of Englands most renowned soccer (football) players e.g. Liverpool FC legends; Robbie Fowler and Jamie Carragher shared our game on their social media accounts. We expect to secure purchase orders with these retailers in the next two weeks.
