   - Hi Robert, Thanks for becoming a shareholder. We will use all the proceeds from selling shares for making the site better. That being said we have talked to Funko and other companies about exclusive products and did a few so far. As a Shareholder we would make sure you get to see them first and at discounted rates.
2. **Are there plans for a decent working app? Also how will this work with ppg?**
   - Hi Andreas, Thanks for your interest. We have worked for quite some time to replace all the underlying technology on PPG. We started with the marketplace (easiest as there was none), have now replaced the pricing allocation system (which you cannot see unless you are a price squad volunteer), the display of the price grid and now need to work on a list builder (something much more flexible allowing you to build any type of list versus just your Top 10) and some smaller improvements to the cur...
3. **Hi, I have great respect for the work you guys are doing, you are the go-to for my pops buying and selling. I would like to know what the "share holder" mean, if at some point a big company wakes up (Funko wake up) and offer to buy you. Thanks and best of luck.**
   - Hi Mattan,Thanks for the kind words. Shareholder means you own part of the company (how much depends on how much you invest). If we sell the company you get your pro-rata of the sales price. That being said we would prefer to become the epi-centre of the collectible world and stay independent paying dividends to our shareholders, again pro-rata to your ownership percentage of the company. We hope that our most loyal users become shareholders.
4. **How many shares does the minimum investment grant a share holder?**
   - Thanks for your interest.&nbsp;&nbsp;It is $1.10 per share so the minimum of $220 would make you the proud owner of 200 shares.

- Q: I know this is unsolicited, but I thought I would share what I think is an amazing website model for collections. In this case, it is for legos. The website is: https://www.brickeconomy.com. I'm sure you're aware of the website, but just in case, I wanted to pass it along. I would love a website like this for Funko and other collectibles. It has a ton of useful information, easy to navigate, connects to various selling platforms (although I noticed a general lack of reach for many shopping search engines that fail to capture less mainstream sellers such as entertainment earth, bigbadtoystore, rawstarwars, etc.). Those less mainstream sources generally have better deals and a wider variety of stock than some of the big box stores. You also generally get less damaged goods in the mail (so less legwork returning/replacing, etc.). Amazon, Ebay, GameStop, Hot Topic get all the search traffic and directed marketing it seems, but there are numerous smaller selling organizations that I wish were more accessible to search for in one place. For example, rawstarwars has great stock and prices, but will never pop up in a generic price comparison app. Even McFarlane Toy Store, the toy store for the company that makes the action figures doesn't rise high in searches so you will possibly end up paying more from Amazon or another source than you could have paid directly from the company that makes the item. It is such a headache to do the diligence to find out if the price you're buying at is good, too high or if there is a lower price available somewhere. Too many times I've ordered at a price (even below PPG) to only shortly after find it much cheaper. PPG is a good metric in theory, but it doesn't feel as freshly up-to-date based on all available information as it could be, although I'm sure the information gathering and freshness will only improve over time. I understand the informational value provided from sale history, but I think equal value can be obtained from active and available for sale items. A PPG of $20 is great to know except if you buy at PG and then see the item is on clearance for $5 at GameStop. In my view, the discounted sale price reduces the value of the PPG to some extent (not sure it is 1:1 reduction if the sale is temporary but it presumably should have some downward pressure on the value of the item). Even the Lego site I mentioned is a bit limited because it seems to only really cover EBay, StockX, and Amazon. StockX is a very interesting site in its adoption of bid/ask metrics (and active bids and asks are viewable in addition to sales history). I think that's excellent information to have in assessing the market for an item and its value. If a website like the Lego one I linked above could be reproduced for all types of collectibles, while incorporating some of the other innovations in market data we are seeing on other sites, and had a broader store/seller reach for active price comparison (noting I'm sure it would be more difficult to track executed sales information), then in my view that would be the gold standard collector resource. While Hobbydb is great and its goal exciting, it does remain a bit clunky and unintuitive at times. A website with its finger on the pulse of the active and ever-changing market that is streamlined and user-friendly, would really make a lasting and valuable splash. We are seeing a lot of development and innovation in collecting and sharing market data in this field, and I think it is imperative to stay at the forefront of such development and innovation. There are a few things that they do that we plan as well (it is a little harder for us as we do any collectible and not just one Brand and as Lego is possibly the easiest brand to manage). - Q: I probably should dig a bit more, but it seems easier to ask. Are your governing documents available anywhere (charter, bylaws, stockholders agreement(s), investor agreement(s), etc.)? I saw a few things on the Form C but not all the core documents (I looked quickly). I’m mostly interested in understanding the terms and rights of any and all classes and series of common stock and preferred stock (including, among other things, voting rights, consent rights, protections, etc.). For example, any dilution protections, redemption/conversion/liquidation/fundamental transaction rights, any put/call rights held by the company or any member of the board/management or the major stockholder(s), etc. Perhaps crowdsourcing equity raises are more of a blind fundraiser where the “investment” is somewhat ancillary to the shares that are received in exchange for the investment. Nevertheless, in valuing a potential investment of this nature it is rarely so simple to find price-per-share by dividing the prospective valuation by total outstanding shares because of the various rights and terms of the different classes and series of stock. As I’ve indicated, I am not sure of the particulars around an equity raise through crowdsourcing means. Is there a full prospectus available anywhere? I understand if a big VC wanted to invest they likely would get their own separate series of preferred with various rights and protections. The crowdsource equity raise model is new to me, so I’m trying to best understand what an investor is receiving in terms of “stock” (noting I understand the general fiduciary duties the board and executive officers have for the stockholders - it is also my understanding that the fiduciary duties owed to preferred and common stockholders can differ to some degree in various scenarios - which is highly dependent on the terms of the preferred). You mentioned in another comment that there was a goal of issuing dividends. It’s hard to assess the potential benefits of that when there is multiple classes and/or series of stock outstanding and without knowing the governing terms of the company’s equity stock. Also, it would be helpful to understand what kind of comp and equity awards, if any, are held by the founders and management (including their terms). Thanks in advance for pointing me in the right direction to learn more (and if the answer is for me to just be more diligent with what has already been provided, I’m happy to take that as an answer as well).
  - A: Hi D D, These are excellent questions. WeFunder calls the overview of types of shares Capital Structure here https://wefunder.com/hobbydb/details and in our case, we have a very easy setup. Common Shares and Preferred (you would get the latter) with the only difference being that the Preferred Shares have a liquidity and liquidation preference. In addition, the Preferred Shares have the right to appoint a Director with some approval rights (currently that is Peter Reschke). There are no other differences. I should add that WeFunder does a limited legal due diligence and it is my understanding that they do that to spot unfair treatment of their customers (investors that invest on the WeFunder platform). In terms of equity awards, there are option awards for a total of 373,168 issued to 6 individuals. The two legal founders do not hold options.

  - A: Hi Neil, you would only receive tax documentation if there is a sale of the business, otherwise, there is generally no requirement to list your hobbyDB investment in your taxes (but please note that this is my understanding and depending on your personal tax circumstances and country of residence). - Q: Once the investment is made, what's the return on the investment? Is there certain number of stock that is obtained with the minimum $100 investment?
  - A: $100 would buy you 114 shares. When you invest in us, you are buying actual shares of the company that you believe in. As we move forward, the overall goal is to become the epi-center of the collectible world and when possible, pay dividends to our shareholders, pro-rata to your ownership percentage of the company. Also, there is always the possibility of floating on a stock exchange or being acquired, where you would receive pro-rata payment of the sales price. All that being said I cannot tell you what the return would be (it could vary from a total loss to paying your investment back 100s of times).
- Q: The estimated valuations for collectibles seems to be purely based on sales history on the platform. What are the plans to make this more accurate/robust?   - A: That particular Funko is one of the most often faked products out there. They often say "China version", or copy of, often they do not but those are all fake (and if not you should buy one ;-)
- Q: HI, Any reason why there is no revenue growth 2020 vs 2019? Also what is the YTD number and full year outlook for 2021 Revenue?
  - A: Hi Zohrab, Thanks for your interest. 2021 was a year of a lot of changes for us. With Sales Tax legislation for marketplaces now in place for more than 40 States, we decided to change our business model to a combination of classified and subscription (similar in the way Facebook did not follow through as initially announced in becoming a middle-man in FB Marketplace transactions). Doing that impacted our short-term revenues but put us in a good position to be the site where collectors sell directly to other collectors. It also allows us to offer trading, the quintessential collecting activity which is offered by no other website. - Q: What category of Operating Expense are Hobbydb's hosting costs under? I understand the switch to Azure likely made it cheap but I'd like to understand the costs
  - A: Hi Ryan, we consider hosting costs to be variable costs, same as finance fees (for us currently PayPal). A further point to note here is that while we moved to Azure we are now deploying under Kubernetes allowing us to change or split hosting on the fly (which is very different from the move we just did switching from AWS to Azure, which was a mammoth project for us).
- Q: This made for an amazing laugh &amp; good bathroom read. This price guide is now shitty at best, with a backlog in the tens of thousands, I find it funny you didn’t disclose that information which people should know. Browsing through higher end pops, you clearly can’t even spot real pieces from counterfeit pieces. This was an amazing site a few years ago, it’s complete trash now. People just use eBay sold listings.
