We're GenesisAI.When we were developing Palatine Analytics (a startup selling AI-powered employee performance monitoring systems), we learned that AI development is hindered by two fundamental problems:1. AI development is expensive.2. Independent AI developers can neither monetize nor share their code.Today, there are only around 10,000 AI developers in the world. 99% of companies cannot afford to hire their own team of AI engineers to create in-house AIs, nor do they have enough technical capabilities to correctly determine from which open-source APIs to grab existing AI code.Astoundingly, there is no way for AIs to exchange data, learn from each other, leverage their capabilities, and trade services— let alone judge the quality of AIs (there is no reputation system). - Q: Hi GenesisAI. I invested in the first round last March 2020. You did a SAFE investment at that time. Since they have raised again with an equity offering of common shares and are doing another that just started, shouldn’t the first investors have their SAFE converted into shares?
  - A: Hey Darren, thanks for your support! SAFEs that you bought in Wefunder round converts to shares when there is equity financing which is defined as "a bona fide transaction or series of transactions with the principal purpose of raising capital, pursuant to which the Company issues and sells Preferred Stock at a fixed pre-money valuation". So, currently, we are doing an equity round on fixed pre-money valuation but we are selling common shares. In order for SAFE to convert we should sell preferred stock which will likely happen sometime in the future. The valuation cap when you invested was $7.5M; now, the valuation is $49M! Good growth!
- Q: Hi Archie, just stopping by to ask how everything is going? Everyday all I see is news articles on CHATGPT and video talking about how it will be a game changer in 100x investors money. Just wondering if income has picked up since the last update?
  - A: Hey Mario, We will be posting a revenue number of 2022 by April 30th!
- Q: where can I find my shares?

- Q: Clarification on number of shares, if the evaluation during the last netcapital round was ~ 49Mil and the price was 11.06/share then our ROUGH cost per share with 7.5Mil evaluation would be (7.5/49)*11.06 ~ $1.7/share. So $1K investment should be closer to 588 shares, please correct me if I am wrong. With the split I guess its closer to 5880 shares.
  - A: Hey Kevin, so basically you multiply number of shares you owned before the split to 10 to derive your new number of shares.
- Q: Hi GenesisAI. I invested in the first round . You did a SAFE investment at that time. The valuation cap at that time was $7.5M; And because I am new to this and you were my first investment ever abroad I wanted to ask a few questions. Question #1 will first round investors benefit more in the end? Question #2 How do first round investors calculate (if possible) from the amount invested for example 1000 $ how many shares they have approximately? I understand that it is just the beginning of the company and it's laughable to ask suchs questions because nothing is certain at this time, but I think I am not the only fresh investor here and in my opinion it would be very nice to have someway to calculate how many shares approximately a first round investor owns in the company by the amount invested.Because I read the agreement and I could not find any clues on how much belongs to me for example.   - A: Hi Ernestas! great to have you here. 1) Our current valuation is around $48M which is around times more than when you invested! 2) current price per share is around 11. 11/4 = 2.5. So, when you invested very roughly price would have been around $2.5 a share. So, $1k would have given you (very roughly) around 400 shares.
- Q: Dear, Archil, When does the Non-accredited investors window will open to support the vision of AI?
  - A: Robert, it is a bit tricky to say. Likely you will be able to invest before the close. Please keep an eye on it. We are doing two types of fundraising: one for accredited investors ($1k minimum) and one for non-accredited ($300 min). We SOLD OUT shares that were available for non-accredited investors. However, as Netcapital goes through the process of investor accreditation verification, space is becoming available for non-accredited investors. So, I assume there will be an opportunity to invest $300 in the next few weeks.
  - A: Please check now, Robert. It is open for non-accredited. Likely will be sold out today.
- Q: When will you inform us about what you guys are doing at the moment and what things you achieved in the Operational Business ?
  - A: Julian, we do that through our updates - e.g check out partnership announcements. We are going to do another quarterly announcement in next week or so.
