- Q: Collin Tedards of Day One Investor reports that you previously raised $30M to develop the app and get to this point. If that is the case, how can you be doing this offering at ~ a $30M pre-money valuation without seriously diluting the founders and/or the $30M investors? Please explain. Thanks.
  - A: Hi Mike, yes the company has raise a total of $30M for the development and testing of the technology stack that operates FreebirdRides. The development capital was used to create our intellectual property that includes all of our software and related patent application. The raise was completed serially with some in common shares, some converts, some preferred, and some debt. As we grew from a development stage company to an operating company, all of the previous capital was converted to a single class of common stock, the same class that we are offering in this round. This was important as we keep our eye on strategies and tactics to not just create shareholder value, but liquidity for our shareholders at an exit as well. Through the various conversion prices and conditions, all of the stakeholders positions were protected and founders and employees have equity with a great opportunity to earn additional equity based on the successful execution of our KPIs.

- Q: How does freebirds compare to any rewards programs currently being used by Uber and Lyft? Does the freebirds 'proprietary data platform" prevent Uber &amp; Lyft from adapting a program similar to freebird? Any thoughts on other sectors where this rewards ecosystem, might be used? Any traction (partnerships)?
  - A: Hi Denyveaus, all of FreebirdRides promotions, cash back, and awards are always in addition to any offered by a rideshare service. Uber has ended its free loyalty program Uber Rewards so it can move its customers to the subscription-based Uber One membership. Similarly, Lyft has a membership program, Lyft Pink, that offers discounts and benefits with their airline, hotel and credit card partnerships. The FreebirdRides model is to remain agnostic to the brand of rideshare our customers prefer, and to the locations and businesses they frequent. This gives our data platform a unique advantage in our ability to aggregate from all sources to build demographic and geographic insights which are significantly more detailed and valuable than data from just a single source. We have several additional applications in the rewards ecosystem that we will begin announcing early in the year.
- Q: Hi there! Promising company and I have a few questions before investing. 1. Do you have revenue and profitability projections for the next 5 years? If so, can you provide. 2. Some companies here give great updates others not so much. How often can we expect updates as wefunder investors. 3. What are your return strategies for investors. Do you anticipate paying dividends in 3 to 5 years? Do you plan to be acquired, go public, etc.? 4. Why can't uber and lyft just do this? Are you a potential acquisition target for them? Thank you!
  - A: Hi Thomas, thanks for the diligence questions. We haven’t released revenue and profitability projections yet, but will begin to discuss forward-looking data after we complete the capital campaign. A good cornerstone to consider for FreebirdRides is that our model is designed to make each new region profitable on a stand-alone basis in the thirteenth month after that regions launch. This allows us to efficiently recoup launch costs, and equally as important, allows our launch team to develop best practices that can be replicated in each new region. We have KPI’s in place that measure all of the critical internal data so we can constantly improve our process as we roll out. We intend to provide regular updates, both on a scheduled basis and as newsworthy events occur. Several of the previous companies I founded and managed were fortunate enough to have successful IPO’s, so I have become accustomed to providing the required quarterly 10Q and annual 10K reports to shareholders over the many years of running those public companies. We haven’t declared a dividend strategy yet as most of the early profits will be used to fuel accelerated growth, but as the business matures, it is certainly something for the management and the board to consider. Our primary focus this year is to build shareholder value, and certainly with an eye towards shareholder liquidity, be it M&amp;A or public markets. We strive to become an an attractive acquisition target and are building the business to appeal to several sectors. With respect to rideshare standalone strategies, we differentiate significantly from what rideshare companies offer and are capable of developing, as we are rideshare and customer agnostic and are able to aggregate data from all sources to build unique and significantly more valuable demographic and geographic data.
