## Story
The ProblemThe only reason anyone fails to learn a language is because they quit...... But learning a language doesn't have to be boring. The SolutionVideo games are one of the hardest things to quit on earth, so why not use one to learn a language?... And Fluyo doesn't just gamify endless practice, we're building a true game that's fun and exciting to play every time you log on!Fluyo is a language learning game. Our highlights:Highest funded app in Kickstarter history with over $1.2M in pre-salesCurrently in beta with around 4,000 testers giving great feedback every dayLaunched on January 1st to an audience of 1M+ - See our latest update for details!Aiming to reach $2.5M+ in ARR by July 2025Shipping premium AI tier early next yearInside Fluyo, You'll...... and most importantly, Learn!Fluyo delivers a unique learning loop. To back up that belief, we're sacrificing some short term revenue to keep as many users on the app as possible. And People Want It.Highest funded app on Kickstarter ever with over $1.2M in pre-sales150,000+ waitlistNearly 1M subscribers on Ikenna's language learning YouTube channel10M+ YouTube subscribers in affiliate partner language learning YouTube channels accessible through Ikenna's networkLet's talk about the owl in the room.Duolingo is our main competition.Despite Duolingo's excellent gamification and huge growth engine, the owl has pretty poor retention, weak monetization, and lackluster educational value. And that means we've got a plan. And we're already on our way! We're taking all the feedback, good and bad, and iterating every day.Improving retentionSquashing app-breaking bugsExtending courses by ~30xFeedback-driven improvementsElevating daily engagementImproving replay-abilityOptimizing pacingIncreasing gamificationOptimizing FeaturesImproving feature adoptionBoosting feature engagementElevating feature impactWe're launching small cohorts of new users through promotional beta-access giveaways to get fresh eyes and feedback along the way. What's the market?Fluyo targets 14-42 year old individuals in the online market who are interested in games. Pricing has been validated by our competitors and our Kickstarter pricing.About 50% of the market is made up of individual learners, and about 75% of the market fits our target age. Finally, about 67% of our age range plays mobile games.SOM: 14.75B x 50% x 75% x 67% ≈ $3.7BAnd the individual online market is expected to make up most of the overall growth for the next few years. Our Go-to-market Strategy targets $2.5M ARR.Launching in December to target end-of-year excitement and New Year's resolutionsForward-looking projections are not guaranteed. We've got the right people to make it happen. Our team is made up of former founders, polyglots, and language learners. And here's the plan for the future:Forward-looking projections are not guaranteed.Have questions? ## FAQ
1. **Hiii! Quick question, I'm new to all of this so apologies if these are questions one should already know. Okay so, is it 1 "share" per $100? And as a new investor, I am curious as to how we make profit? And lastly what does a $22,5M valuation cap mean?**
   - For shares: the early bird terms are set at a company valuation cap of $22.5M. That means that for your investment you'd reserve a portion of the business relative to the total value of the company. Since we're raising the money on a SAFE, there's a small chance you could end up with more than that. An exact number of shares is TBD. You can learn about SAFEs from Wefunder here: https://wefunder.com/faq/securities And if you're new to investing, it might be worth doing a little research into d...
2. **So, like the last question, (but asking for actual details this time) is it 1 share per $100, or a share valued at what you put in at the time, or is it determined later by the amount of investors/ amount of total money invested? I'm going to invest either way but it would use...**
   - It's a little tough to answer since we don't know exactly how much we'll end up raising. I tried a couple of ranges and it looks like something around $2 per share. The actual price of a share doesn't matter as much as the percent of total issued shares you would be buying and the total value of the company.
3. **Will the Igbo language be added in the future?**
   - We're planning to add community tools that allow passionate members of our community to add languages that don't have enough general interest for us to create internally. So whether we add Igbo or not, there's a strong chance it will make it onto Fluyo eventually!
4. **So, referencing your answer to Jason Eichler, for example, if the price per share was $2, then my $100 investment would give me 50 shares?**
   - Because of the way that SAFEs work, I can't really give you an exact number. Here's how the Wefunder team recommended explaining it: Like most early startups, Fluyo is selling a SAFE (Simple Agreement for Future Equity). Think of it like a promise — your investment will convert to shares in our first major equity funding round. When that happens, your SAFE will convert into shares at this valuation cap. Here's an example: say you invest $100 at $22.5M valuation cap. If the company raises at $...
5. **How do I know if I made it in the SAFEs investment time?**
   - All of the investments will be in SAFEs, but the early birds will have a lower valuation cap. I'll check with the Wefunder support team on how to verify your terms.

## Q&A
- Q: Can you explain a bit more about how you avoided overlapping channels in the projected ARR total? I would assume that the Total ARR projected would be lower due to the double-counting of individual users. For example, many Kickstarter users would already be subscribers to the various YouTube channels.
  - A: Sure! The channels will definitely overlap some, but we haven't accounted for any organic growth, referrals and virality, or our other marketing efforts that we'll be kicking off next week (social, organic and paid, app-store optimization, YouTube re-marketing, etc.)
- Q: Hi Zack! I run a newsletter that is hyper-focused on the crowdfunding industry and goes out to nearly 5,000 retail investors each week. I'm interested by your raise and would love to chat for a potential story on my blog (no cost, this is purely editorial content). Reach out to hellocrowdscale@gmail.com so that we can connect. You can learn about SAFEs from Wefunder here: https://wefunder.com/faq/securities And if you're new to investing, it might be worth doing a little research into dilution so that you understand how shares of the company work: https://help.wefunder.com/risks/304330-will-my-percentage-ownership-be-diluted
  - A: I checked in with Wefunder's awesome support team and here's how they suggested explaining it: Like most early startups, Fluyo is selling a SAFE (Simple Agreement for Future Equity). Think of it like a promise — your investment will convert to shares in our first major equity funding round. When that happens, your SAFE will convert into shares at this valuation cap. Here's an example: say you invest $100 at $22.5M valuation cap. If the company raises at $45M (example), you still convert as if it was worth $22.5M This means you get 2x more shares than new investors ($45M/$22.5M = 2) Therefore, your $100 investment would be worth $200 After that, you'll own shares, so your investment will increase as the company becomes more valuable.
- Q: Do you know how to get hold of Wedunder support? I invested on early bird terms, but my portfolio is showing the 25M valuation cap. I've emailed them miltiple times over the last week and called them to no avail. No one reponds or picks up... thanks :/
  - A: Hi Max! You can email me directly at zack@fluyoapp.com and I'll help you get it sorted out.
- Q: Hi, so in one of your answers you talked about the liquidity being low and possible only in the case that Fluyo gets sold or if it goes public. What would it look like/what would it mean for Fuyo to go public and when/if could that be expected?
  - A: This likely wouldn't be for several years. Here's some info from Investopedia to explain going public (so that I don't describe anything incorrectly): "Going public refers to a private company's initial public offering (IPO) and moving to a publicly traded and owned entity." Also from Investopedia: "Requirements...: The company has predictable and consistent revenue, and the business is mature enough to predict the next quarter and the following year's expected earnings. There is extra cash to fund the IPO process. There is growth potential in the business sector. The company should be a top player in the industry. A strong management team is in place. Audited financials are a requirement for public companies. Strong business processes are in place. The debt-to-equity ratio should be low. This ratio can be a factor in derailing a successful IPO. The company has a long-term business plan with financials spelled out for the following three to five years.""
- Q: Are there plans to add more languages? I’m particularly interested in Cantonese (Chinese), but I’d also love to know if there are any upcoming expansions to other languages.
  - A: We will dedicate the upcoming years to the 10 official languages that were announced at the first campaign launch. As for any other languages, they will be community-supported. We'll commence work on creator tools next year in order for volunteers to create content for such languages.
- Q: What are the differences between the early birds terms and the current ones ? Also how many shares in total do you have for the valuation cap ?
  - A: The early bird terms had a $22.5M valuation cap. Tough to answer the share number question since we're raising on a safe.
- Q: Additional questions, as someone who's very interested in investments: - What are the available languages on launch? I know English is launched later but I feel that should be the flagship if anything. - I think the design and attraction of the gamified learning great, but how do you plan to keep up with the demand for interesting and unique content to keep engagement and reduce churn? - Can all of the 2.5M GTM ARR target really be considered ARR since wouldn't kickstarter backers technically be one-off investments and non-recurring? - What affiliate channels is fluyo partnering with? - Dollar numbers are great reference points, but do yo have targets for subscriber numbers? - Given that Fluyo is a privately owned company, what is the plan to show transparency in the numbers MoM and QoQ so investors like myself can feel confident in the growth trajectory and in the leadership? - When, theoretically, are shares of Fluyo redeemable and tradable (assuming all goes well)? - Finally, just a tip, I don't know all of the AI features you have planned, but I think having an AI bot that can help the user find a consistent study routine given their schedule and to help navigate the app could be beneficial, obviously for the user, but also to ensure retention. It's like a gym creating a workout plan for their gymgoers so they know how to get the best results and stay motivated.
  - A: Thanks for the feedback at the end! For English: The hardest part about launching an English course (after creating it) is localizing it. For example, teaching English to Spanish speakers would require a ton of different marketing efforts. We decided that learning from English first would be the best place to start from a marketing perspective, especially since Ikenna's audience generally already speaks English. For ARR: We'll adding more and more game content over time to keep players engaged, along with better practice tools for advanced learners. We're expecting to be able to serve each learner for several years, even if they only learn one language on the app. Over time, we'll encourage users to learn additional languages as well. For Kickstarter backers: The KS backer number accounts for when each tier of backer would come onto the app. For affiliate channels: We don't have specific partnerships in place, but have direct access to content creators through Ikenna's network. If you'd like details on our working list of options, you can email me at zack@fluyoapp.com. Subscriber targets: Yes, the dollar figures were generated through subscriber counts. A rough estimate would be 35k paid subscribers. We don't know exactly what the breakdown between annual and monthly subscriptions will be, so it's hard to pinpoint exactly. Transparency: For some tiers we'll be doing live calls for updates on the business's performance, and I'll send out an update to investors after each of those calls with key information. Exits: The shares would have pretty low liquidity. It would likely be several years before you received a return, but there's no way to know for sure. A sale of the company or an IPO would be the two most likely events where your shares would be able to be fully sold. If you have any other questions, feel free to send me an email.
- Q: How soon do you guys think a web version of Fluyo will be up and running? No rush at all, just curious on the time estimate based on current day data. Hope this app thrives, love the concept and will for sure use it to continue learning French. PS: Hope I can eventually purchase a Fluyo dolphin plushy, my investor perk level won't grant me one, but once you make those available to the general public or at least a variant I will for sure order a bunch!
  - A: I'm not exactly sure on web. A few of our beta users have managed to get Fluyo to run on their computers, but a browser based version will take a lot of UI redesign. We would be thrilled to offer it though. We'll definitely make the plushies available again in the future. 🐬
- Q: I invested but it says you guys still need to fill out your Form C disclosures when will that be?
  - A: Should be soon!
- Q: Do you have the Igbo language on your app?
- Q: Hello! Is it still possible to invest? Kind regards, Felix
  - A: Unfortunately not. Thanks for your support regardless!
- Q: Hello Zack, I'm still on the fence about investing further into fluyo. (I'm currently a Lifetime Kickstarter Backer) and do not need more Premium access to Fluyo. Is there another (different) incentive to invest further into Fluyo than a Wefunder Dolphin skin? I'm reconsidering so late only because of Ikenna's recent video update. Thanks, Josh S.
  - A: Hi Josh! When you invest in Fluyo through Wefunder, you're investing in shares of Fluyo's company stock. The perks like premium access are just a bonus - if you believe in Fluyo's future, the Wefunder is a chance to invest while the business is still relatively small.
- Q: Hi, I'm interested in Fluyo for improving my German. I'm currently at B1 level but need some extra work to improve my grammar from A2 (I'm currently using Duolingo at German A2 and it feels about right wrt improving). How advanced does Fluyo go with the different language levels (and specifically with German)? And can I take a test or choose my starting level so I don't have to start at the very beginning?
  - A: We're adding a placement test during our next sprint (starting Mar. 24) and we're adding full courses past A1 in April.
- Q: Will it be possible to learn languages as a native French speaker, or will the basic language remain English?
  - A: We'll be adding languages to learn from other than English at some point, but it's quite a ways out on the roadmap.
