## Story
Dust is a uniquely positioned American electric dirt bike company. With a flagship bike that maximizes performance at the right price, an underserved market, a world-class team, 150 pre-order customers, and a cult following, Dust is poised to lead the next generation of dirt biking and dominate the emerging E-Moto landscape. This fundraise empowers our transition into mass production to capture the growing market opportunity. We are witnessing an explosive market where dirt bike sales are projected to double over the next 10 years from $9B to $18B per year* (from 1M to 2M units), and eMoto penetration 8x from 4% to 30% (from 50,000 units to 400,000 units per year). *Data gathered from Allied Market ResearchElectric technology has matured, delivering vastly improved performance and user experience at accessible prices. It lowers the barrier for new riders while giving experienced riders more time on the trail and less time in the garage.A new generation of powersports consumers is emerging, driven by the mass adoption of eBikes. More riders under 20 are learning to twist the throttle than ever before. The right product can bridge the gap, bringing these new riders into the core powersports experience. In recent years electric bike sales have accelerated compared to gas. This represents an emerging opportunity for disruptor brands to establish market share and ride the wave of growth while incumbents focus on legacy business. The mid-market presents a golden opportunity for Dust, as it remains largely untapped. Historically, this segment drives the highest sales volume across many industries, offering the ideal balance of performance and affordability. By bridging the gap between ultra high-end, race-focused bikes and entry-level e-Moto options, Dust becomes an attractive choice for a broad range of riders. By focusing on this space, we're not just selling bikes—we're building a community of passionate, engaged riders.Dust is the only US OEM in its category building bikes in America, in an industry dominated by US consumers. Coastal influence and lifestyle brand positioning elevates Dust beyond race results, connecting us with a massive audience. Our deep understanding of Moto culture and the variety of dirt bike use cases has led us to the design of a bike unlike any other. Weighing in at just over 200lbs, the Hightail is 15% lighter than a traditional 250cc, translating to a feeling of agility better than a 125, and it packs a punch. With 42 horsepower and 660Nm of torque, it delivers power comparable to a factory 250. The Hightail is uniquely sized, making it accessible for new riders compared to full sized bikes, but undeniably fun and flickable for the expert. The Hightail maneuvers in a telepathic-like way, and this is due to its wheelbase, kinematics, and center of gravity. Say goodbye to the constant upkeep that comes with traditional gas bikes. The Hightail, being fully electric, requires very little maintenance. No more air filter swaps, oil changes, top-end rebuilds. The quiet electric motor means you can ride in more places without disturbing the peace - whether it's a local park, your backyard, or trails closer to town. And with quick and easy battery swaps (less than a minute) you get all the time on the bike you could ever dream of. Dust has identified three core consumer groups who are consistently seeking high-performance gear designed for thrilling experiences. The powersports enthusiast who has finally been intrigued by the benefits of riding electric, and the unique riding traits associated. The Surron and other lower cost e-Moto owners who are actively seeking upgrades and full dirt bike capabilities. The new breed of throttle based riders, cross over athletes and the next generation who have grown up “throttle native’” with e-bikes and other micromobility products. Our unique Founders_50 and First_100 membership programs mean Dust has been revenue-positive from Day 1 and MRR covers our monthly burn.Dust has attracted 25,000+ followers on Instagram with zero paid advertising. Largely helped by Surron creating a new generation of throttle-capable riders looking to upgrade. We also have 1,500+ monthly Newsletter subscribers with a 70%+ open rate which is crazy high.We continue our organic marketing strategy with the addition of paid promos and field marketing activations, including demo tours and dealer pop-ups. We will continue to tap into the network created over the last year via athletes, early adopters, and investors to host launch events to allow riders to get on the bike and twist the throttle. What sets Dust apart is the unique combination of high quality ingredients, masterfully arranged for maximum rider benefit. But this doesn’t mean we have pulled the critical elements off the shelf. We are focusing our R&D innovation efforts on the critical components in the electric vehicle system stack: the powertrain and control systems. Our battery pack, motor-gearbox unit (MGU) and vehicle software are unique to Dust and being developed hand in hand with proven high performance industry partners. We are working towards patents for software and hardware-related innovation of powertrain and control system, and also a design patent of our Dust Hightail bike. Elsewhere, we have chosen to utilize proven moto industry solutions for chassis, suspension, brakes, wheels and other rider touch-points; reducing development risk, increasing reliability and allowing riders to service their bikes more easily. Dust has developed our operating strategy to maximize the benefits of US based final assembly and quality programs while benefiting from the cost savings of a global supply chain. Similar to the proven models employed by the mountain bike industry, this lowers the risk of quality issues sitting on cargo ships for months, or fluctuating tariffs impacting our ability to remain profitable. We have a deep network of proven suppliers from the moto industry ready to produce components and sub-assemblies. These would get sent to our established operation partners, Bloom in Detroit, who will handle Assembly, Test, Fulfillment and Service. We get that direct to consumer isn’t awesome for big complex products, but that the current powersports purchase experience in dealers isn't perfect. We are building a unique approach, where dealers are brought into the Dust way of doing things for a top notch customer experience. The higher margin DTC offsets higher electric COGS (Cost of Goods Sold), and margin requirements from dealers. We leverage our strong Brand, organic social reach and UGC to minimize paid advertising. The combined results are higher sustainable profit. Our DTC + Dealer hybrid approach gives customers the option for home delivery, or the traditional shop experience to test ride bikes as well as giving them a location where they can take the bike to get serviced. We will focus efforts on establishing US market share, then utilize expansion into global markets in a phased approach, leveraging top performing distributors as partners. Consumer sales set the stage for parallel growth paths with Military and Fleet (rentals + experience center) channels boosting total top line growth over time. Forward-looking projections are not guaranteed. Our pre-seed fundraise de-risks the key aspects of building a hardware business: product, manufacturing, brand and distribution. We will complete the design phase, established supply chain operations, building demand and establishing brand credibility through events and partnerships. We have chosen WeFunder to help build a portion of the round so that our passionate followers can have some real skin in the game as we grow. Forward-looking projections are not guaranteed.Betting on hyper growth and massive VC backed rounds is a risky proposition. We are intentionally shaping the business to reach profitability in our first full year of sales, giving us a default “alive” standing, optionality on strategic path, as well as being primed for merger and acquisition discussions. Built around a tight and highly capable core team, we leverage a deep roster of talented external resources to reduce fixed operating costs. We have been focused on building market share in 2-wheel recreation with our Hightail targeting the largest white space in Powersports. The Hightail acts as a beachhead with the option to expand into adjacent 2-wheel spaces to solidify our leadership in dirt, e.g. fleet variant for experience centers plus a solution for special forces. As the technology improves and market expands, entering into the full-size high performance segment makes sense to rival Stark and eventual incumbent entries. By developing the Dust brand credibility around 2-wheel performance, we can gain entry into the 4-wheel ATV/UTV market for continued expansion and establishment of a complete powersports portfolio of products. Our founding team is deeply experienced designing, developing and bringing transformative products to market. We are performance vehicle experts from time spent at Audi, MillenWorks and Specialized. We have helped build notable consumer product companies including Glowforge, Hydro Flask and Skullcandy. Our extended advisor team have the unique combination of passion for moto and significant success outside of the sport. We met at UBCO (HERE) building the world’s leading utility bike company. Delivering thousands of adventure bikes to market via a combined New Zealand and US HQ plus Taiwanese production.

## FAQ
1. **I would like more information about risk and reward for investing. Is there somewhere I can find out more about this ?**
 - James, we had a quick chat as a team and realized we may have missed the crux of your question. I figure I can help fill in, in case you were hoping for a bit more about the specifics of Dust, in addition to Wefunder itself as a platform! Let me start by covering off the risks: Overall, the primary operating risk for a business like Dust is the working capital component. As a fairly complex hardware product, operating in a space that requires the production of inventory that can have longer l...
2. **What is going to convince consumers to go with your brand instead of established competitors that already hold a significant market share (EG, Stark, Honda)?**
 - Hi Walker, great question. The first thing that will help consumers to select us is simply the fact that we are offering a product experience that they are not. A product that blends powertrain performance with more accessible sizing, lighter weight and more agile feeling. Currently, we are the only brand positioning our bike in the category of high performance, yet approachable experience for the largest segment of riders. The second key component is brand and storytelling. Developing a cred...
3. **What is the price point you are targetting to compete with the significant amount of imports?**
 - Hi Gus, thank you for the question! We are targeting our Launch price to be $10,950. Our intent is to hit the middle ground between the lower priced (and lower performance/quality) product from overseas and the upper end of the performance spectrum, where the costs can be $13k-$14k+. We acknowledge that pricing can be dynamic, with temporary discounts, but we believe this strikes the best balance of allowing the business to select premium equipment and higher performance/reliability parts, wh...
4. **Can you share your thoughts on how often you will update us on how things are progressing with your goals and business plan? Secondly, do you intend to file the annual report with the SEC? Thanks for your feedback.**
 - Hi Karolina, thank you for the question! Yes, we intend on filing the SEC annual report and posting on our website. Typically, we have provided updates to investors at least Quarterly, and intend to continue that practice. Overall, we take quite the transparent approach with sharing our journey, and the state of the business. We would do no less for backers on Wefunder!
5. **Could you share more about how the funds will be used to scale the business? Eager to see where this journey takes you!**
 - Hi Hamza, this phase of the business we are focusing on locking in all the details to go live with production and delivery next year. We will be hiring critical staff for engineering and manufacturing so that we we will complete design commercialization, and we will also be focusing on completing our first year's order book with marketing, dealer and event efforts. We expect significant growth in the value of the business with a proven design, stacked order book, supply plan, and key staff in...

## Q&A
- Q: Do you have any thoughts on plans to engage with tracks or race organizations to make sure buyers of these bikes could race them at the armature level if they desired? It seems the AMA, and even the local organizations like Thursday Night Motocross at PIR and some of the local tracks (pat's acres in Canby) don't allow electric motorcycles or don't let them race even against equivalent gas bikes. I know this bike isn't designed to compete with a 450 but I believe many armatures would love to race or ride one at a motocross track and I'm guessing they might be in the 125 or 85 cc ballpark. Would love your thoughts here, thanks!
 - A: Hi Barrett, this is a great question! We really do believe that racing is one of the critical aspects to the health and vitality of the sport. From the beginning, we have been targeting participation in a variety of racing formats, from Hare Scrambles, to Sprint Enduros, GPs and MX/AX. While AMA does not formally recognize our types of bikes in sanctioned classes, we are starting to see more and more electric only classes and events popping up, including at national AX events, enduros etc. We think one really interesting possibility is to create classes in the gap between super mini and 250cc for younger amateurs, as well as Vet amateur classes for those looking for a less aggressive race class. We believe the popularity of the Stark Varg, Surron Ultra Bee and other similar bikes will continue to create a situation where the event organizers and governing bodies will have to pay attention and create the right framework for electric so that the sport at large can maintain its health. We are committed to working with all folks within the ecosystem so that our customers can find a way to get their bikes into competition now and in the future!
- Q: What is going to convince consumers to go with your brand instead of established competitors that already hold a significant market share (EG, Stark, Honda)?
 - A: Hi Walker, great question. Developing a credible brand that speaks to people beyond the hardest core riders. We are working to develop a brand that resonates beyond racing, and connects with a larger audience that are into action sports in general. We believe there currently is no brand that reaches the eMoto, core moto, and action sports audiences equally and this is a key point of differentiation for us. The opportunity is there to help be the culturally iconic moto brand that lives outside of the powersports industry. We believe that being able to support an American brand means something for many people. While a select few companies have critical market share in the context of internal combustion (all overseas brands), the electric market is still generally wide open for a domestic brand who is electric-native to come in and scoop up market share at the point of rapid expansion. Simply put, many of the new customers helping grow the powersports market will not have brand loyalty to any of the existing incumbent brands.
- Q: I would like more information about risk and reward for investing. Is there somewhere I can find out more about this ?
 - A: James, we had a quick chat as a team and realized we may have missed the crux of your question. I figure I can help fill in, in case you were hoping for a bit more about the specifics of Dust, in addition to Wefunder itself as a platform! Let me start by covering off the risks: Overall, the primary operating risk for a business like Dust is the working capital component. As a fairly complex hardware product, operating in a space that requires the production of inventory that can have longer lead times, Dust must carry a healthy cash balance capable of handling the dynamic inventory space, or leverage various forms of working capital lines of credit (inventory financing, etc). Ultimately, this will require the team to be proactive in securing the necessary funding to continue to grow and build value for shareholders until we reach the point of profitable operation. We are working to mitigate by balancing a progressive fundraise strategy through startup phase, as well as building relationships with partners that can help supply working capital credit for steady operation. Additional risks specific to our space include managing a global supply chain to maximize quality, reduce cost and limit extended lead times. The good news in this area is that coming out of the covid challenges, the supply chains have largely recovered, and counter-intuitively, the last couple years of EV growth+pull back has resulted in various suppliers actively courting companies like Dust to allocate capacity that was lost as the big OEMs decide to slow their investment in building EVs. Finally, the most technically focused risk is associated with product liability. Various risks in this domain include injury risk while riding, or safe operation and storage of a high capacity batteries. The Dust team has significant experience directly in the design and operation of mobility businesses, and do not take this responsibility lightly. We are doing everything in our power through development to design and validate our product to the highest standards for the industry. Now, for the fun part, the potential reward! Investing in startups can be inherently risky (as noted in the Wefunder docs, and my info above), but what is exciting is the potential upside. As we are so early in the process, the valuation growth of the business has significant upside from here. It is not unheard of for businesses in our sectors to achieve valuations in the 9 figures ($100M+) after several years of business. As we believe we are capturing the market at a key inflection point, and well positioned to carve out significant market share, we are working to stack the odds in our favor. Finally, as you have likely seen, we are working to create a community with our actions, and one of the intangibles of investing is being a part of something that we believe can be a meaningful part of powersports history. Thanks!
 - A: Hi James. WeFunder itself is a good source. Please see 'Why should I invest in startups?' section located here https://help.wefunder.com/#/investor/getting-started-for-investors
- Q: Is this currently the only way to invest in DustMoto (Accredited or Not) ? Hoping to invest soon before the round is over.
 - A: Hi Garvin! Our campaign is still open for investment here on Wefunder, and we would love to have you!
- Q: How long will this wefunder be open for or will it close when you hit a certain amount? Excited for DustMoto in 2025.
 - A: Hi Garvin. Good question and thanks for asking. We'll keep this Wefunder open until January. We'll confirm the exact date in early January. Wishing you a great holiday season!
- Q: Could you share more about how the funds will be used to scale the business? Eager to see where this journey takes you!
 - A: Hi Hamza, this phase of the business we are focusing on locking in all the details to go live with production and delivery next year. We expect significant growth in the value of the business with a proven design, stacked order book, supply plan, and key staff in place.
- Q: Can you share your thoughts on how often you will update us on how things are progressing with your goals and business plan? Secondly, do you intend to file the annual report with the SEC? Thanks for your feedback.
 - A: Hi Karolina, thank you for the question! Yes, we intend on filing the SEC annual report and posting on our website. Typically, we have provided updates to investors at least Quarterly, and intend to continue that practice. Overall, we take quite the transparent approach with sharing our journey, and the state of the business. We would do no less for backers on Wefunder!
- Q: What is the price point you are targetting to compete with the significant amount of imports?
 - A: Hi Gus, thank you for the question! We are targeting our Launch price to be $10,950. Our intent is to hit the middle ground between the lower priced (and lower performance/quality) product from overseas and the upper end of the performance spectrum, where the costs can be $13k-$14k+. We acknowledge that pricing can be dynamic, with temporary discounts, but we believe this strikes the best balance of allowing the business to select premium equipment and higher performance/reliability parts, while also making margin. It is less than many people put into upgrading those lower cost bikes, similar to a high-end eMTB, and not majorly out of line with gas bike pricing. Strength of brand, customer support and experience will be key to hit this middle-market premium positioning!
- Q: how do i actually invest?
 - A: Hi Steven, currently we do not have an offering open. However, we may consider another raise here in the future!
- Q: How does Dust stack up against Flux Motorcycles' new electric offering (ex-Alta Motors & CAKE founders, https://fluxmoto.co/) ?
 - A: Hi Romain, great question, and we are quite familiar with the Flux moto crew. Flux's primary focus is building a powertrain that can compete at the 450 class of bikes, including a substantial battery pack to meet the range demands of very high power (80HP+). This creates a bike package that is substantially heavier and larger, as well as more expensive. Our focus is on delivering the best possible performance that is reasonably useful, while making it the most fun and agile experience out there. Our intent is to target a much larger potential audience, where Fun is the focus rather than racing, extending reach beyond the core moto audience into crossover audience from smaller eMoto and MTB. I believe Flux has a spot in the market up there along with Stark, but at this moment, we are targeting different sectors.
- Q: Just saw the news of the acquisition of Dust by LiveWire. What does that mean for our SAFE investment ? Will our shares be converted to LVWR stock, or is LiveWire buying out all WeFunder investors ?
 - A: Hi Romain! We will be sending an update out to all holders shortly. This is a great outcome but lots to cover in the proper channels!
