## Story
Arrive AI completes the last mile with our smart, secured receptacle technology. All of the value gained through the fast, green, convenient and cost effective strategy of delivery by drone or unmanned vehicle can evaporate when your package is compromised. Weather, animals, thieves and more can beat you to your item unless it’s safely deposited for you in your smart receptacle!Origin StoryBack in 2014, the idea of drone delivery was just being thought about. As Dan O'Toole, the founder of Arrive AI (formerly Dronedek), was returning home from an out of town meeting, his path took him down a rural 2-lane road. As he maneuvered his car down the endless paved road, he looked to his right to notice a drone flying beside him. As he watched the drone with fascination, he began to wonder how a drone could securely and accurately deliver packages to your home.First Patent Issued!Dan O'Toole had an idea. What separates an idea from reality is execution. Dan's belief is that when one person has an idea, ten people have the same idea. Upon returning home from his business trip, he worked daily for hours on end to add every feature and benefit that could possibly be added to the Arrive AI Vision. Within a week, he filed for a United States Utility Patent. Now the waiting game had begun. Patent Issued! Arrive AI's licensing agreement includes the original 2017 patents awarded to Dan O'Toole. As a result Arrive AI's license is for smart, safe and secured drone delivery and includes the first utility patent for secured drone delivery. As it would turn out, O'Toole's patents and Arrive AI licensing agreement had beaten Amazon by just nine days, the US Postal Service by some two weeks and others by just 22 days. Since, the Arrive AI licensing agreement has expanded by O'Toole's second granted patent in October of 2019 with additional patents currently up for examination with the USPTO.Dronedek: Licensing For The First-Position Patented Solution For The Future of Drone DeliveryEach day there are 100 million items purchased on the internet. 91% or 91 million of those items are 5 pounds or less, making them "drone deliverable". Parcel delivery is easily the single fastest growing facet of the logistics industry. Every day in the US, there are 1.7 million delivered packages stolen. As autonomous delivery becomes a "thing" there is a need right now for the convenience of smart, secure delivery, whether conventional or otherwise. Enter Arrive AI (formerly Dronedek). Using drone delivery can reduce overall delivery costs on applicable packages, with potential savings within the shipping economy of $1 Billion every 11 days. In addition to this, greenhouse gases and traffic congestion can be heavily reduced. FeaturesArrive AI has the capacity to both ship and receive your items. The subscription based revenue model for residential and commercial business accounts includes the entire US market. The current market forecast is based on an ultra conservative 1% market penetration. Our conservative revenue model does not currently include platform access fee revenue nor does it include our big data revenue stream.Strong Patent PortfolioAll-in, Arrive AI licensing agreement includes a combined 112 claims through its patent filings and licensing agreement. We believe Arrive AI has the most comprehensive and robust patent portfolio in the drone delivery receptacle space. ## FAQ
1. **Good day. It looks like Deuce Drone is doing something very similar and might end up being a competitor. How do you plan on combating this?**
 - Thank you Emmanuel for your question/concern. We are familiar with Deuce Drone and can state that they are a drone service company. Deuce Drone will be responsible for more of the drone flight segment of the market whereas DRONEDEK will be the safe, secure, smart receptacle or mailbox. DRONEDEK is a platform agnostic ecosystem that will know no competition. The way we accentuate the user experience is by being welcoming to all shippers and deliverers. We would fully expect to allow our users ...
2. **At what valuation were your Reg. D raises in Sept. & Oct. this year? And how did you get to 123M pre-money valuation for this round?**
 - Hello Barnaby and thank you for your thoughtful question. Our previous raises were at $58 million, $91 million, $98 million and most recently at $123 million; the same as the Wefunder campaign. Prior to any raises, the company has been funded exclusively by me (Dan O'Toole) since 2014. The reason I waited so long to take any investment was to make sure that we had enough fuel in the tank to get to the end of the development rainbow. As a pre-revenue startup the capital of development is our e...
3. **I was curious about how your delivery system works in the yard of a consumer. Do you have a photo of one or a video of it in action?**
 - Hey Frank, thank you for your consideration of investing in the DRONEDEK Platform. We believe that DRONEDEK is the new utility. Please check out this link to see the platform depicted in a "front yard" environment at https://youtu.be/ddqN6vxNRrw Thanks again! We are enthusiastically excited about how we're changing delivery. 4. **Dan I like the product. I have few questions 1.If you raised $58 m/$91m/$98m & $123m, why you need to come for crowdfunding? Bcos few hundred thousands to even $1m is a small drop compare to how much you invested yourself? I didnot get it. 2.Who is your competition? 3.Is t...**
 - Hello Prasad, and thank you for your questions. 1. The previous capital raise rounds were eluding to the money that was raised and at those specific valuations. We have not raised millions of dollars to this point. From 2014 up to around a month and a half ago, I (Dan O'Toole) had been the sole investor in the company. Our first outside investor has just invested additional funds in the Wefunder campaign at the current valuation. Additionally, I have had family members also invest in this lat...

 - Hello Elijah! DRONEDEK is the safe, secure, smart mailbox. It is feature rich and will deliver conveniences and enhancements that you won't believe. When anyone orders an item, be it from Amazon, UPS, Walmart, CVS or others, each item will be deliverable to a DRONEDEK. The reality is that there will be hundreds of thousands, if not more, drones flying around. That is great for us (DRONEDEK) because all of those drones will have the choice of dropping your item on your porch, on your front yar...

## Q&A
- Q: I am a little bit confuse of what your company has as of today and what investors are investing in ? To my understanding your company only own a patent without the actual product ? No revenue , yet it is valued at $127 million. Can you please explain your Valuation ? Because it is one of the richest valuation in wefunder as of today. Also your patent with 108 claim is not telling what would mean to investor both Walmart and amaze among others have bunch of patents in the space as well
 - A: Hey Mohammed, Great series of questions, and thank you. We have always dealt with questions on our valuation head-on, and make no excuse about it. The number is based on a multi-faceted financial model that takes into account the DRONEDEK Intellectual Property(2 issued US Utility patents and 2 more in examination), the total addressable market of 160M addresses(TAM), terminal value, market opportunity, multi-sided revenue model, and the players that will be engaging with us. The DRONEDEK Investment is a speculative one and there is no guarantee as to any outcome. All of our projections and assumptions are forward-looking and past history is no guarantee of future results. The valuation is further based on internal benchmarks that the management team set, based on their years of experience with various companies, as parameters to create intrinsic value. Some of these factors include market traction with major players, market acceptance with client demographics, issued patents, prototype evolution, additional patents filed, favorable market view of the drone delivery space in general, testing regimes set, municipality interest, and validation of our valuation by accredited investors and venture capital groups. The third-party validation is based on investment by both, venture capital and accredited investors. DRONEDEK is committed to the long run. It would have been easy to take the "short" money and sell a portion or all of the company early on. We didn't. We self-funded for 6 years until the timing was right to open up the DRONEDEK opportunity to like-minded investors. Accepting the early, "short" money, might have been a disservice to our investors and to the company. Our core belief is that our intellectual property and leadership team with their experience is our equity to obtain the capital for development and execution. For that reason, it was important to build on our value, to the point that we achieved a level commensurate with the scope of what we have, in order that we can successfully convert equity to capital, in an amount that will allow the company to fulfill its capital needs of our development, and still hold a healthy balance sheet, as well as equity for our robust development moving forward. We have so much to do and so much to offer but as you know progress of those great ideas is fueled with the right capital to implement those ideas. The DRONEDEK Intellectual Property is can be viewed at https://www.dronedek.com/patents/ where you can see the strengths of the intellectual property (IP) explained in detail. We are excited about where we are today and what the future holds for DRONEDEK. In addition to the 2 issued utility patents, we have 2 additional patent applications submitted with the USPTO now and several more under development. By definition, a US Utility patent provides security and exclusivity for the disclosed protected item in its space for a period of time. To that point, we were granted the very first patent in the drone delivery, smart mailbox space. All of our IP centers around our smart mailbox technology. We are not the drone, which is where the bulk of activity seems to be with Walmart and Amazon. Thank you so much for asking your questions. I hope that we gave you the answers you were seeking. Please let me know if you have any further questions or comments. Thank you. Dan
- Q: Hello Dan O'Toole. If you want to make this a product economically possible, you might want to review you key features: The cooler and warmer is too expensive, the uv light, bombscreener and disinfection, you should do at the package distribution center instead(rather pay for the same process one time, than a thousand). If you want to make this a reality, you need to make it economically possible to all households. Don't see this as a step back, see this as a version 2 - better and more marketable:) Regards David Fischer Ramsmussen
 - A: Hey David, absolutely! We have a product roadmap similar to the model iterations of the iPhone generational rollouts. All features and benefits will not be present in our first generation products. Additionally, many features will not be standard, but may be added. Lastly, the user can only get DRONEDEK through our subscription service, not through purchase. This makes affordability of our platform achievable while ensuring the market saturation that is required for autonomous delivery to actually happen. We have a robust, comprehensive financial model that delivers strong returns with just 1% of the TAM. Hope you will consider being a part of our journey! Thanks David. Dan
- Q: I'm trying to understand the valuation. When in essence Mr. O'Toole own all the assets because he own the patent. Dronedek is paying for the right to use this patent. So how did we come with a 123M evaluation.
 - A: Hey Linda, the patent rights have been exclusively granted to DRONEDEK. They include the first position, prior art in the smart mailbox space of drone delivery. DRONEDEK is developing its production units around this foundational IP and is set to announce multiple testing programs in the near future with both municipalities and corporations . Our valuation is based on a road map of internal benchmarks and milestones achieved, thus creating intrinsic value. The valuation is based on the issued utility patents, the market opportunity, the development we have attained, traction in the marketplace, leadership team and execution. We understand that our valuation is significant, however, so is the opportunity. If a companies equity is the capital of their development and the opportunity is so great that the capital needed to realize the end goal is significant than, inherently so must be the valuation. The greatest disservice that could have been done would have been to take the early money and in doing so, undervaluing the company, which would have lead to under capitalization and you know how that story ends. DRONEDEK is a significant opportunity. We acknowledge our high valuation. For every rule, there’s an exception. Our valuation has been validated by accredited investors, venture capital as well as retail investment. You are able to see their investment on our cap table, which documents their investment, located in our campaign at Wefunder.com/dronedek Linda, thank you for your consideration in DRONEDEK. We would love to have you with us on our journey. Dan
- Q: I invested $200 for 100 shares. If something were to happen to me, could my shares be transferred to my son?
 - A: Hey Donna, I hope nothing happens to you. In that event, your shares would be treated like the rest of your assets, and follow your directions for asset allocation in the event of your death. Thank you for investing! We hope you're here to continue to see great things happen! Dan
- Q: Imagine this... Advertising on all four sides of the mailbox, text upon arrival of package, mailbox placed on top of skyscrapers, acquisition by USPS to save on vehicle deliveries for far away ranches and defeating delivery delays. The question is... What is the expense vs expected profit for installed mailboxes? Do sizes of mailboxes vary like those required by multi-complex buildings?
 - A: Hey Alejandro! We have! All great thoughts and you're right. We are working on all of these items and more right now. DRONEDEK units can not be purchased, but only gotten through our subscription model; $10 a month or thereabouts. We do have multiple-size units envisioned for high-density, urban areas, multi-family complexes as well as commercial, industrial and institutional accounts. Thank you. Dan
- Q: Hello Mr. O'Toole, just curious I thought the maximum raise was a million seventy I am aware of the new legislation of REG CF going to 5 mill. is our campaign extended to 5 mill.? I noticed that we have gone past that amount, will all of that amount be accepted? When exactly, does this round close?
 - A: Hey La Monte, thanks for asking. Currently, the max raise is $1,070,000. We are technically sold out at this time. In every case, investors are given the chance to back out, prior to their funding being tendered to the raising company or in this case DRONEDEK. Since some investors may choose to have their money returned, it is customary to over-raise by a company to account for some lost investment. Your second point is an interesting one. The government is poised to raise the ceiling allowed to be raised through crowdfunding from the current $1,070,000 to $5,000,000. As you know, as one of our investors, we have an ongoing signicant capital need to continue our development and to build out the marketplace. (You can see here Wefunder.com/dronedek) In the event the new raise amount is green-lighted, it will be our intention to continue to raise and go for the max. We are hoping this will be the case as we want to continue to build our like-minded, Wefunder investment community. Thanks for being in our community La Monte! Dan
- Q: Hi Dan, I know you're focused on the less than 5 pound product market for drone delivery in the near future. As drone technology and the larger autonomous vehicle market evolves along with the need for secure deliveries, do you see DRONEDEK as a player for the larger items? Additionally, what technological risk do you see on the horizon? How is DRONEDEK powered? It seems like it would require constant power in order for the receptacle to open when a drone is about to make a delivery, when the ultimate receiver goes to retrieve their package and to stay closed in between those times. How will natural disasters affect shipping times/the ability of the DRONEDEK to operate? With the winter storm occurring across the midwest right now, would DRONEDEK be able to partner with NGO's and governmental organizations to help provide relief when cars cannot reach affected areas? Sorry if this is a lot of questions, I'm already invested and am excited about this prospect that could financially transform my life. Thanks in advance!
 - A: Hey Spenser, thanks so much for your questions and for your investment! I would like to start out by saying that the 5 lb item represents 91% of all products purchased daily. UPS just sold its trucking division to further focus on its core business of small package delivery. While, we agree, that as the market and the technology evolve, the capacities will most certainly increase. DRONEDEK will be able to accept deliveries from aerial drones, robotic delivery, unmanned vehicle as well as conventional delivery. 80% of the market is residential and 20% commercial. Typically, residential deliveries are smaller in nature. On the commercial side, DRONEDEK is envisioning 3 sizes of receptacles to accommodate the larger deliveries that I believe you are referring to. We are developing, ideating, and iterating around the subject matter right now and have not encountered any technical challenges that we won't be able to overcome. DRONEDEK is powered in most cases by hearty and robust 110 power. In certain and appropriate cases, solar power may be employed. DRONEDEK will be installed in a deliberate and well-engineered manner and will be built to a military specification with the protection of a weather station. We are not the drone and we will stand ready for any form of delivery that is capable, at the moment, of making it to our platform-agnostic, welcoming arms. DRONEDEK will provide so many conveniences to its users that it will be surprising. We will be able to solve many issues while delivering, efficiency, cost-reduction, and speed. Not to mention that we will be a green-friendly solution. Thank you. Dan
- Q: I know its a subscription model for $10 a month but what happens when someone moves? Does the mailbox go with them? Does it get recycled or re purposed?
 - A: Thanks Michael. The DRONEDEK, once installed will most likely stay, the same way a Directv satellite dish may remain. Often times situational circumstances may determine what happens on a case by case basis. Dan
- Q: I like the concept. Just a few questions: 1. Has FAA approved drone package delivery? 2. Will US post office allow the Dronedek platform to replace mailboxes? 3. Will there be any issues with Home Owners Association Restrictive Covenants or zoning issues with local governments? 4. Will the dronedeck allow for cheaper shipping costs for both the shipper and the consumer? Will it be quicker shipping than exists now with Amazon? 5. When is deadline to invest?
 - A: Hey John, thank you for your interest in DRONEDEK! 1-Please refer to our updates section of our raise to see quite recent FAA developments with reference to allowing drone delivery to happen. It's getting very close and that is exciting. 2- DRONEDEK has USPS compatibility designed into our platform. We have built a unique USPS area in compliance with USPS Specifications. 3-HOA's are their own entity and we believe that each group will be work with us to allow DRONEDEK to be a viable solution. Our market research shows that the highest percentage segment of the drone delivery market will be situated in HOA Subdivisions. As such, we believe that those residents will dictate their own rules and ultimately allow for drone delivery to a DRONEDEK. 4-Currently, there are 100 million items purchased online every day. 91% of those items are 5lbs or less, making them drone deliverable. Currently, when those items are delivered conventionally, the average cost is about $2. When those same items are delivered by a drone to a DRONEDEK, the cost falls to around $1. This savings will result in a $1 billion savings to the shipping economy every 11 days. This is a rare situation where the logistics company can drop their to the customer and at the same time enjoy a higher margin. That's a true win-win. 5-The current raise is set to close on April 30, 2021. Thank you for your interest in DRONEDEK. Dan
- Q: guys can you update your videos? seems like a "as seen on TV" quality. this Tech is huge and deserve some Pro level...dont get me wrong, I am a believer in dronedek.
 - A: Hey Alexi, point well taken and appreciated. We are working on so many fronts right now and we are working so hard to do each item great. We are also a pre-revenue startup and are and always will be great fiduciaries of our resources. We will be taking delivery very soon of our next generation working models and through their deployment will be creating great new media assets, including video. Alexi, the best thing we have that we are all excited about is our "first in the space" issued utility patent. Showing the real deal, as we will be very soon, is something that we are heavily focused on right now. I hope that you share where we are coming from and hope that you will consider being with us as we do some amazing things. Thank you so much for stepping up with your opinion on what we need to do. It is highly valued and will be addressed! Thanks! Dan
- Q: When we invest do we get a share in the IPO of the company...Do I own a stock in the company
 - A: Hello Khalid. Thank you for your interest in DRONEDEK. When you invest in DRONEDEK, you are purchasing equity shares in the company. As such, your shares will be represented on a pro-rata basis in any sale, merger, purchase, acquisition, IPO or SPAC transaction. Thank you for looking into DRONEDEK! Dan
- Q: Dan I see that $943k has been raised from 1,208 investors so far at the valuation of $123M. What is the offering max on this? What is the benefit for these investors if you decided to increase the offering max and extend the campaign for several more months? What is the benefit for these investors if you raise money again later on this or other platforms (I hope that time the valuation will be more)? Can you give some more details around this?
 - A: Hello Prasad and thank you for your questions. We are so proud that DRONEDEK is resonating with the investor community. Every day our vision is validated in such a large way that it is humbling. Currently, the Reg CF offering maximum is $1,070,000. As you can see, we are nearing the max. There is talk that the ceiling will be lifted to $5,000,000. DRONEDEK has a need for substantial capital, as you can view in our offering documents at wefunder.com/dronedek Should the opportunity avail itself for us to be able to raise up to $5M, we will do so. Since we are under an SEC sanctioned Reg CF capital raise, it is not appropriate for me to discuss pricing or share trajectory. If you are following our campaign, you know that DRONEDEK and I have a strong sense of loyalty to our investors and shareholders and will continue to do everything we can to keep the company moving in the right direction and to continue to build value. Thank you so much and I hope to see you on our journey! Dan
- Q: Does this campaign have a maximum goal that will end this round early ( 1, 2 million raised etc) or will this go on until the end date in April no matter how much is raised? Is this dronedek's first round of crowdfunding aka "the seed round"? Thanks for answering 😀
 - A: Hey Michael, currently, the round is set to end on April 30. The max raise is $1,070,000. This is our first crowdfunding raise. I have been working on DRONEDEK for 6 years and have only taken in our first money in the last 5 months. Thank you for your interest in us. Dan
- Q: The intent with the raised funds is not clear; Don owns the (2) first patents and the other 100 is owned by Don or the Company? Next, the scope of use of funds for the company it states is for research and development; so will the company own all the new research and patents or will Don still own all patents and the company is left with only the rights for leasing? What costs is the "company" paying for the patents leases? I like the idea and actually have a very similar idea which could become a likely patented and excellent source of income. I don't have the money to secure the expensive patents. I would like to know better what I would be investing with the "company" to do and with what the "company" will own with these raised funds? Thanks, John
 - A: Hey John, the patents have been exclusively licensed to DRONEDEK. Any disposal or licensing of the patents will be at the discretion of DRONEDEK. We have included an extensive model in the campaign that details all of the financials and use of funds. We currently have 25 engineers working daily iterating on our new technology. The new patents will be owned and licensed in the same format. I am the majority shareholder in DRONEDEK, so I have a substantial interest in seeing that it is massively successful. Thanks for your questions. Hope to see you involved. Dan. Good luck on your idea. Make it happen!
- Q: How do I invest
 - A: Dan Hey Daniel, thanks for your interest in investing. Please go to this link Wefunder.com/dronedek There you will find all of our information. $100 minimum investment and the shares are $2 each. You are buying real equity shares in DRONEDEK. Your share will be represented pro-Rata in any sale, merger, acquisition IPO or SPAC transaction. Thanks again.
