We are not setting a valuation, just putting in a cap on the SAFE note of $33.66M for the first $500K of investment ("early bird" investors) and $40.4M for investment after the first $500K. Here is an example assuming you were part of the first $500K invested with the "early bird" $33.66M valuation cap: a year from now Nectar raises a priced round at a $50m valuation, the SAFE-noteholders would still get their shares at the $33.66M valuation, so you are protected if we continue to grow like we have been. There is also a Discount Rate of 80% for the SAFE note. This means that if we raise in the future at a lower valuation than $33.66M... let's say $28M, you would convert at 80% of that valuation which would be $22.4M ($28M x 0.8 = $22.4M). We believe this is what makes a SAFE note a great way for us to raise funds to scale quickly, while offering protections to investors to do our best to give them a nice return. - Q: Congratulations on the crowdfunding! I have been following Nectar for awhile and have been very impressed with the team's product and marketing. I have 2 questions prior to making my investment decision. 1. It seems like one of the most positive influential drivers of the business is the social media presence, with Tik Tok currently having the most following. If ByteDance does indeed shutdown Tik Tok in the United States due to the recently passed legislation, how does the company expect to mitigate this loss of clearly effective channel of communication? 2. Nectar's Asian flavors are an obvious standout to what is currently on the market, but naturally take on the challenge on introducing these "exotic" flavors to the average American who may have never tried Yuzu, for example, let alone ever heard of the fruit before. The launch in states where there is a young Asian/Asian American population was a smart move, but how does the company plan to approach the rest of the country? Alternatively, any high-level demographic data you can provide about your current customer based would be appreciated.
  - A: Hey there! These are great questions! We believe the demand for TikTok-style content (short form video) is here to stay. If TikTok the app where to go away then we anticipate users would migrate to one of the other platforms we’re already building on (such as Instagram). Asian flavors are one of the fastest growing trends across Consumer Packaged Goods (CPG). Remember the National Sriracha Shortage in 2022 for example. Fortunately, we’re not alone in bringing the familiarity of Asian flavors into all homes in America. The entire food and beverage industry is investing in changing the American grocery store shelf across the country and we’re riding that wave :) We’re proud to have a diverse consumer base with the 2 largest demographics being: Asian (35%) and Hispanic and Latino (28%) followed by White (22%). - Q: Congratulations on launching the crowd fund! My question is less about the in's and outs of this crowdfund, and more about the future plans of Nectar. I know your marketing plan will continue to lean heavily on your social media platforms. Your retail markets seem to grow and dominate with support from your community with parties, launch events, etc. For me, Nectar is almost indistinguishable from its ties to UTI, making UTI fans an integral part of your community. How much growth and success do you see as a direct result of live events held by the hosts of UTI? Is there an exit strategy or a transition to sponsor other pods with your target demographic to lessen the reliance on your direct presence?
  - A: Not sure if I am fully understanding your question but let me know if this answer suffices: 1. UTI is one tool Nectar uses to push the product BUT its actually not the strongest driver for the drink. It is a good tool for market launches and awareness but Nectar's own socials actually provide a stronger ROI. 2. The live events are a great tool to pump up retailers to give us better placements but its all the work we do behind it afterwards that keeps sales growing at each store location. Again, its 1 tool in a larger tool box 3. eventually we will get into paid media, etc but organic content &gt;&gt;&gt;&gt; It's cheaper and more effective and we don't live and die by heavy ad spends. 4. There is actually a LOT more Nectar customers that have no idea what UTI is than you think. Nectar is not dependent on UTI for it's success. To reiterate, UTI is a great tool but there are is lot more we do behind the scenes (tastings, trade marketing campaigns, distributor incentives, innovation, nectar original content, etc...the list goes on) that creates more sales for the Nectar brand

While using a copacker has limited our gross margin at smaller scale, it has also given us access to a state of the art production facility and world class team. We're quickly getting to scale where now we have a clear path to expand our gross margin to over 40% by end of 2025 on our hero skus (with some of our single serve skus having as a gross margin &gt;55%). The margin improvements are primarily driven by economies of scale with our raw materials and packaging. In the near term, while our focus is on expanding distribution, we do not anticipate taking production in house but longterm it is a consideration
