# Como Audio

Smart Speakers! Listen to music the way the artist intended.

## Elevator pitch
Como Audio designs, manufactures, and sells smart speakers. All our speakers prioritize high-quality sound, beautiful design, and multi-room capabilities. Como is my 3rd company in this industry: I spent the last 40 years pushing boundaries in consumer audio electronics as CEO, Founder, and Designer at Tivoli Audio (acq. 2015) and Cambridge SoundWorks (acq. 2000). When I sold Tivoli, we did over $40M in annual sales. We've sold almost $10M since we started shipping product.

## Story
BUILDING A FACTORYAt the moment, we are renting 7,000 sq. ft. at our current location in Braintree, MA, housing our office, lab, and warehouse. The building where we are today has extra space available to rent to expand our operations; thus, we plan to develop our manufacturing operations in the same building, extending our rented area to a total of 30,000 sq. ft.With the extra space, we’ll be able to build 30,000 – 60,000 music systems and 10,000 turntables a year, locally in the United States, as well as create jobs and grow the Como Audio Brand. This year, we're completely out of some of our best-selling products, and will be during the peak selling season of September - December. Customers are frustrated and the wait list is already pages long. We're also frustrated and missing out on revenue. The reason we can't get the product is mainly because of huge delays in parts, labor, and shipping - and a big solution is to start making products here.Advantages of opening our own factory and starting production:Create jobs for US workers & boost economyTake advantage of $10 billion global smart speaker market, bringing a piece of that to the USCut down on wait times for consumers by a third as we bring our products to market much fasterProduction flexibility means we can make products as we need them, and cut down on obsolete inventory or money tied up in unfinished goodsComplete quality control by moving production and testing in-houseSpeakers are easy to build and don't require tons of parts or infrastructure that we don't haveWe have the right founder, with years of experience designing speakers and building them here in Massachusetts We have the right timeline, with increased sentiment towards buying US productsFUTURE COMO AUDIO FACTORYOUR STORYTom DeVesto, designer, innovator, audio expert, manufacturer and founder of Como Audio, has spent a lifetime creating audio products that can accurately reproduce music.Over his 40-year career in consumer electronics, DeVesto stayed true to one focused mission: bring music to listeners the way the musician intended. The veteran electronics legend and visionary started Como Audio to reach a larger number of people with high quality, cost effective products that support the latest technology, are simple to operate, have sophisticated design, and take up minimal space. Our mission is to provide music enthusiasts around the world easy access to all of the music available - through one device. Since our inception, we've been able to deliver high quality products to thousands of audiophiles. With our hottest items sold out and our waitlist pages long, we're now looking to bring our manufacturing process back to the USA to expedite production and create new jobs, all helmed by our industry-expert founder in our own factory. PRODUCTS & MARKETWith $10 Billion in global revenue in 2022, the smart speaker market is enormous, and shows no signs of slowing down. Current Verified Market Research® projects revenue to hit $61.87 Billion globally by 2028. Currently, the majority of these products are made in China, but there’s a significant opportunity to bring that business to America, creating jobs, factories, and products made here in the US.Our target customers are people who love music and want to listen to it the way the artist intended. They care about design and ease of operation, so we pay special attention to both. Demand for our product is real: we first brought our Como Audio music systems to market via two very successful Kickstarter campaigns, exceeding our crowdfunding goal by 500%. The Como Audio product line currently includes four main wireless music systems: Solo, Duetto, Amico, and Musica. Though they vary in size and features, they all include access to Internet & FM Radio, Bluetooth connectivity, and Spotify streaming. Additionally, all are built with MDF Plywood (no plastic boxes) to enhance sound quality. They are coated with real-wood or piano gloss finishes that will actually match your décor, and come equipped with aluminum knobs and an LCD screen so you can interact with the unit directly and not rely on your phone to operate them.In 2019 amongst the growing vinyl resurgence, Como Audio teamed up with acclaimed turntable manufacture Pro-Ject to design two custom turntable models, which are now part of our product line. This year, we introduced Blu, our first Bluetooth-only high-fidelity, true stereo system.Como Audio music systems can wirelessly group to others in the Como Audio family. Up to 5 music systems can be included in a group, and the same audio can be streamed to each, so that no matter where you go in your home, you can hear your favorite song. Groups are controlled via the free Como Control App, available for iOS and Android.Como Audio's sales model is mostly online, direct-to-consumer business. Our products are available on our website, and sold through major retailers including Amazon and Walmart. SALESWe've seen steady sales growth over the past few years as consumers continue to discover our products. While our 2022 numbers are currently being impacted by the global supply chain delays, we're forecasting a steady increase in revenue over the next 5 years as we start to bring our production in-house. The funds from our Wefunder campaign will help us reach that goal by 2024. Forward looking projections cannot be guaranteed.Gross Margin has also been on the rise, increasing 28% between 2019 and 2021. Though the company is not yet profitable, Net Income has increased significantly between 2019 and 2021. We project to become profitable by 2024. Forward looking projections cannot be guaranteed.PRESS COVERAGE & REVIEWSComo Audio products have been featured in dozens of renowned tech publications including Forbes, Rolling Stone, Sound & Vision and more, as well as on television programs like The Ellen DeGeneres Show and Let's Make A Deal. Additionally, our products have received hundreds of customer reviews on Amazon, with the majority ranking at 4 stars or above.

## FAQ
1. **what kind of shares are you offering and what is the nominal value i.e. how much does for ex US$1,000 buy in the Como Audio stock? Also is there a tiered s/h with the founder(s) having more voting rights/control?**
 - Hi Dr. Adler, We are offering preferred shares valued at $2.50 each. A thousand dollars would buy 400 shares. These shares have liquidation preference over the founder's shares. The voting rights are proxied to the board. Please let mw know if you have other questions. best, tom
2. **Do you intend to pay a dividend?**
 - HI Craig, At this point we are not planning on paying a dividend. We will use all available cash to make the company grow. Please let me know if you have any other questions. Best Tom
3. **Great presentation - one of the best I've seen here. And of course you and your team are top level as well. I'm wondering three things. First, how are you doing right now - monthly burn, cash on hand, amount of debt? Second, what is your pitch - I hear "you don't need a phone"...**
 - Hi Alan, The company's financial situation is pretty clearly spelled out in the form C. That said, our accounts receivable and payables are current. We have $1.5 million in paid inventory and we have to watch our cash flow very carefully. To your second question, it's not whether you need a cell phone or not, it's whether it is easy and enjoyable to use. (also assuming you aren't talking on the phone) Younger audiences might even think the fact that you don't need a cell phone to operate our ...
4. **Great products! Tom, do you see a point in Como's growth plan where it would make a public offering on one of the stock exchanges? If so, how do you see this affecting the preferred shareholders who bought-in through wefunder? Thanks and keep up the good work.**
 - HI Dave, Thanks very much for supporting us and the kind words about my products. I've brought two companies public and in addition have done a private equity deal and an M&A deal on one of the public companies. So fair to say we will do whatever seems to be in the best interest of our investors at the time. My experience is that preferred stock in a situation like this many time is converted to the new securities.
5. **Hi Thomas, thank you for your answer. Given you successes I am quite tempted to invest - I grew up near Newton and always equated Cambridge Soundworks with quality and innovation. There is financial info on the attachments as you say, but I'm looking for more detail if possibl...**
 - Hi Alain, I can fill in some of the details. Our breakeven revenue is around 3 1/2 million dollars. The inventory is sufficient to meet our needs through years end. The reason for the large inventory is the minimum order quantities required by our manufacturing partners. Almost $4 million of the current debt will be converted into equity at the close of this deal. The other million dollars in long-term debt will be paid back over time. No interest and no immediate&...

- Q: Hi, I asked this question, earlier. Checking to see if the answer is any different. Will investor perks be honored in 2020? (Given the statement “purchase made in 2019”)
 - A: Hi Kevin,Yes, we have extended the perks through 2020.All the best,Tom
- Q: Carissimo Thomas I hope you're having a good weekend! I was wondering if: - Is there any plan to make a larger and clearer screen? - Does the usb charger allow the connection of a portable usb (so that the customers that have albums saved in their usb can listen to it having that option) Thank you very much for your time
- Q: Could you describe, please, the nature and qualities of the preferred stock that is on offer?
 - A: Hi Justin, In the event of a liquidation the Preferred Stock would put you in front of investors with Common Stock. Thanks for your inquiry, Tom
- Q: Good morning from Greece. Please write a few words concerning your new turntable!
 - A: Hi Sotiris, I designed the turntable to be a complete plug and play solution that matches our other products, both acoustically and cosmetically. We wanted to be very flexible in the installation possibilities so we included both a built in preamp and Bluetooth capability. We also include an upgraded phono cartridge to preserve your vinyl and get the most out of it. Thanks for you inquiry, Tom
- Q: when are you going public?
 - A: Hi William, I appreciate your interest in Como Audio. We currently have no plans to bring the company public. That said, in my past, I have brought two other companies public when the time was right. Please let me know if I can answer any other questions. All the best and enjoy the music, Tom
- Q: Hi Tom, Your investor perks states “purchase made in 2019”, yet 2019 is two thirds of the way over. Any chance of extending that to 2020?
 - A: Hi Kevin,Our WeFunder campaign ends in late November and we would like to finish up the year with a clean slate so at this point we are not likely to extend the end date to use the discounts. That said I am more than happy to discuss any special circumstances that you may have. Thanks for your question, Tom
- Q: Hello Tom, Today Amazon rolled out its Echo Studio speaker, starting at $199 and describing it as the "most innovative speaker". That caused the share price of Sonos stock to drop. Given that you were quoted as saying that Sonos is the biggest and best known competitor of Como Audio, what do you say to me and others who have not yet invested in Como Audio but are still considering to do so.
 - A: Hi Idika, I think the new Echo Studio will be quite competitive to Apple, Google and Sonos. It is another plastic box with speakers pointed in all directions. It may sound ok but that is certainly not the way recorded music was intended to be heard. To get stereo Amazon says you need to use two units. Now you are at $400. There is no onboard FM tuner or built in internet radio tuner. With out the internet you there is little you can do with it. It also can't be battery operated. There are also no tweeters for crisp high end sound reproduction. All Como Audio Music systems were designed to reproduce music they way the artist intended. This includes using a ridged wood cabinet the way real hifi loudspeakers were intended. Additionally the internet only Amazon device can be used in conjunction with Como Audio products because we have "Works with Amazon" technology built into our product. You can command your Echo Studio to "Play BBC Radio One on the Musica in the living Room" for instance. Please let me know if you have further questions.
- Q: Hi Tom, As a parent, I’m setting a hard 10 PM limit on the phone. The phone goes away at 10, but if your device could play Spotify without the phone, I can create a win-win. Can it do that (and update the app) or does it have to be paired with the phone?
 - A: Hi Andrew. I understand your situation. Per Spotify, our models turn into speakers in Spotify mode, so you can press Play in the Spotify app and let it play on Musica, and it will continue to play even with your phone off, but if the music stops or you need to make other music changes, the phone will be needed. All models that support Spotify Connect work like this. Most of our other sources do not require a smart phone, like FM, Internet radio, and CD (only Musica has CD). I hope this answers your question. Best, Tom
- Q: Hello, this product is great...I've watched a video review of the product, one thing I noticed the device isn't touchscreen. Do you anticipate any upgrades to the product to incorporate a touchscreen feature?
 - A: Hi Reesha,We are constantly upgrading our products. In the past three years we have issued dozens of software upgrades. This means that products made three years ago are up to date with what we are selling new today. We decided against a touch screen in our products because the displays are not in a good position to use digitally with one's finger and they are also quite small. Additionally many of the functions can be performed using our free App. When doing this you can use the touch screen on your phone of other device. So, it was never a question of having the technology to put in a touch screen. It is more about what is the best user interface for our customers. Please understand that once set up there is very little needed to do to control our products other than press a button or turn a knob.I hope this helps?Best, Tom
- Q: Hi Tom, I must say I am impressed by your design and quality philosophy, as well as your clear vision of the gap Como speakers seek to close in the market. Please I have a couple of questions: 1. I have seen reviews that complained about the software/app performance of your current speakers (lag, drops in connection, etc.). What steps have been taken to address this? 2. What were the key drivers of the losses and negative cash flows of the business in 2017 and 2018? 3. What would you say is the most valuable asset of your business? 4. I see you have a good sales and distribution model setup as well as good media/PR buzz in effect. What additional marketing plans do you have to enhance the positioning of your brand with your target market (grow TOMA, brand loyalty, etc.)? 5. Finally, what would you say is the primary competitive edge of your products that would be tough for your competition to replicate if they wanted to? Apologies for the numerous questions. Thanks and keep up the good work!
 - A: Hi Osayi, Thanks very much for the kind words about me and Como Audio. I am happy to answer your questions. 1. Without knowing exactly which review you are speaking about let me say that in general, the biggest issue with all IoT products is connectivity and their integration into existing home networks. In nearly 100% of cases the problem lies in the network itself and a simple reboot of the internet modem and wifi router fixes it. We offer very quick response to consumer complaints and generally leave customers satisfied, even on holidays and weekends. 2. The company developed a line of sophisticated music systems (including certifications in most countries), a world wide logistics system, a worldwide web-store. We have to increase sales through marketing and social media. 3. At the risk of sounding too self important at this point I am probably the most valuable asset. I have over four decades experience bringing great product to music lovers around the world. This experience has given me insight and connections world wide. 4. We are readying a digital and print marketing campaign scheduled to launch this fall. 5. We make music systems dedicated to reproducing music the way the artist intended. We know how to make them sound great. We use natural products and put them together in ways that are easy to use and beautiful to look at. You can use our products without an app on a mobile device or computer (although we have a great app for those so inclined). Once set up you can enjoy your music by simple pressing a button.
