The investor documentation mentions buyback is with \"investor consent,\" but this is misleading. As the WF SPV is non-voting, WF investors effectively have zero control over this decisions. If this is a loan, it should be presented and treated as debt. If this is equity, WF investors should be allowed to participate in the full, uncapped upside potential. Different investors have different needs, but this structure acts like a highly disadvantageous financial product. This is essentially a reverse convertible note. Investors take on the full downside risk of equity now (potential for 100% capital loss) but are only compensated with the capped upside of debt later.
